3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
4 BEACH, FLORIDA, APPROVING AN ENGAGEMENT LETTER BETWEEN
5 THE CITY AND THE URBAN LAND INSTITUTE'S SOUTHEAST FLORIDA
6 AND CARIBBEAN DISTRICT COUNCIL FOR PARTICIPATION IN THE
7 LEADERSHIP PROJECT; AND FOR ALL OTHER PURPOSES.

9 WHEREAS, the Urban Land Institute (ULI) Southeast Florida/Caribbean (SEFL) Leadership
10 Institute assigns expert professionals to provide market-based perspectives on various urban
11 development challenges, including revitalizing specific properties or corridors; and
12 WHEREAS,the Division of Economic Development submitted a proposal to the Leadership
13 Institute for a City project and was selected at no cost to the City. The project focuses on
14 revitalizing the "Four Corners" area at the intersection of Boynton Beach Boulevard and Congress
15 Avenue. Key objectives include integrating community spaces, promoting pedestrian-friendly
16 streets, and fostering collaboration with plaza owners to support the area's redevelopment. The
17 project aims to design a vibrant commercial hub that enhances community engagement and
18 increases business activity while identifying creative funding sources to ensure long-term success;
19 and
20 WHEREAS, through the Client Engagement Letter, ULI SEFL and the Leadership Institute
21 will provide advisory services to improve communities and promote responsible land use and
22 development; and
23 WHEREAS, under the Client Engagement Letter, ULI SEFL and the Leadership Institute
24 agree to provide advisory services to improve communities and promote responsible land use
25 and development; and
26 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
27 best interests of the city's citizens and residents to approve an Engagement Letter between the
28 City and the Urban Land Institute's Southeast Florida and Caribbean District Council for
29 participation in the Leadership Project.

33 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
34 BEACH, FLORIDA, THAT:
35 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
36 being true and correct and are hereby made a specific part of this Resolution upon adoption.
37 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
38 approve an Engagement Letter between the City and the Urban Land Institute's Southeast Florida
39 and Caribbean District Council for participation in the Leadership Project (the "Engagement
40 Letter"), in the form and substance similar to that attached as Exhibit A.
41 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby
42 authorizes the Mayor to execute the Engagement Letter. The Mayor is further authorized to
43 execute any ancillary documents as may be necessary to accomplish the purpose of this
44 Resolution.
45 SECTION 4. The Mayor-executed Engagement Letter shall be forwarded to Michael
46 Keleher to obtain execution of the Engagement Letter by ULI SEFL. Michael Keleher shall be
47 responsible for ensuring that one fully executed Engagement Letter is returned to the City, to be
48 provided to the Office of the City Attorney for forwarding to the City Clerk for retention as a public
49 record.
50 SECTION 5. This Resolution shall take effect in accordance with law.

Leadership Project ("LP") Client Engagement Letter
The Leadership Institute, a program of the Urban Land Institute's Southeast Florida and Caribbean District Council (ULI
SEFL), would like to thank the City of Boynton Beach (the "Client") for participating in a Leadership Project ("LP"). This
Engagement Letter constitutes an agreement by and between ULI SEFL and Client entered into as of this 19 day of
December 2024. As part of its purpose, ULI SEFL and the Leadership Institute provide advisory services to improve
communities and promote responsible land use and development.
Client wishes to obtain advice and recommendations from ULI SEFL on the Leadership Project as outlined in the attached
description of the LP. The Client has reviewed the"Brief Description"and the"General Questions"specifically and agrees
that these sections as completed are clear and accurate as to the nature of the LP.
Pursuant to this Agreement, ULI SEFL and the Leadership Institute agree to perform the following scope of work:
• Work with Client to develop a problem statement and situational abstract,define expectations and scope
of services, and shape questions to be addressed by the LP Team. All if this
• Work with Client to develop overall objectives and agenda for the LP Team.
• Work with Client to identify and interview appropriate stakeholders to gain insight on their perspective of
the issue to be addressed, stakeholders will be "FBC Leadership and selected members of FBC, which
FBC shall provide to the project manager".
• Identify and interview a cross-section of industry experts to provide well-rounded, objective insight into the
issue to be addressed.
• Work with Client to prepare and deliver LP briefing materials to stakeholders and industry experts to be
reviewed prior to interviews (e.g., maps, aerials, photos, supplemental reports, situational abstract, etc.).
• Work with Client to ensure logistics for final presentation (e.g., date, time, location, invitees)are
addressed.
• Prepare and present a final presentation for Client detailing findings, conclusions, recommendations, and
implementation strategies.
• Provide the final presentation to Client in electronic format (.pdf file)and up to five(5)printed hard copies.
• ULI will be providing all services pursuant to this project free of charge, except for any cost incurred by
the client for providing certain documents for the project.
• The project will be completed with deliverables in accordance with the timeline on page 5.
Client agrees to provide the following at its expense:
• Schedule and coordinate virtual meeting or reserve meeting space, as needed,for the final presentation
at a time and location to be determined. Room should be large enough to accommodate Client, LP team
members, ULI Leadership, etc., as well as seating for stakeholders and/or observers, if applicable.
• Lead the coordination of stakeholder involvement. This includes identifying, inviting, and confirming key
stakeholder participants, as well as preparing them for the nature of the LP. Stakeholders will be"FBC
Leadership and selected members of FBC,which FBC shall provide to the project manager".
• Lead the effort to compile briefing materials to be sent to stakeholders and industry experts prior to any
scheduled interviews.
Client may make such use of the final presentation as it deems desirable. It is further understood that ULI SEFL may
make such use of the final presentation prepared of the LP findings and recommendations as it deems desirable upon
final approval of FBC, and Client herewith specifically agrees that ULI SEFL may publish and disseminate such final
presentation or any part thereof in conjunction with its research and educational programs with final project publication to
your website, upon approval of FBC.

ULI SEFL shall not be responsible for damages of any kind arising from the performance of services under this agreement
unless such damages arise from gross neglect on the part of ULI SEFL. The terms of this paragraph shall survive the
expiration or termination of this Agreement. ULI SEFL has the ability to terminate this agreement at any point if member
volunteers or staff encounter any form of risk associated with involvement on this project.
INDEMNIFICATION: Client shall indemnify, defend and hold harmless ULI and its officers, directors, employees and
agents from any and all third-party claims, damages, suits, costs and expenses (including reasonable attorneys'fees)
arising out of or relating to any act or failure to act by the Client pursuant to this Agreement.
Each party represents to the other that it has the legal power, right and authority to enter into this Agreement and to
consummate the transactions contemplated hereby.
Client and ULI SEFL hereby acknowledge and agree that time is of the essence with respect to each and every term,
condition, obligation and provision hereof.
The parties hereto expressly agree that this Agreement shall be governed by, interpreted under, and construed and
enforced in accordance with the laws of the State of Florida.
This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and all of
which, together, shall constitute one and the same instrument.
This Agreement shall not create a partnership or joint venture relationship between Client and ULI SEFL,
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first written hereinabove.

2025 Leadership Institute Projects
Overview, Deliverables, and Schedule
I. Overview
The culminating exercise for the Leadership Institute will be a series of Leadership Projects (LPs), where
teams of Leadership Institute participants work over a seven-month period to address a particular local land
use or policy challenge.Teams are responsible for providing expertise and developing recommendations on
how communities or a non-profit can achieve planning goals while also making the greatest regional
contribution toward sustainable and equitable development.
LP projects are designed to provide the local client with objective, responsible, and market-based advice on
local land use and real estate issues that defy easy solutions.
ULI SEFL/Caribbean worked with 5 local clients to develop these LP assignments. While each LP explores
a unique local challenge relating to a specific geographic area or issue, all assignments include elements of
real estate, planning, or land use. The issues raised within the LP impact South Florida and are the issues
that leaders from all persuasions need to try and resolve. Real estate professionals often view problems to
solve as nails, and the only solution is using a hammer. Working together, our hope is that our leaders can
utilize other solutions as well. The questions posed by the clients are quite extensive—project teams should
address as many of them as possible given the timeline of this project.

II. Final Deliverables
There are four final LP deliverables, as follows:
1. Midterm Draft"mini"Presentation(5 minutes per team, PPT file)to be presented on April 23rd to class
and advisors. Show progress and an outline for addressing solutions.
2. A Final PowerPoint presentation delivered to your project client in-person. This presentation should
document your group's approach, research, and recommendations, and should be tailored to meet your
sponsor's needs. This presentation will be delivered by all members of the LP group at a final meeting,
which is to be scheduled directly with your client.This presentation should also be electronically shared
with your project client, your team's advisor and with ULI staff 2 weeks prior to your client presentation.
3. A Final Report,which will be handed out to the client in print and pdf format during your final presentation
to the client. An electronic version will be shared with ULI and your advisor before your final client
presentation due by June 25th.This report is separate than the final presentation.
4. A summary presentation of your final client deliverables (10 Minutes) - This presentation should
summarize your group's work,and include project title, problem statement,approach, research,findings,
and recommendations. This presentation should be completed by the Leadership Institute Graduation
on August 20th and emailed to ULI staff the day prior by 12:00 PM.
*Both Report and Presentation should be reviewed by your advisor and ULI staff at
least two weeks before submitting to client.

Incorporated in 1920, the City of Boynton Beach has grown from its agricultural roots into the third
largest city in Palm Beach County, covering 16.57 square miles with an estimated population of 80,139.
Strategically located with direct access to major highways like 1-95 and the Florida Turnpike, and close to
major ports and airports, Boynton Beach is a prime location for diverse industries and retail businesses,
offering convenience to both local and regional customers.The City is committed to planned growth,
with ongoing development projects adding approximately 2,000 new residential units in the next couple
of years.This revitalization project aligns with the City's goal to create a vibrant, sustainable community
that attracts and retains businesses, residents, and visitors. Key stakeholders include local plaza owners,
business leaders, community organizations,and potential investors who share the vision of transforming
Boynton Beach into a thriving hub for commerce and community life.
The issue at hand is the ongoing decline of the Four Corners area at Boynton Beach Boulevard and
Congress Avenue, once a thriving commercial hub. Over the past few years, the area has seen an
increase in vacant and underutilized parcels, reducing its appeal as a key retail and community space.
The City of Boynton Beach has long recognized the importance of revitalizing this intersection to serve as
a gateway to the city and as a central point for economic and community activity.
Historically,the City has taken steps to address the area's challenges, including infrastructure
improvements and business support initiatives. However,given the growing need to adapt to new
economic realities and community expectations,further strategic action is necessary.
Looking ahead,the City plans to introduce an Economic Development Element to stimulate investment

businesses, residents, and visitors. Boynton Beach is committed to planned growth, as evidenced by the

goals of improving economic opportunity, enhancing livability, and increasing community engagement.
The ultimate objective of the LP is to transform Four Corners into a vibrant, pedestrian-friendly

Boynton Beach.This project is timely,as the City is undergoing significant growth and needs cohesive
commercial spaces to support that expansion. ULI's expertise in land use, urban planning,and economic
development can provide valuable guidance in designing a space that fosters long-term sustainability
and community engagement while attracting investment to the area. By addressing this now, Boynton
Beach can prevent further decline in a key intersection and leverage its strategic location to attract new

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time,Urban Land Institute(we,us or Company)may be required by law to provide
to you certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically through the DocuSign system.
Please read the information below carefully and thoroughly,and if you can access this
information electronically to your satisfaction and agree to this Electronic Record and Signature
Disclosure(ERSD),please confirm your agreement by selecting the check-box next to `I agree to
use electronic records and signatures' before clicking `CONTINUE' within the DocuSign
system.
Getting paper copies
At any time,you may request from us a paper copy of any record provided or made available
electronically to you by us. You will have the ability to download and print documents we send
to you through the DocuSign system during and immediately after the signing session and, if you
elect to create a DocuSign account,you may access the documents for a limited period of time
(usually 30 days)after such documents are first sent to you. After such time, if you wish for us to
send you paper copies of any such documents from our office to you, you will be charged a
$0.00 per-page fee. You may request delivery of such paper copies from us by following the
procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically,you may at any time
change your mind and tell us that thereafter you want to receive required notices and disclosures
only in paper format.How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures
electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. Further,you will no longer be able to use the DocuSign system to
receive required notices and consents electronically from us or to sign electronically documents
from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through the DocuSign system all required notices,disclosures,
authorizations,acknowledgements,and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure,we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process,please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.
How to contact Urban Land Institute:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us,and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To let us know of a change in your email address where we should send notices and disclosures
electronically to you,you must send an email message to us at netforumsupport@uli.org and in
the body of such request you must state: your previous email address, your new email
address. We do not require any other information from you to change your email address.
If you created a DocuSign account,you may update it with your new email address through your
account preferences.
To request paper copies from Urban Land Institute
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an email to netforumsupport@uli.org and in the
body of such request you must state your email address, full name, mailing address, and
telephone number. We will bill you for any fees at that time, if any.

To inform us that you no longer wish to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your signing session, and on the subsequent page,
select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an email to netforusmsupport@uli.org and in the body of such request you must state
your email, full name, mailing address, and telephone number. We do not need any other
information from you to withdraw consent.. The consequences of your withdrawing consent for
online documents will be that transactions may take a longer time to process..
Required hardware and software
The minimum system requirements for using the DocuSign system may change over time. The
current system requirements are found here: https://support.docusign.corn/guides/signer-guide-
sign ing-system-requirements.
Acknowledging your access and consent to receive and sign documents electronically
To confirm to us that you can access this information electronically, which will be similar to
other electronic notices and disclosures that we will provide to you, please confirm that you have
read this ERSD, and (i)that you are able to print on paper or electronically save this ERSD for
your future reference and access; or(ii)that you are able to email this ERSD to an email address
where you will be able to print on paper or save it for your future reference and access. Further,
if you consent to receiving notices and disclosures exclusively in electronic format as described
herein, then select the check-box next to `I agree to use electronic records and signatures' before
clicking 'CONTINUE' within the DocuSign system.
By selecting the check-box next to 'I agree to use electronic records and signatures', you confirm
that:
• You can access and read this Electronic Record and Signature Disclosure; and
• You can print on paper this Electronic Record and Signature Disclosure, or save or send
this Electronic Record and Disclosure to a location where you can print it, for future
reference and access; and
• Until or unless you notify Urban Land Institute as described above, you consent to
receive exclusively through electronic means all notices, disclosures, authorizations,
acknowledgements, and other documents that are required to be provided or made
available to you by Urban Land Institute during the course of your relationship with
Urban Land Institute.
