R25-063 2 3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 4 BEACH, FLORIDA, APPROVING FIRST AMENDMENTS TO PARKING 5 LEASE AGREEMENTS FOR THE NORTH AND SOUTH GARAGES 6 BETWEEN THE CITY AND BOYNTON BEACH TOWN CENTER 7 APARTMENTS LLC; AND FOR ALL OTHER PURPOSES. 8 9 WHEREAS, the Commission of the City of Boynton Beach passed Resolution R23-023, 10 which authorized the Mayor to sign the Continuing Parking Lease Agreements between the City 1 1 of Boynton Beach ("CITY") and Boynton Beach Town Center Apartments, LLC; and 12 WHEREAS, on March 8, 2023, the City entered into an agreement with Boynton Beach 13 Town Center Apartments, LLC, pursuant to Resolution R23-023, to permit the City and general 14 public to use the North Garage parking facilities of Boynton Beach Town Center Apartments; and 15 WHEREAS, on March 8, 2023, the City entered into an agreement with Boynton Beach 16 Town Center Apartments, LLC, pursuant to Resolution R23-023, to permit the City and general 17 public to use the South Garage parking facilities of Boynton Beach Town Center Apartments and 18 WHEREAS, the City and Boynton Beach Town Center Apartments, LLC have agreed to the 19 Amendment of the Agreements as to the North Garage by modifying the Master Plan to increase 20 the number of parking spaces from approximately 1,026 parking spaces to approximately 1,049 21 parking spaces and to modify the Parking Allocation and the schematic depiction of the parking 22 spaces; and 23 WHEREAS, the City and Boynton Beach Town Center Apartments, LLC have agreed to the 24 Amendment of the Agreements as to the South Garage by modifying the Master Plan to increase 25 the number of parking spaces from approximately 983 parking spaces to approximately 1,005 26 parking spaces and modify the Parking Allocation and the schematic depiction of the parking 27 spaces; and 28 WHEREAS, all remaining terms and conditions of the March 8, 2023, Agreements as to the 29 North and South Garages shall remain in full force and effect; and 30 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 31 best interests of the city's citizens and residents to approve the Amendments to the Agreement 32 as to the North Garage to modify the Master Plan and update the number of parking spaces from 33 approximately 1,026 parking spaces to approximately 1,049 parking spaces, and to modify the 34 Parking Allocation and the schematic depiction of the parking spaces; and 35 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 36 best interests of the city's citizens and residents to approve the Amendments to the Agreement 37 as to the South Garage to modify the Master Plan and update the number of parking spaces from 38 approximately 983 parking spaces to approximately 1,005 parking spaces, and to modify the 39 Parking Allocation and the schematic depiction of the parking spaces. 40 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 41 BEACH, FLORIDA, THAT: 42 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 43 being true and correct and are hereby made a specific part of this Resolution upon adoption. 44 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 45 approve the First Amendment to the March 8, 2023 Agreement as to the North Garage to modify 46 the Master Plan and update the number of parking spaces from approximately 1,026 parking 47 spaces to approximately 1,049 parking spaces, and to modify the Parking Allocation and the 48 schematic depiction of the parking spaces, in form and substance similar to that attached as 49 Exhibit A. 50 SECTION 3. The City Commission of the City of Boynton Beach, Florida, does hereby 51 approve the First Amendment to the March 8, 2023 Agreement as to the South Garage to modify 52 the Master Plan and update the number of parking spaces from approximately 983 parking spaces 53 to approximately 1,005 parking spaces, and to modify the Parking Allocation and the schematic 54 depiction of the parking spaces, in form and substance similar to that attached as Exhibit B. 55 SECTION 4. All remaining terms and conditions of the March 8, 2023 Agreements shall 56 remain in full force and effect. 57 SECTION 5. The City Commission of the City of Boynton Beach, Florida, hereby 58 authorizes the Mayor to execute the Amendments to the North and South Garages. The Mayor 59 is further authorized to execute any ancillary documents necessary to accomplish the purposes of On this Resolution. 01 SECTION 6. Upon full execution of the Amendments, the Amendments shall be filed 62 with the Clerk of the Circuit Court of Palm Beach County, Florida,as required by Section 163.01(11), 63 Florida Statutes. 64 SECTION 7. NOW,THEREFORE, in consideration of their mutual promises, covenants and intending to be legally bound,the parties hereto agree as follows: 1. Recitals/Defined Terms. The foregoing recitals are true and correct and are incorporated herein by reference. Capitalized terms not defined herein shall have the meanings attributed to them in the Lease. 2. Master Plan. The Master Plan as set forth in Exhibit "B" of the Lease is hereby deleted in its entirety and replaced by the revised and approved Master Plan attached hereto as Exhibit`B-1". All references to Exhibit"B"in the Lease are hereby replaced by reference to such Exhibit"B-1". 4924-5760-1812.v 1 3. Parking Allocation. The Parking Allocation as set forth in Exhibit "C" of the Lease is hereby deleted in its entirety and replaced by Exhibit"C-1"attached hereto. All references to Exhibit"C" in the Lease are hereby replaced by reference to such Exhibit"C-1". Pursuant to such updated Parking Allocation, the approximately 1049 parking spaces in the Garage shall be allocated as modified by this Amendment. 4. Amendment. The Fourth WHEREAS clause in the Original Agreement shall be deleted in its entirety and replaced as follows: WHEREAS, pursuant to that certain Parking Allocation attached hereto as Exhibit "C-1" ("Parking Allocation"), the approximately 1005 parking spaces in the Garage shall be allocated as follows: a. 224 parking spaces which are being leased by Owner to City pursuant and subject to the terms and conditions in this Agreement(the "City Spaces"). b. 781 parking spaces which are not being leased to the City and are reserved by Owner for the exclusive use of its residential and commercial tenants,as depicted in the Parking Allocation as "Residential and Guest" and "Commercial" (together, the "Owner Controlled Spaces"; together, the City Spaces and the Owner Controlled Spaces are referred to hereinafter together as "All Spaces"); and 5. Schematic Drawings. Exhibit"D"to the Lease is hereby deleted in its entirety and is replaced by Exhibit"D-1"attached hereto. All references to Exhibit"D"in the Lease are hereby replaced by reference to such Exhibit"D-1". 6. Lease of City Spaces. Section 3 of the Lease is hereby modified to conform to the Parking Allocation as updated in Section 2 of this Amendment,and to reflect that the City has been allocated 224 City Spaces.Accordingly,Sections 3.a and 3.b of the Lease are hereby deleted entirely and replaced as follows: a. 171 parking spaces shall be designated"Exclusive City Spaces,"which shall be for the exclusive use of the City 24 hours a day, 7 days a week. The Exclusive City Spaces shall be located in the Garage as depicted in the attached Exhibit D- 1; specifically,the Exclusive City Spaces shall be located from the first to third floors including ramps between those floors of the Garage. No more than 10% of the Exclusive Parking Spaces may be compact spaces and no more than 1% of the Exclusive Parking Spaces may be motorcycle spaces. b. 53 City Spaces shall be designated"Nonexclusive City Spaces,"which shall be for the exclusive use of the City between the hours of 7:30 am to 6:30 pm, Monday through Friday (the "City Control Hours"). Except during the City Control Hours,the non-exclusive City Spaces shall be used on a first-come,first- served basis and Owner may utilize the Nonexclusive City Spaces for other parking purposes, including commercial parking and residential parking; 4924-5760-1812,v. 1 provided however, that Owner's use of the Nonexclusive Parking Spaces shall not be counted towards required parking for Owner's residential and commercial tenants for site planning purposes. Owner may not tow or boot vehicles from the Nonexclusive City Spaces solely because the City Control Hours have expired. No more than 10%of the Nonexclusive Parking Spaces may be compact spaces and no more than 1% of the Nonexclusive Parking Spaces may be motorcycle spaces. 7. Authorization. The signatory for Owner, below, warrants and confirms that he/she is duly authorized to sign on behalf of Owner and of each entity comprising Owner, and that he/she is authorized to enter into this Amendment. 8. Conflict/Effect. In the event of a conflict between the terms of the Lease and this Amendment,this Amendment shall prevail. Except as expressly modified herein,the Lease remains in full force and effect pursuant to its terms. 9. Recording. The City shall record this Amendment or a memorandum thereof in the Public Records of Palm Beach County, Florida. WITNESSETH: WHEREAS,Boynton Beach Town Center Apartments,LLC, as predecessor to Owner,and City entered into that certain Parking Lease Agreement ("Original Agreement") approved via City Resolution No.23-023)dated March 8, 2023 and recorded May 16, 2023 in Official Records Book 34305, commencing at Page 960, which recorded document included that certain Assignment of Parking Lease Agreement dated April 10, 2023 wherein such Parking Lease Agreement was assigned to Owner (together, Original Agreement as assigned shall herein be referred to as the "Lease"); and WHEREAS, pursuant to discussions between Owner and City, the parties have agreed to modify the Master Plan to increase the number of parking spaces in the Garage from approximately 1026 parking spaces to approximately 1049 parking spaces, and to modify the Parking Allocation and the schematic depiction of the parking spaces as set forth herein; and WHEREAS, Owner and City have agreed to replace certain exhibits to the Lease to reflect such revised Master Plan,Parking Allocation, and schematic drawings. NOW,THEREFORE, in consideration of their mutual promises, covenants and intending to be legally bound,the parties hereto agree as follows: 1. Recitals/Defined Terms. The foregoing recitals are true and correct and are incorporated herein by reference. Capitalized terms not defined herein shall have the meanings attributed to them in the Lease. 2. Master Plan. The Master Plan as set forth in Exhibit "B" of the Lease is hereby deleted in its entirety and replaced by the revised and approved Master Plan attached hereto as Exhibit"B-1". All references to Exhibit"B"in the Lease are hereby replaced by reference to such Exhibit"B-1". 4899-8656-5140.v.2 3. Parking Allocation. The Parking Allocation as set forth in Exhibit "C" of the Lease is hereby deleted in its entirety and replaced by Exhibit"C-1"attached hereto. All references to Exhibit"C" in the Lease are hereby replaced by reference to such Exhibit "C-1". Pursuant to such updated Parking Allocation, the approximately 1049 parking spaces in the Garage shall be allocated as modified by this Amendment. 4. Amendment. The Fourth WHEREAS clause in the Original Agreement shall be deleted in its entirety and replaced as follows: WHEREAS, pursuant to that certain Parking Allocation attached hereto as Exhibit "C-1" ("Parking Allocation"), the approximately 1049 parking spaces in the Garage shall be allocated as follows: a. 249 parking spaces which are being leased by Owner to City pursuant and subject to the terms and conditions in this Agreement(the "City Spaces"). b. 800 parking spaces which are not being leased to the City and are reserved by Owner for the exclusive use of its residential and commercial tenants,as depicted in the Parking Allocation as "Residential and Guest" and "Commercial" (together, the "Owner Controlled Spaces"; together, the City Spaces and the Owner Controlled Spaces are referred to hereinafter together as "All Spaces"); and 5. Schematic Drawings. Exhibit"D"to the Lease is hereby deleted in its entirety and is replaced by Exhibit"D-1"attached hereto. All references to Exhibit"D"in the Lease are hereby replaced by reference to such Exhibit"D-1". 6. Lease of City Spaces. Section 3 of the Lease is hereby modified to conform to the Parking Allocation as updated in Section 2 of this Amendment,and to reflect that the City has been allocated 249 City Spaces.Accordingly,Sections 3.a and 3.b of the Lease are hereby deleted entirely and replaced as follows: a. 192 parking spaces shall be designated"Exclusive City Spaces,"which shall be for the exclusive use of the City 24 hours a day, 7 days a week. The Exclusive City Spaces shall be located in the Garage as depicted in the attached Exhibit D- 1; specifically,the Exclusive City Spaces shall be located from the first to third floors including ramps between those floors of the Garage. No more than 10% of the Exclusive Parking Spaces may be compact spaces and no more than 1% of the Exclusive Parking Spaces may be motorcycle spaces. b. 57 City Spaces shall be designated"Nonexclusive City Spaces,"which shall be for the exclusive use of the City between the hours of 7:30 am to 6:30 pm, Monday through Friday (the "City Control Hours").
