3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
4 BOYNTON BEACH, FLORIDA, APPROVING FIRST AMENDMENT TO
5 THE SUBRECIPIENT AGREEMENT WITH HABITAT FOR HUMANITY OF
6 GREATER PALM BEACH COUNTY, INC., FOR THE REHABILITATION OF
7 THE PROPERTY LOCATED AT 2385 S.W. 13TH WAY, BOYNTON
8 BEACH, FL 33426; GRANTING A TWO-MONTH EXTENSION;
9 PROVIDING AN EFFECTIVE DATE; AND FOR ALL OTHER PURPOSES.

11 WHEREAS, on January 16, 2024, the City and Habitat for Humanity of Greater Palm Beach
12 County, Inc. ("Subrecipient"), entered into a "City of Boynton Beach State Housing Initiatives
13 Partnership (Ship) Program Housing Rehabilitation Program Subrecipient Agreement" (the
14 "Agreement"), approved by Resolution 24-012; and
15 WHEREAS, the Agreement is set to expire on June 30, 2025; and
16 WHEREAS, the Parties desire to amend the Agreement to extend the term of the
17 Agreement an additional Two (2) months to expire on August 29, 2025; and
18 WHEREAS, the additional two months are required for the Subrecipient to complete the
19 rehabilitation of the property located at 2385 S.W. 13th Way, Boynton Beach, FL 33426; and
20 WHEREAS, the City Commission of the City of Boynton Beach, Florida, deems it to be in
21 the best interests of the citizens and residents of the City of Boynton Beach to approve the First
22 Amendment to the Agreement.
23 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
24 BEACH, FLORIDA, THAT:
25 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
26 being true and correct and are hereby made a specific part of this Resolution upon adoption
27 hereof.
28 SECTION 2. The City Commission hereby approves the First Amendment to
29 Subrecipient Agreement Between the City of Boynton Beach and Habitat for Humanity of Greater
30 Palm Beach County, Inc., for the rehabilitation of the property located at 2385 S.W. 13th Way,
31 Boynton Beach, FL 33426 (the "Amendment"), in form and substance similar to that attached as
32 "Exhibit A" and authorizes the Mayor to execute the Amendment.
33 SECTION 3. The Mayor-executed Amendment shall be forwarded to Mirna Crompton
34 to obtain execution of the Amendment by Habitat for Humanity of Greater Palm Beach County,
35 Inc. Mirna Crompton shall be responsible for ensuring that one fully executed Amendment is
36 returned to the City, to be provided to the Office of the City Attorney for forwarding to the City
37 Clerk for retention as a public record.
38 SECTION 4. This Resolution shall take effect as provided by law.

FIRST AMENDMENT TO HABITAT FOR HUMANITY OF GREATER PALM
BEACH COUNTY,INC.,SUBRECIPIENT AGREEMENT
THIS FIRST AMENDMENT, dated the (3 day of Jung_ , 2025, between:
CITY OF BOYNTON BEACH, a municipal corporation organized and existing
under the laws of Florida,with a business address of 100 East Ocean Avenue,Boynton
Beach, FL 33435,hereinafter referred to as "CITY";
and
HABITAT FOR HUMANITY OF GREATER PALM BEACH COUNTY INC., a
company authorized to do business in the State of Florida with its principal place of
business at 6758 N Military Trail Suite 301, Riviera Beach, FL 33407, hereinafter
referred to as "SUBRECIPIENT."
WITNESSETH,
WHEREAS, on January 16, 2024, the City Commission of the City for Boynton Beach
approved an agreement between the CITY and SUBRECIPIENT for a State Housing Initiatives
Partnership(SHIP)Program Subaward Agreement toward the rehabilitation of the property located
at 2385 SW 13 Way Boynton Beach, FL 33426 for a qualifying household, for two hundred and
thirty-six thousand and five hundred dollars ($236,500.00)to expire on June 30,2025, Resolution 24-
012 ("Agreement"); and
WHEREAS, the CITY and SUBRECIPIENT desire to amend the Agreement to extend the
term of the Agreement an additional Two(2)months to expire on August 29, 2025.
THEREFORE, in consideration of the mutual promises contained below, and other good
and valuable consideration,receipt, and sufficiency of which is hereby acknowledged,the Parties
agree that the Agreement shall be amended as follows:
SECTION 1. The foregoing "Whereas" clauses are hereby ratified as being true and correct,
and incorporated herein.
SECTION 2. Article 4, Term of Agreement and Subaward Period of Performance, Section
A, is amended to extend the termination date to August 29, 2025 as follows:

A. Term of Agreement. The term of this Agreement begins on the date that it is fully executed
by both parties (the "Effective Date") and shall terminate on: June 30, 2025 August 29,
2025, unless extended or renewed in accordance with the terms of this Agreement.
SECTION 3. The Parties agree that the modifications herein shall supersede any language in
the Agreement and exhibits thereto, and in the event of a conflict with such language, the
modifications in this First Amendment shall prevail. In all other respects the Agreement shall remain in
full force and effect, except as specifically modified by this First Amendment.
IN WITNESS WHEREOF,the Parties have executed the First Amendment by their duly authorized
representatives.
