4 BEACH, FLORIDA, APPROVING AMENDMENT NO. 1 TO PIGGYBACK

10 WHEREAS, on April 8, 2025, the City and Industrial Shadeports, Inc. ("Vendor"), entered
11 into Contract No. 25-077PB (the "Agreement") for various equipment and amenities for parks
12 and recreation to procure the installation of two cantilever shade structures at the Hester
13 Community Park Stadium; and
14 WHEREAS, the Parties desire to amend the Agreement to include additional City
15 locations and increase the total expenditure from an amount not to exceed $162,300.00 to an
16 amount not to exceed $283,828.00; and
17 WHEREAS, the City Commission of the City of Boynton Beach, Florida, deems it to be in
18 the best interests of the citizens and residents of the City of Boynton to approve Amendment
19 No. 1 to Piggyback Agreement with Industrial Shadeports, Inc. to include additional City
20 locations and increase the total expenditure from an amount not to exceed $162,300.00 to an
21 amount not to exceed $283,828.00.
22 NOW,THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
23 BEACH, FLORIDA, THAT:

25 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
26 being true and correct and are hereby made a specific part of this Resolution upon adoption
27 hereof.
28 SECTION 2. The City Commission hereby Amendment No. 1 to Piggyback Agreement
29 with Industrial Shadeports, Inc. to include additional City locations and increase the total
30 expenditure from an amount not to exceed $162,300.00 to an amount not to exceed
31 $283,828.00, in form and substance similar to that attached as "Exhibit A" and authorizes the
32 City Manager to execute the Amendment.
33 SECTION 3. The fully executed Amendment shall be retained by the City Clerk as a
34 public record of the City, and a copy shall be provided to Taralyn Pratt to forward to the Vendor.
35 SECTION 4. This Resolution shall take effect as provided by law.

AMENDMENT NO. 1 TO PIGGYBACK AGREEMENT BETWEEN
o \� : THE CITY OF BOYNTON BEACH AND INDUSTRIAL
SHADEPORTS,INC.FOR VARIOUS EQUIPMENT AND AMENITIES
FOR PARKS AND RECREATION
This first Amendment("Amendment")is entered into by and between the City of Boynton
Beach, a Florida municipal corporation ("City"), and Industrial Shadeports, Inc., a Florida
corporation ("Vendor")(collectively referred to as the "Parties").
RECITALS
A. On April 8, 2025, the Parties entered into Contract No. 25-077PB (the
"Agreement") for various equipment and amenities for park and recreation to procure the
installation of two cantilever shade structures at the Hester Community Park Stadium.
B. The Parties desire to amend the Agreement to include additional City locations and
increase the total expenditure from an amount not to exceed $162,300.00 to an amount not to
exceed $283,828.00.
Now,therefore, in consideration of the mutual terms and conditions,promises, covenants,
and payments hereinafter set forth, City and Vendor agree as follows:
1. The above Recitals are true and correct and are incorporated herein by reference. All
capitalized terms not expressly defined within this Amendment shall retain the meaning ascribed
to such terms in the Agreement.
2. Except as modified herein, all remaining terms and conditions of the Agreement shall
remain in full force and effect.
3. The Agreement is hereby amended as follows:
Amendment to Section 3. CONTRACT TERMS:
Section 3 of the Agreement is hereby amended to increase the total expenditure forthe Services
from an amount not to exceed One Hundred Sixty-Two Thousand Three Hundred and 00/100
Dollars ($162,300.00)to an amount not to exceed Two Hundred Eighty-Three Thousand Eight
Hundred Twenty-Eight and 00/100 Dollars($283,828.00).

Amendment to Exhibit B:
Exhibit B of the Agreement is hereby amended to include the additional Vendor estimates
attached hereto as Exhibit A.
4. In the event of any conflict or ambiguity between this Amendment and the Agreement, the
Parties agree that this Amendment shall control. The Agreement, as amended herein by this
Amendment, incorporates and includes all prior negotiations, correspondence, conversations,
agreements, and understandings applicable to the matters contained herein, and the Parties agree
that there are no commitments, agreements,or understandings concerning the subject matter hereof
that are not included in the Agreement as amended in this Amendment. Accordingly, the Parties
agree that no deviation from the terms hereof shall be predicated upon any prior representations or
agreements, whether oral or written.
5. Vendor acknowledges that through the date this Amendment is executed by Vendor,
Vendor has no claims or disputes against City concerning any of the matters covered by the
Agreement.
6. The following new sections are added to the Agreement as follows:
(a) Public Entity Crime Act.Vendor represents that it is familiar with the requirements
and prohibitions under the Public Entity Crime Act,Section 287.133, Florida Statutes,and
represents that its entry into this Agreement will not violate that Act. Vendor further
represents that there has been no determination that it committed a"public entity crime"as
defined by Section 287.133,Florida Statutes,and that it has not been formally charged with
committing an act defined as a "public entity crime" regardless of the amount of money
involved or whether Vendor has been placed on the convicted vendor list.
(b) Prohibited Telecommunications Equipment. Vendor represents and certifies that
Vendor and all subcontractors do not use any equipment, system, or service that uses
covered telecommunications equipment or services as a substantial or essential component
of any system, or as critical technology as part of any system, as such terms are used in 48
CFR §§ 52.204-24 through 52.204-26. Vendor represents and certifies that Vendor and all
subcontractors shall not provide or use such covered telecommunications equipment,
system, or services during the duration of the term of the Agreement.
7. The effective date of this Amendment shall be the date of complete execution by the
Parties.

8. This Amendment may be executed in multiple originals and may be executed in
counterparts, whether signed physically or electronically, each of which shall be deemed to be an
original, but all of which, taken together, shall constitute one and the same agreement.

1.Project Overview:
This scope of work covers the installation of two(2)engineered cantilevered two-post mansard-style shade structures,each measuring 6 feet by 14 feet,designed to meet or exceed the wind load requirements for
structures located in a High Velocity Wind Zone(HVWZ)per the Florida Building Code(FBC)or applicable local code.
2.Scope of Work Includes:
2.1 Engineering and Permitting
• Provide signed and scaled structural drawings and calculations by a licensed professional engineer,confirming compliance with HVWZ criteria.
• Coordinate with local building department for permit submission and approval.
• Address and respond to any permitting comments as needed.
2.2 Site Preparation
• Locate and mark utility lines and perform utility clearance prior to excavation.
• Excavate and prepare foundation areas in accordance with engineered drawings.
• Remove and dispose of debris generated during site prep.
23 Foundation and Structural Installation
• Furnish and install reinforced concrete footings as per engineering specifications.
• Set and anchor two-post cantilever steel columns into footings,ensuring plumb alignment and correct spacing.
• Erect and secure horizontal structural components and roofing frame of the mansard-style shade.
• All steel to be hot-dip galvanized or powder-coated for corrosion resistance,as specified.
2.4 Roofing and Shade Fabric
• Install specified mansard-style shade covering(e.g.,high-tension fabric,metal panels,or other as specified).
• Ensure shade material is UV resistant,fire retardant(if fabric),and securely tensioned to manufacturer specifications.
• Trim and finish all components for a clean,professional appearance.
2.5 Final Inspection and Cleanup
• Schedule and coordinate final inspection with building authorities.
• Provide as-built documentation if required.
• Remove all construction debris,tools,and excess materials from the site.
• Restore any disturbed landscaping or surfaces to original condition.
3.Deliverables
• Two fully installed and code-compliant 6'x 14'cantilevered mansard-style shade structures.
• Final inspection approval and permit closeout.
• Warranty documentation for structure and materials.
• Engineering and permit drawings(digital and printed copies).
4.Exclusions
• Electrical work(unless explicitly requested).
• Landscaping or irrigation adjustments beyond those disturbed by the immediate installation area.
• Unexpected soil remediation or underground utility relocation.
5.Schedule
