3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
4 BEACH, FLORIDA, APPROVING A FOURTH AMENDMENT TO MODIFY
5 THE EXISTING PURCHASE AGREEMENT AND ISSUE A PURCHASE
6 ORDER FOR TWO REPLACEMENT DRONES FOR THE BOYNTON BEACH
7 POLICE DEPARTMENT; AND FOR ALL OTHER PURPOSES.

9 WHEREAS, on November 14, 2022, the City entered a Master Services and Purchasing
10 Agreement with Axon Enterprise, Inc. ("Vendor") approved by Resolution No. R22-168; and
11 WHEREAS, on December 19, 2023, the City and Vendor entered a First Amendment to the
12 Master Services and Purchasing Agreement for the purchase of a Virtual Reality Training System
13 for an amount not to exceed $156,207.48 over a five (5) year term, approved by Resolution No.
14 R23-189; and
15 WHEREAS, on August 6, 2024, the City and Vendor entered a Second Amendment to the
16 Master Services and Purchasing Agreement for the purchase of in-car video camera systems,
17 body-worn cameras, and tasers in an amount not to exceed $436,180.19 over a 49-month term;
18 and
19 WHEREAS, on August 7, 2024, the City and Vendor entered a Third Amendment to the
20 Master Services and Purchasing Agreement for the purchase of additional in-car video camera
21 systems, maintenance of the current body worn camera ("BWC") allocation, and transition from
22 Taser 7 to the new Taser 10 platform in an amount not to exceed $8,756,637.51 over a 120-month
23 term; and
24 WHEREAS, the City's Police Department desires to modify the existing Axon Master
25 Contract to replace two previously acquired drones, with the replacement units featuring updated
26 models and enhanced capabilities, valued at $70,854.30, which will be provided at no additional
27 cost to the City based on a credit from AXON; and
28 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
29 best interests of the City's citizens and residents to approve a Fourth Amendment to the Master
30 Services and Purchase Agreement with the Vendor for the replacement of two previously acquired
31 drones; and
32 WHEREAS, the replacement units will feature updated models and enhanced capabilities
33 and will be provided at no additional cost to the City.
34 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
35 BEACH, FLORIDA, THAT:
36 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
37 being true and correct and are hereby made a specific part of this Resolution upon adoption.
38 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
39 approve a Fourth Amendment to the Master Services and Purchase Agreement with the Vendor
40 for the replacement of two previously acquired drones, with the replacement units featuring
41 updated models and enhanced capabilities, which will be provided at no additional cost to the
42 City (the "Amendment"), in form and substance similar to that attached as Exhibit A.
43 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby
44 authorizes the Mayor to execute the Amendment. The Mayor is further authorized to execute any
45 ancillary documents as may be necessary to accomplish the purpose of this Resolution.
46 SECTION 4. The City Clerk shall retain the fully executed Amendment as a public record
47 of the City. A copy of the fully executed Amendment shall be provided to the Police Department
48 to forward to the Vendor.
49 SECTION 5. This Resolution shall take effect in accordance with the law.

Ai. AXONFourth Amendment to the Master
Services and Purchasing Agreement
This Fourth Amendment ("Amendment") is between Axon Enterprise, Inc. (f/k/a Taser International, Inc.),
a Delaware corporation ("Axon"), and the City of Boynton Beach ("Agency"). This Amendment is effective
as of the last signature date on this Amendment (''Effective Date"). Axon and Agency are each a "Party"
and collectively"Parties".
Axon and Agency are Parties to the TASER 7 Agreement by and between Axon Enterprise, Inc. and the
City of Boynton Beach Police Dept., dated June 7, 2021 (the"Agreement"), which was supplemented by
the Master Services and Purchasing Agreement and Addendum dated November 14, 2022, under 0-
385041, and further amended on December 19, 2023 under Q-511382 (Amendment 1), on August 7,
2024 under Q0594677 and Q-594686 (Amendment 2), and under Q-690291 (Amendment 3).
The Parties wish to incorporate further changes into the Agreement in order to expand the scope of offered
products.
The Parties therefore agree as follows:
1. The attached documents are hereby incorporated into the Agreement:

2. All other terms and conditions of the Agreement shall remain unchanged and in full force and effect.
3. Controlling Provisions. Except as otherwise specifically provided in this Amendment, in the event
of any conflict between the Agreement,Addendum to Master Services and Purchasing Agreement,
and this Fourth Amendment, the provisions shall be given precedence in the following order: (1)
Addendum to Master Services and Purchasing Agreement, (2)this Fourth Amendment, and(3)the
Agreement.

Room purchase, if applicable. In the event you and Axon have entered into a prior agreement to govern all future purchases, that agreement shall govern to
