3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
4 BEACH, FLORIDA, APPROVING THE PURCHASE OF WEBSITE AND
5 MUNICODE HOSTING, MAINTENANCE, AND SUPPORT SERVICES
6 FROM CIVICPLUS LLC IN AN AMOUNT NOT TO EXCEED $150,000;AND
7 FOR ALL OTHER PURPOSES.

9 WHEREAS, CivicPlus LLC has served as the City's website vendor, providing a secure and
10 responsive platform to ensure reliable access to municipal content and public services; and
1 I WHEREAS, this purchase will ensure uninterrupted access to the City's official website and
12 continued support for digital services, enhancing public communication, transparency, and
13 reliability; and
14 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
15 best interests of the City's citizens and residents to approve the purchase of website and
16 Municode hosting, maintenance, and support services from CivicPlus LLC in an amount not to
17 exceed $150,000.

19 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
20 BEACH, FLORIDA, THAT:
21 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
22 being true and correct and are hereby made a specific part of this Resolution upon adoption.
23 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
24 approve the purchase of website and Municode hosting, maintenance, and support services from
25 CivicPlus LLC in an amount not to exceed $150,000, as further detailed in Exhibit A, attached
26 hereto.
27 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby
28 authorizes the Mayor to execute any ancillary documents as may be necessary to accomplish the
29 purpose of this Resolution.
30 SECTION 4. This Resolution shall take effect in accordance with the law.

1 This renewal Statement of Work ("SOW') is between Boynton Beach, FL ("Customer") and CivicPlus, LLC, and
shall be subject to the terms and conditions of the Agreement for Professional Services signed by and between
the Parties; and the Master Services Agreement ("MSA") and applicable Solutions and Products terms found at:
www.civicplus.help/hc/p/legal-stuff, (collectively. the "Terms and Conditions"). By signing this SOW, Customer
expressly agrees to the Terms and Conditions throughout the Term of this SOW. The Terms and Conditions form
the entire agreement between Customer and CivicPlus (collectively, referred to as the "Agreement"). The Parties
agree the Agreement shall supersede and replace all prior agreements between the Parties with respect to the
services provided by CivicPlus herein (the"Services")
2. This SOW shall remain in effect for an initial term from January 6, 2026 through January 5, 2029 (the "Initial
Term"). In the event that neither party gives 60 days' notice to terminate prior to the end of the Initial Term, or any
subsequent Renewal Term, this SOW shall automatically be renewed for an additional twelve month renewal term
("Renewal Term") The Initial Term and all Renewal Terms are collectively referred to as the"Term".
3. Annual Recurring Services shall be invoiced on January 6 of each calendar year thereafter and be subject to a
4% uplift for each Renewal Term. Client will pay all invoices within 30 days of the date of such invoice.
