R25-303 1 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 2 BEACH, FLORIDA, APPROVING AN INTERLOCAL AGREEMENT 3 BETWEEN THE CITY AND THE BOYNTON BEACH COMMUNITY 4 REDEVELOPMENT AGENCY FOR FUNDING FOR THE 5 ENGINEER/PROJECT MANAGER POSITION; AND FOR ALL OTHER 6 PURPOSES. 7 8 9 WHEREAS, the Community Redevelopment Agency ("CRA") is tasked with implementing 10 the Community Redevelopment Plan and facilitating the redevelopment of areas within its 11 designated boundaries; and 12 WHEREAS, to facilitate its mission, the CRA frequently collaborates with the City, 13 completes and submits applications to the City, and works with the City on mutually acceptable, 14 beneficial efforts within the CRA. The CRA must complete numerous project applications and 15 other redevelopment-related requests; and 16 WHEREAS, the City is responsible for processing the CRA's project applications and 17 supporting related redevelopment functions; and 18 WHEREAS, the City desires to establish and fill a position for an Engineer/Project Manager 19 exclusively focused on CRA projects to serve as a liaison between the City and the CRA (the "CRA 20 Project Manager"); and 21 WHEREAS, the CRA Project Manager will lead the full life cycle of public infrastructure and 22 redevelopment initiatives—from initial planning and design through construction and close-out; 23 manage project scopes, budgets, and schedules while ensuring compliance with all applicable 24 codes, permitting requirements, and CRA regulations; coordinate with consultants, contractors, 25 and City departments to deliver high-quality, community-focused projects that support 26 revitalization goals; oversee engineering designs and construction activities, conduct site 27 inspections, and resolve field issues to maintain progress and quality; handle contract 28 administration, budget tracking, and procurement tasks; and engage with stakeholders- 29 including residents, businesses, and City leadership—to ensure transparency, gather input, and 30 align projects with the community's needs; and 31 WHEREAS, the CRA may lend, grant, or contribute funds to a municipality for the purpose RESOLUTION NO. R25-303 32 of aiding in the planning, undertaking, or carrying out of community redevelopment and related 33 activities; and 34 WHEREAS, the CRA desires to provide funding to the City for the CRA Project Manager 35 position; and 36 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 37 best interests of the City's citizens and residents to approve an Interlocal Agreement between the 38 City and the Boynton Beach Community Redevelopment Agency for Funding for the 39 Engineer/Project Manager position. 40 41 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 42 BEACH, FLORIDA, THAT: 43 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 44 being true and correct and are hereby made a specific part of this Resolution upon adoption. 45 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 46 approve an Interlocal Agreement between the City and the Boynton Beach CRA for Funding for 47 the Engineer/Project Manager position (the "Agreement"), in form and substance similar to that 48 attached as Exhibit A. 49 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby 50 authorizes the Mayor to execute the Agreement. The Mayor is further authorized to execute any 51 ancillary documents required under the Agreement or necessary to accomplish the purposes of 52 the Agreement, including any term extensions as provided in the Agreement, provided such 53 documents do not modify the financial terms or material terms. 54 SECTION 4. Upon full execution of the Interlocal Agreement, the Interlocal Agreement 55 shall be filed with the Clerk of the Circuit Court of Palm Beach County, Florida, as required by 56 Section 163.01(11), Florida Statutes, for interlocal agreements. 57 SECTION 5. Recitations. The recitations set forth above are hereby incorporated herein. 2. Project Manager Position.Following execution of this Agreement,the City shall establish and fill one new position titled "CRA Project Manager." The City shall ensure that the position is structured, assigned, and maintained in accordance with the roles, responsibilities, and requirements outlined in Exhibit"A". 3. Update to Exhibit "A." Exhibit"A" to this Agreement may be updated at any time by the mutual consent of both parties in a form mutually consented to by both parties. At such time as each party adopts an identical Exhibit "A" in a duly noticed public meeting, this Agreement shall be deemed amended such that the most recently adopted Exhibit "A" replaces the prior version of the Exhibit "A" in this Agreement without further action by the parties. I. Funding. The CRA shall provide funding to the City in an amount not to exceed one- hundred sixty thousand dollars ($160,000) in total for the one (1) CRA Project Manager position. Such funding shall be provided on a reimbursement basis as set forth in this Agreement. This Agreement and all obligations of the CRA are subject to and contingent upon annual budgetary funding and appropriations by the CRA. 2. Reimbursement. To obtain reimbursement from the CRA for costs associated with the CRA Project Manager position,the City shall provide a written request for reimbursement of funds to the CRA once per quarter, no later than 15 days after the end of the service period.The written request from the City must include all documentation necessary to show the payment and purpose of the payment for which the City is seeking reimbursement.The CRA shall remit payment to the City within thirty days of receipt of a complete request from the City. 3. Public Records. The City and the CRA each shall maintain their own records and documents associated with this Agreement in accordance with the requirements set forth in Chapter 119, Florida Statutes. All such records shall be adequate to justify all charges, expenses, and costs incurred in accordance with generally accepted accounting principles. Page 2 of 6 4901-4032-3445,v.3 Each Party shall have access to the other party's books,records and documents as required in this Agreement for the purpose of inspection or audit during normal business hours during the term of this Agreement and at least one year after the termination of the Agreement. 4. Term.This Agreement shall become valid and commence upon execution by the last party to this Agreement("Effective Date").This Agreement shall be in effect from the Effective Date and shall automatically renew each year on October 1. Either Party may terminate this Agreement upon 60 days notice to the other Party. 5. Filing. The City shall file this Agreement pursuant to the requirements of Section 163.01(11), Florida Statutes. 6. Sovereign Immunity. Nothing in this Agreement shall be deemed to affect the rights, privileges,and sovereign immunities of the CRA or the City as set forth in Section 768.28, Florida Statutes. 7. Severability. The validity of any portion, article, paragraph, provision, clause, or any portion thereof of this Agreement shall have no force and effect upon the validity of any other part of portion hereof.To that end, this Agreement is declared severable. 8. No Third-Party Beneficiaries. No provision of this Agreement is intended to, or shall be construed to, create any third-party beneficiary or to provide any rights to any person or entity not a party to this Agreement, including but not limited to any citizen or employees of the City or the CRA. 9. No Assignment.The Parties may not transfer or assign this Agreement in whole or in part, without prior written consent of the other, which may be granted or withheld at the other Party's absolute discretion. 10.Governing Law;Venue.This Agreement shall be governed by and in accordance with the Laws of Florida. Page 4 of 6 4901-4032-3445,v.3 Exhibit"A" CRA Project Manager Position Description The City shall ensure that the CRA Project Manager shall meet and perform in accordance with the following position descriptions and requirements: 1. The CRA Project Manager shall perform all duties exclusively within the boundaries of the Boynton Beach Community Redevelopment Areas and for the benefit of the Boynton Beach Community Redevelopment Agency. 2. The CRA Project Manager shall work as a liaison between the City and the CRA to ensure CRA applications, permits, and other redevelopment-related requests are processed efficiently and in a timely manner. 3. Duties of the CRA Project Manager shall be as follows: a. Project Planning& Development i. Develop and manage scope, budget, and schedules for CRA-funded capital improvement and redevelopment projects. ii. Conduct feasibility studies, site evaluations, and technical assessments for proposed projects. iii. Coordinate with planning, zoning, and building departments to ensure project alignment with city regulations and redevelopment goals. b. Engineering& Design Oversight i. Prepare or review engineering designs, construction drawings, specifications, and cost estimates. ii. Oversee consultants and ensure that designs meet applicable codes, standards, and sustainability goals. iii. Ensure utility coordination and compliance with environmental and permitting requirements. c. Construction Management i. Manage construction activities, including contractor oversight, inspections, and quality control. ii. Administer contracts and change orders, and ensure timely completion of projects within budget. d. Financial & Contract Administration i. Prepare bid documents, assist in procurement processes, and evaluate contractor bids. ii. Track project budgets and expenditures,including CRA funding,grants,and other sources. iii. Ensure accurate documentation and reporting of project progress and financial status. e. Stakeholder& Community Engagement i. Serve as liaison between the CRA,city departments, consultants,residents, and business owners. ii. Host or participate in public meetings to present project updates and gather community input. iii. Address stakeholder concerns and incorporate community feedback into project planning when feasible. f. Regulatory Compliance& Reporting i. Ensure adherence to federal, state, and local regulations, including CRA statutes and reporting requirements. ii. Maintain detailed project files, timelines, and audit-ready documentation. iii. Prepare and present reports to city leadership, CRA boards, and funding agencies as required. g. Strategic Planning& Support i. Assist in identifying and prioritizing projects within CRA districts that support long-term redevelopment goals. ii. Contribute to the development of capital improvement plans (CIPs) and grant applications. iii. Monitor industry trends and best practices in urban redevelopment, engineering, and project delivery.
