R26-058 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 2 BEACH, FLORIDA, APPROVING THE AMENDMENT AND 3 MODIFICATION OF THE SUBSCRIPTION SERVICES ORDER ORIGINALLY 4 APPROVED BY THE CITY MANAGER FOR $74,210 TO ADD SMART 5 AUTOMATED TESTING SERVICES FROM KAINOS WORKSMART INC., 6 IN THE AMOUNT OF $298,980 FOR A THREE-YEAR TERM, PLUS A 7 CONTINGENCY ALLOWANCE OF $40,000, BRINGING THE NEW 8 CONTRACT TOTAL TO $413,190, PURSUANT TO THE SOLE SOURCE 9 PROCUREMENT EXEMPTION; AND FOR ALL OTHER PURPOSES. 10 11 WHEREAS, the City of Boynton Beach is currently implementing Workday, a cloud-based 12 enterprise resource planning ("ERP") platform, to modernize operations across Human Capital 13 Management ("HCM"), Finance, Security, and Payroll. As part of a successful Workday 14 implementation, comprehensive and structured testing is required to validate system 15 configurations, integrations, and data integrity prior to go-live and throughout ongoing system 16 updates; and 17 WHEREAS, the City entered into a Kainos Subscription Service Order Form in the amount 18 of $74,210 for the purchase of the Smart Audit Subscription Service; and 19 WHEREAS, to support this effort, staff evaluated automated testing solutions purpose- 20 built for Workday environments. Following that review, the staff recommends purchasing 21 additional services from Kainos for their Smart Test platform. Kainos Smart Test is a Workday- 22 native automated testing tool that enables the City to efficiently validate system changes, reduce 23 manual testing effort, and minimize implementation risk; and 24 WHEREAS, this purchase is being made pursuant to the Sole Source Procurement 25 Exemption outlined in Section X, Alternatives to Formal Sealed Bids, of the procurement policy. 26 This section permits sole-source services and purchases when it is determined that only one viable 27 source is available. Such circumstances may include, but are not limited to, repairs or additions 28 from the original equipment manufacturer, exclusive regional suppliers, franchised or licensed 29 distributors, or proprietary items. Kainos has submitted the required documentation to the City, 30 and the Procurement Division has affirmed that the documentation for this purchase meets the 31 Sole Source Procurement Exemption criteria; and 32 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the RESOLUTION NO. R26-058 33 best interests of the City's citizens and residents to approve the amendment and modification of 34 the subscription services order form originally approved by the City Manager in the amount of 35 $74,210 to add Smart Test Automated Testing Services from Kainos WorkSmart Inc., in the amount 36 of $298.980 for a three-year term, plus a contingency allowance of $40,000, bringing the new 37 amount payable total to $413,190, pursuant to the Sole Source Procurement Exemption. 38 39 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 40 BEACH, FLORIDA, THAT: 41 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 42 being true and correct and are hereby made a specific part of this Resolution upon adoption. 43 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 44 approve the amendment and modification of the subscription services order form originally 45 approved by the City Manager in the amount of $74,210 to add Smart Test Automated Testing 46 Services from Kainos WorkSmart Inc., in the amount of $298,980 for a three-year term, plus a 47 contingency allowance of$40,000, bringing the new amount payable total to $413,190, pursuant 48 to the Sole Source Procurement Exemption., as further detailed in the Kainos Subscription Service 49 Additional Order Form, attached hereto as Exhibit A. 50 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby 51 authorizes the Mayor to execute the Order Form. The Mayor is further authorized to execute any 52 ancillary documents as may be necessary to accomplish the purpose of this Resolution. 53 SECTION 4. The City Clerk shall retain the fully executed Order Form as a public record 54 of the City. A copy of the fully executed Order Form shall be provided to Andrew Rozwadowski 55 to forward to the Vendor. 56 SECTION 5.
