R26-100 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 2 BEACH, FLORIDA, APPROVING AN AGREEMENT BETWEEN THE CITY 3 OF BOYNTON BEACH AND ENVIRONMENTAL SYSTEMS RESEARCH 4 INSTITUTE, INC. FOR GEOGRAPHIC INFORMATION SYSTEM 5 SOFTWARE SUBSCRIPTIONS AND RELATED SERVICES, AT A BASE 6 CONTRACT AMOUNT OF $60,300.00 PER YEAR, WITH A NOT-TO- 7 EXCEED BUDGETARY AUTHORIZATION OF $100,000.00 ANNUALLY, 8 FOR A THREE (3) YEAR TERM NOT TO EXCEED $300,000.00 IN THE 9 AGGREGATE; PROVIDING AN EFFECTIVE DATE; AND FOR ALL OTHER 10 PURPOSES. 11 12 WHEREAS, the City relies on Geographic Information System ("GIS") software to support 13 a wide range of municipal operations, including field inspections, asset tracking, emergency 14 response mapping, and spatial data analysis across multiple City departments; and 15 WHEREAS, Environmental Systems Research Institute, Inc. ("Vendor") is the leading 16 provider of GIS software and services in the United States and the sole source of the ArcGIS 17 platform products required by the City; and 18 WHEREAS, the City's Information Technology Services Department has determined that 19 the continued use of Vendor's ArcGIS platform strengthens City operations by providing accurate, 20 up-to-date geographic information that supports decision-making and improves service delivery 21 across departments; and 22 WHEREAS, this purchase is being made pursuant to the Procurement Exemption outlined 23 in Section IV, Exclusion No. 11, as Vendor is the manufacturer, developer, and producer of the 24 ArcGIS platform, and the subscription-based software fees are unique to the Vendor and contain 25 historical geographic data, configurations, and institutional knowledge that cannot be easily or 26 without cost be migrated to another software application; and 27 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 28 best interests of the City's citizens and residents to approve the Agreement and Addendum with 29 Vendor for GIS software subscriptions and related services. 30 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 31 BEACH, FLORIDA, THAT: 32 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as RESOLUTION NO. R26-100 33 being true and correct and are hereby made a specific part of this Resolution upon adoption. 34 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 35 approve the Small Government Enterprise Agreement (E214-3) and the Addendum to Small 36 Enterprise Agreement County and Municipality Government No. 00351835.0 between the City of 37 Boynton Beach and Environmental Systems Research Institute, Inc., for the purchase of GIS 38 software subscriptions and related services, at a base contract amount of$60,300.00 per year, with 39 a not-to-exceed budgetary authorization of $100,000.00 annually to accommodate additional 40 licenses, modules, or related Esri products and services, for a three (3) year term not to exceed 41 $300,000.00 in the aggregate, in form and substance similar to that attached as Exhibit A. 42 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby 43 authorizes the Mayor to execute the Agreement and any ancillary documents as may be necessary 44 to accomplish the purpose of this Resolution. 45 SECTION 4. The fully executed Agreement shall be retained by the City Clerk as a public 46 record of the City, and a copy shall be provided to Stephanie Brown to forward to the Vendor. 47 SECTION 5. There will be no decrease in Fee as a result of any Ownership Change. If an Ownership Change increases the cumulative program count beyond the maximum level for this Agreement, Esri reserves the right to increase the Fee or terminate this Agreement and the parties will negotiate a new agreement. If an Ownership Change results in transfer or sale of a portion of Customer's organization, that portion of Customer's organization will transfer the Products to Customer or uninstall, remove, and destroy all copies of the Products. 9.3 This Agreement may not be assigned to a successor entity as a result of an Ownership Change unless approved by Esri in writing in advance. If the assignment to the new entity is not approved, Customer will require any successor entity to uninstall, remove, and destroy the Products. Page 6 of 6 June 30,2025 ADDENDUM TO SMALL ENTERPRISE AGREEMENT COUNTY AND MUNICIPALITY GOVERNMENT No. 00351835.0 THIS ADDENDUM ("Addendum") is made by and between the City of Boynton Beach, Florida,a municipal corporation organized and existing under the laws of Florida,with a business address of 100 East Ocean Avenue, Boynton Beach, Florida 33435 ("City") and Environmental Systems Research Institute, Inc., a corporation registered to do business in the State of Florida ("Esri„). WHEREAS,the City is in need of certain GIS software; and WHEREAS, Esri is a provider of the desired GIS software and submitted a quotation and Small Enterprise Agreement County and Municipality Government (E214-3) No. 00351835.0 (collectively the"Esri Agreement") for the desired software; and WHEREAS,the City and Esri desire to enter this Addendum for the provision of the GIS software and related services consistent with the Esri Agreement and this Addendum; and, WHEREAS, the City finds the acceptance and execution of the Esri Agreement and this Addendum serves a valid public purpose. NOW THEREFORE,in consideration of the mutual promises contained within the Esri Agreement and in this Addendum, (with this Addendum and the Esri Agreement hereafter referred to as the "Contract Documents"),the City and Esri agree as follows: SECTION 1 —Recitals Small Enterprise Agreement 1.1 The foregoing recitals are incorporated into this Addendum as true and correct statements and made apart hereof. SECTION 2—Public Records. Esri shall: (a) Keep and maintain public records required by the public agency to perform the service. (b) Upon request from the public agency's custodian of public records,provide the public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in this chapter or as otherwise provided by law. (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the Agreement term and following completion of the Agreement if Esri does not transfer the records to the public agency. (d) Upon completion of the Agreement,transfer,at no cost,to the public agency all public records in possession of Esri or keep and maintain public records required by the public agency to perform the service. If Esri transfers all public records to the public agency upon completion of the Agreement, subject to applicable law and ethical rules, Esri shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If Esri keeps and maintains public records upon completion of the Agreement, Esri shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to the public agency, upon request from the public agency's custodian of public records, in a format that is compatible with the information technology 1 systems of the public agency. When applicable, Esri shall comply with all State or Federal EOE regulations. SECTION 5—Scrutinized Companies. Esri has a continuous duty to disclose to the City if Esri or any of its affiliates as defined by Section 287.133(1)(a),Florida Statutes are placed on the convicted vendor list or the Antitrust Violator Vendor List. SECTION 7—Human Trafficking. Esri confirms that it does not use coercion for labor or services as defined in section 787.06, Florida Statutes. SECTION 8—Prohibited Telecommunications Equipment. Esri certifies that it does not and will not use any equipment, system, or services that uses covered telecommunications equipment or services as a substantial or essential component of any system,or as critical technology as part of any system, as such terms are used in 48 CFR § 52.204-24 through 52.204-26. By executing this Agreement, Esri certifies that Esri must not provide or use such covered telecommunications equipment, system, or services for any scope of work performed for the City for the entire duration of this Agreement. SECTION 9—Environmental and Social Government and Corporate Activism. Esri is prohibited from giving preference to any subcontractor based on the subcontractor's social, political or ideological interests as mandated in Section 287.05701, Florida Statutes. 2 SECTION 10—Order of Precedence.In the event of a conflict between the terms and conditions of the Esri Agreement and this Addendum,the terms of this Addendum shall prevail. SECTION 11—Attorney's Fees.In the event of any legal or administrative proceedings arising from or related to this Agreement,each party shall bear its own costs and attorney's fees. SECTION 12—Compliance with Laws. Esri agrees to comply with all applicable laws. SECTION 13—Sovereign Immunity.Nothing in this Agreement shall be interpreted as a waiver of the City's sovereign immunity as granted pursuant to Section 768.28 Florida Statutes.
