A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
2 BEACH, FLORIDA, APPROVING THE FIRST AMENDMENT TO THE
3 AGREEMENT FOR RFP NO. 25-058R FOR HEATING VENTILATION AIR
4 CONDITIONING EQUIPMENT, MAINTENANCE, PRODUCTS, SERVICES,
5 AND REPAIRS BETWEEN THE CITY AND SHAMTEC, INC., TO ADD
6 EIGHT ADDITIONAL LOCATIONS AND INCREASE THE ANNUAL NOT-
7 TO-EXCEED AMOUNT TO $700,000; AND FOR ALL OTHER PURPOSES.

9 WHEREAS, the City and Shamtec, Inc. ("Vendor") entered into an Agreement for RFP No.
10 25-058R for Citywide Heating, Ventilation, and Air Conditioning Equipment, Maintenance,
11 Products, Services, and Repairs, with an annual amount not to exceed $500,000, approved by
12 Resolution No. R25-290 on November 4, 2025; and
13 WHEREAS, the parties desire to amend the Agreement's scope of services to add eight
14 additional locations, and amend the annual amount not to exceed from $500,000 to $700,000;
15 and
16 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
17 best interests of the City's citizens and residents to approve the First Amendment to the
18 Agreement for RFP No. 25-058R for Citywide Heating, Ventilation, and Air Conditioning
19 Equipment, Maintenance, Products, Services, and Repairs between the City and Shamtec, Inc. to
20 add eight additional locations and increase the annual not-to-exceed amount to $700,000.

22 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
23 BEACH, FLORIDA, THAT:
24 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
25 being true and correct and are hereby made a specific part of this Resolution upon adoption.
26 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
27 approve the First Amendment to the Agreement for RFP No. 25-058R for Heating Ventilation Air
28 Conditioning Equipment, Maintenance, Products, Services, and Repairs between the City and
29 Shamtec, Inc. to add eight additional locations and increase the annual not-to-exceed amount to
30 $700,000 (the "Amendment"), in form and substance similar to that attached as Exhibit A.
31 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby

32 authorizes the Mayor to execute the Amendment. The Mayor is further authorized to execute any
33 ancillary documents as may be necessary to accomplish the purpose of this Resolution.
34 SECTION 4. The City Clerk shall retain the fully executed Amendment as a public record
35 of the City. A copy of the fully executed Amendment shall be provided to Maria Rozwadowski to
36 forward to the Vendor.
37 SECTION 5. This Resolution shall take effect in accordance with the law.

This First Amendment("Amendment")is entered into by and between the City of Boynton
Beach, a Florida municipal corporation ("City"), and Shamtec, Inc., a Florida corporation
("Vendor")(collectively referred to as the"Parties").
RECITALS
A. On November 4, 2025, the Parties entered into Contract No. 25-058R (the
"Agreement")for Citywide Heating,Ventilation,and Air Conditioning Equipment, Maintenance,
Products,Services and Repairs,approved by Resolution No. R25-290.
B. The Parties desire to amend the Agreement to add eight additional locations to
the agreement.
Now, therefore, in consideration of the mutual terms and conditions, promises,
covenants,and payments hereinafter set forth,City and Vendor agree as follows:
1. The above Recitals are true and correct and are incorporated herein by reference. All
capitalized terms not expressly defined within this Amendment shall retain the meaning ascribed
to such terms in the Agreement.
2. Except as modified herein, all remaining terms and conditions of the Agreement shall
remain in full force and effect.
3. The Agreement is hereby amended as follows:
Award Amount Threshold Increase,.The maximum amount to be paid by the City pursuant
to this Agreement is hereby increased from an annual amount not to exceed Three
Hundred Ninety-Eight Thousand Two Hundred Seventy-Six Dollars($398,276.00)("Fee")
calculated based on the anniversary date of complete execution of the Agreement as well
as $101,724.00 as an allowance for additional work that occurs outside of the regular
maintenance schedule to an annual amount not to exceed Five Hundred Forty-Seven
Thousand Three Hundred Seventy-Six Dollars($547,376.00)("Fee")calculated based on
the anniversary date of complete execution of the Agreement as well as$152,624.00 as
an allowance for additional work that occurs outside of the regular maintenance
schedule.

Additional Pricine for each Service Location,Additional Item Numbers 1-10 for Locations
on attached Exhibit A is hereby added to the Agreement.
1. The unit price for the Pistol Range shall be$20,900.00 annually; serviced and billed
semi-annually at$10,450.00.
2. The unit price for the Senior Center shall be$16,800.00 annually;serviced and billed
quarterly at$4,200.00.
3. The unit price for Denson Pool shall be $2,000.00 annually; serviced and billed
quarterly at$500.00.
4. The unit price for Rolling Green shall be $2,000.00 Annually, serviced and billed
quarterly at$500.00.
5. The unit price for Public Works Building#4 shall be$20,800.00 annually,serviced and
billed quarterly at$5,200.00.
6. The unit price for Centennial Square Dressing Room shall be $2000.00 annually,
serviced and billed quarterly at$500.00.
7. The unit price for the additional unit at West Water Plant (under warranty for parts
until October 2030)shall be$3600.00 annually,serviced and billed$900.00 quarterly.
8. The unit price for annual cleaning of the cooling tower and cleaning of the evaporator
and condenser for the chiller at the DES Plant shall be$75,000.00 billed Annually.
9. The unit price for three cool water A/C fan units shall be$6,000.00 Annually,serviced
and billed quarterly at$1,500.00.
4. In the event of any conflict or ambiguity between this Amendment and the Agreement,
the Parties agree that this Amendment shall control. The Agreement,as amended herein by this
Amendment, incorporates and includes all prior negotiations, correspondence, conversations,
agreements, and understandings applicable to the matters contained herein, and the Parties
agree that there are no commitments, agreements, or understandings concerning the subject
matter hereof that are not included in the Agreement as amended in this
Amendment. Accordingly, the Parties agree that no deviation from the terms hereof shall be
predicated upon any prior representations or agreements,whether oral or written.

5. Vendor acknowledges that through the date this Amendment is executed by Vendor,
Vendor has no claims or disputes against City concerning any of the matters covered by the
Agreement.
6. The following new sections are added to the Agreement as follows:
(a) Prohibited Telecommunications Eauioment.Vendor represents and certifies that
Vendor and all subcontractors do not use any equipment, system, or service that uses
covered telecommunications equipment or services as a substantial or essential
component of any system,or as critical technology as part of any system,as such terms
are used in 48 CFR§§52.204-24 through 52.204-26.Vendor represents and certifies that
Vendor and all subcontractors shall not provide or use such covered telecommunications
equipment,system,or services during the duration of the term of the Agreement.
7. The effective date of this Amendment shall be the date of complete execution by the
Parties.
8. This Amendment may be executed in multiple originals and may be executed in
counterparts, whether signed physically or electronically, each of which shall be deemed to be
an original,but all of which,taken together,shall constitute one and the same agreement.
