R26-116 RESOLUTION NO. R26-116 1 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 2 BEACH, FLORIDA, APPROVING THE FIRST AMENDMENT TO THE 3 AGREEMENT BETWEEN THE CITY AND CLEAN SPACE,INC. FOR ITB NO. 4 CW24-064 FOR JANITORIAL SERVICES FOR MUNICIPAL BUILDINGS, 5 FACILITIES, AND UTILITIES BUILDINGS WITHIN THE CITY, 6 INCREASING THE TOTAL YEARLY AMOUNT NOT TO EXCEED TO 7 $430,000 PER YEAR, AND INCLUDE ADDITIONAL CITY FACILITY 8 LOCATIONS AND ADDITIONAL SERVICES AT EACH LOCATION; AND 9 FOR ALL OTHER PURPOSES. 10 11 WHEREAS, the City and Clean Space, Inc. ("Vendor") entered into an Agreement for ITB 12 No. CW24-064 for Janitorial Services for Municipal Buildings, Facilities, and Utilities Buildings 13 within the City, with an annual expenditure not to exceed $400,000, approved by Resolution No. 14 R25-014 on January 7, 2025; and 15 WHEREAS, effective December 27, 2024, Clean Space, Inc. converted from a Florida profit 16 corporation into a Delaware limited liability company under the name ABS Clean Space, LLC, 17 pursuant to Articles of Conversion filed with the Florida Department of State (Document No. 18 P11000038467); and 19 WHEREAS, Effective January 14, 2025, ABS Clean Space, LLC converted from a Delaware 20 limited liability company into a Florida limited liability company under the name Clean Space, LLC, 21 pursuant to Articles of Conversion and Articles of Organization filed with the Florida Department 22 of State (Document No. L25000020434); and 23 WHEREAS, on February 14, 2025, Clean Space, LLC filed Articles of Amendment with the 24 Florida Department of State (Document No. L25000020439) to add its Employer Identification 25 Number (EIN: 32-0338631) to the entity's record; and 26 WHEREAS, the City and Clean Space, LLC desire to amend the Agreement to increase the 27 total yearly not to exceed amount and include additional City Facility locations and additional 28 services at each of the locations; and 29 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 30 best interests of the City's citizens and residents to approve the First Amendment to the 31 Agreement between the City and Clean Space, Inc., for ITB No. CW24-064 for Janitorial Services 32 for Municipal Buildings, Facilities, and Utilities Buildings within the City, increasing the total yearly RESOLUTION NO. R26-116 33 amount not to exceed to $430,000 per year, and include additional City Facility locations and 34 additional services at each location. 35 36 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 37 BEACH, FLORIDA, THAT: 38 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 39 being true and correct and are hereby made a specific part of this Resolution upon adoption. 40 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 41 approve the First Amendment to the Agreement between the City and Clean Space, Inc., for ITB 42 No. CW24-064 for Janitorial Services for Municipal Buildings, Facilities, and Utilities Buildings 43 within the City, increasing the total yearly amount not to exceed to $430,000 per year, and include 44 additional City Facility locations and additional services at each location (the "Amendment"), in 45 form and substance similar to that attached as Exhibit A. 46 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby 47 authorizes the Mayor to execute the Amendment. The Mayor is further authorized to execute any 48 ancillary documents as may be necessary to accomplish the purpose of this Resolution. 49 SECTION 4. The City Clerk shall retain the fully executed Amendment as a public record 50 of the City. A copy of the fully executed Amendment shall be provided to Maria Rozwadowski to 51 forward to the Vendor. 52 SECTION 5. FOR JANITORIAL 4.1*0N e' SERVICES FOR CITY MUNICIPAL BUILDINGS, FACILITIES, AND UTILITIES BUILDINGS This First Amendment("Amendment") is entered into by and between the City of Boynton Beach, a Florida municipal corporation ("City"), and Clean Space, LLC, a Florida Limited Liability Company with a principal address at 3764 NW 124th Avenue, Coral Springs, FL 33065 ("Vendor") (collectively referred to as the "Parties"). RECITALS A. On January 8, 2025, the City and Clean Space, Inc. (EIN: 32-0338631) entered into Contract No. CW24-064 (the "Agreement") for Janitorial Services for City Municipal Buildings, Facilities, and Utilities Buildings, approved by Resolution No. R25-014. B. Effective December 27, 2024, Clean Space, Inc. converted from a Florida profit corporation into a Delaware limited liability company under the name ABS Clean Space, LLC, pursuant to Articles of Conversion filed with the Florida Department of State (Document No. P11000038467). C. E. The City and Clean Space, LLC desire to amend the Agreement to increase the total yearly not to exceed amount and include additional City Facility locations and Additional Services at each of the locations. Now, therefore, in consideration of the mutual terms and conditions, promises, covenants, and payments hereinafter set forth, City and Vendor agree as follows: 1. The above Recitals are true and correct and are incorporated herein by reference. All capitalized terms not expressly defined within this Amendment shall retain the meaning ascribed to such terms in the Agreement. 2. Except as modified herein, all remaining terms and conditions of the Agreement shall remain in full force and effect. 1st Amendment to Contract No. CW24-064 Page 1 of 7 3. The Agreement is hereby amended as follows: Award Amount Threshold Increase. The maximum amount to be paid by the City pursuant to this Agreement is hereby increased from Four Hundred Thousand Dollars ($400,000.00) to Four Hundred Thirty Thousand Dollars ($430,000.00) per year. Additional Services / Unit Pricing. Additional Locations and Additional Services are hereby added to the Agreement. The Vendor shall be paid by the City for completed work and for services rendered in accordance with the price proposal, a copy of which is attached hereto as Exhibit "A" and incorporated herein. Additional Location(s). Vendor may provide Services at the following additional location(s): • Bovnton Beach Police Department Substation — 209 N. Seacrest Blvd. • Harvey Over Jr. Park Restrooms — 2010 N. Federal Highway • Bovnton Beach Little League Park— 300 Woolbright Road • Oceanfront Concession— 6415 N. Ocean Blvd., Ocean Ridge, FL 33435 • Public Works— Gym — 222 N.E. 9th Avenue • Rolling Greens — 515 14th Court NW • Sara Sims Park— 209 NW 9th Court • US Coast Guard Building — 2010 N. Federal Hwy • Links at Bovnton Beach Golf— 8020 Jog Road, Boynton Beach, FL 33435 Location(s) to be Removed. Vendor to remove services at the following location(s): • Marina — 511 East Ocean Drive • Park Rangers — 510 Ocean Avenue • Boat Club 4. In the event of any conflict or ambiguity between this Amendment and the Agreement, the Parties agree that this Amendment shall control. The Agreement, as amended herein by this Amendment, incorporates and includes all prior negotiations, correspondence, conversations, agreements, and understandings applicable to the matters contained herein, and the Parties agree that there are no commitments, agreements, or understandings concerning the subject matter hereof that are not included in the Agreement as amended in this Amendment. Accordingly, the Parties agree that no deviation from the terms hereof shall be predicated upon any prior representations or agreements, whether oral or written. 5. Vendor acknowledges that through the date this Amendment is executed by Vendor, Vendor has no claims or disputes against City concerning any of the matters covered by the Agreement. 6. The following new sections are added to the Agreement as follows: (a) Discriminatory Vendor and Scrutinized Companies List: Countries of Concern. 1st Amendment to Contract No. CW24-064 Page 2 of 7 Vendor represents that it has not been placed on the "discriminatory vendor list" as provided in Section 287.134, Florida Statutes, and that it is not a "scrutinized company" pursuant to Sections 215.473 or 215.4725, Florida Statutes. Vendor represents and certifies that it is not, and for the duration of the term of the Agreement, will not be ineligible to contract with City on any of the grounds stated in Section 287.135, Florida Statutes. Vendor represents that it is, and for the duration of the term of the Agreement will remain, in compliance with Section 286.101, Florida Statutes. (b) Prohibited Telecommunications Equipment. Vendor represents and certifies that Vendor and all subcontractors do not use any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, as such terms are used in 48 CFR §§ 52.204-24 through 52.204-26. Vendor represents and certifies that Vendor and all subcontractors shall not provide or use such covered telecommunications equipment, system, or services during the duration of the term of the Agreement. 7. The effective date of this Amendment shall be the date of complete execution by the Parties. 8. This Amendment may be executed in multiple originals and may be executed in counterparts, whether signed physically or electronically, each of which shall be deemed to be an original, but all of which, taken together, shall constitute one and the same agreement.
