A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
2 BEACH, FLORIDA, APPROVING AMENDMENT NO. 1 TO THE
3 AGREEMENT BETWEEN THE CITY AND SAGES NETWORKS, INC., FOR
4 ELECTRONIC PLAN REVIEW, PERMITTING, MOBILE INSPECTION, AND
5 CODE ENFORCEMENT, ADDING THE BUSINESS TAX RECEIPT SERVICE
6 TO THE SAGEGOV PLATFORM AND INCREASING THE ANNUAL
7 EXPENDITURE TO AN AMOUNT NOT TO EXCEED $297,375; AND FOR
8 ALL OTHER PURPOSES.

10 WHEREAS, on September 2, 2025, the City and Sages Networks, Inc., ("Vendor") entered
11 into an Agreement for Electronic Plan Review, Permitting, Mobile Inspection &Code Enforcement
12 (the "Agreement"), approved by Resolution No. R25-237; and
13 WHEREAS, the Parties desire to amend the Agreement to add the Business Tax Receipt
14 (BTR) services to the City's existing SageGov platform and increase the annual expenditure from
15 an amount not to exceed $200,000.00 to an amount not to exceed $297,375.00, which includes
16 the annual enterprise license fee of $170,750.00 per year, the one-time cost of $58,625.00 for
17 setup, configuration, integration, data migration, and professional services and training and
18 $68,000.00 per year for as-needed professional services; and
19 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
20 best interests of the City's citizens and residents to approve Amendment No. 1 to the Agreement
21 between the City and Sages Networks, Inc., for Electronic Plan Review, Permitting, Mobile
22 Inspection, and Code Enforcement, adding the Business Tax Receipt service to the SageGov
23 platform and increasing the annual expenditure to an amount not to exceed $297,375.

25 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
26 BEACH, FLORIDA, THAT:
27 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
28 being true and correct and are hereby made a specific part of this Resolution upon adoption.
29 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
30 approve Amendment No. 1 to the Agreement between the City and Sages Networks, Inc., for
31 Electronic Plan Review, Permitting, Mobile Inspection, and Code Enforcement, adding the Business
32 Tax Receipt service to the SageGov platform and increasing the annual expenditure to an amount

33 not to exceed $297,375 (the "Agreement"), in form and substance similar to that attached as
34 Exhibit A.
35 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby
36 authorizes the Mayor to execute the Amendment. The Mayor is further authorized to execute any
37 ancillary documents as may be necessary to accomplish the purpose of this Resolution.
38 SECTION 4. The City Clerk shall retain the fully executed Amendment as a public record
39 of the City. A copy of the fully executed Amendment shall be provided to Vilmar Villafane to
40 forward to the Vendor.
41 SECTION 5. This Resolution shall take effect in accordance with the law.

AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF

BOYNTON BEACH AND SAGES NETWORKS, INC.
This First Amendment("Amendment")is entered into by and between the City of Boynton
Beach, a Florida municipal corporation ("City"), and Sages Networks, Inc., a corporation
registered to transact business in the State of Florida ("Vendor") (collectively referred to as the
"Parties").
RECITALS
A. On September 2, 2025, the Parties entered into "Agreement Between the City of
Boynton Beach and Sages Networks, Inc., for Electronic Plan Review, Permitting, Mobile
Inspection & Code Enforcement" (the "Agreement"), approved by Resolution No. R25-237.
B. The Parties desire to amend the Agreement to add the Business Tax Receipt(BTR)
services to the City's existing SageGov platform and increase the annual expenditure from an
amount not to exceed $200,000.00 to an amount not to exceed $297,375.00, which includes the
annual enterprise license fee of$170,750.00 per year, the one-time cost of$58,625.00 for setup,
configuration, integration, data migration, and professional services and training and $68,000.00
per year for as-needed professional services billed at the hourly rates set forth in Exhibit A.
Now, therefore, in consideration of the mutual terms and conditions, promises, covenants,
and payments hereinafter set forth, City and Vendor agree as follows:
1. The above Recitals are true and correct and are incorporated herein by reference. All
capitalized terms not expressly defined within this Amendment shall retain the meaning ascribed
to such terms in the Agreement.
2. Except as modified herein, all remaining terms and conditions of the Agreement shall
remain in full force and effect.
3. The Agreement is hereby amended as follows:
Amendment to Section 3. FEE: The second sentence of Section 3 of the Agreement is hereby
deleted and replaced with the following language:
"The total annual amount shall not exceed Two Hundred Ninety-Seven Thousand Three
Hundred Seventy-Five Dollars ($297,375.00), which represents the annual enterprise license
fee of $170,750.00 per year, the one-time cost of $58,625.00 for setup, configuration,
integration, data migration, and professional services and training, and an allowance of
$68,000.00 per year for as-needed professional services billed at the hourly rates set forth in
Exhibit A (the "Fee")."

Amendment to Exhibit A: Exhibit A to the Agreement is hereby amended to incorporate the
Business License Software Proposal, attached hereto and made a part hereof. Except as
expressly amended herein, all terms and conditions of the Agreement remain in full force and
effect.
4. In the event of any conflict or ambiguity between this Amendment and the Agreement, the
Parties agree that this Amendment shall control. The Agreement, as amended herein by this
Amendment, incorporates and includes all prior negotiations, correspondence, conversations,
agreements, and understandings applicable to the matters contained herein, and the Parties agree
that there are no commitments,agreements,or understandings concerning the subject matter hereof
that are not contained in the Agreement as amended in this Amendment. Accordingly, the Parties
agree that no deviation from the terms hereof shall be predicated upon any prior representations or
agreements,whether oral or written.
5. Vendor acknowledges that through the date this Amendment is executed by Vendor,
Vendor has no claims or disputes against City with respect to any of the matters covered by the
Agreement.
6. The following new sections are added to the Agreement as follows:
(a) Prohibited Telecommunications Equipment. Vendor represents and certifies that
Vendor and all subcontractors do not use any equipment, system, or service that uses
covered telecommunications equipment or services as a substantial or essential component
of any system, or as critical technology as part of any system, as such terms are used in 48
CFR §§ 52.204-24 through 52.204-26. Vendor represents and certifies that Vendor and all
subcontractors shall not provide or use such covered telecommunications equipment,
system, or services during the duration of the term of the Agreement.
7. The effective date of this Amendment shall be the date of complete execution by the
Parties.
8. This Amendment may be executed in multiple originals, and may be executed in
counterparts, whether signed physically or electronically, each of which shall be deemed to be an
original, but all of which, taken together, shall constitute one and the same agreement.
