A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF BOYNTON BEACH, FLORIDA, AUTHORIZING
AND DIRECTING THE MAYOR AND CITY CLERK TO
EXECUTE A JANI-TORIAL SERVICES AGREEMENT
BETWEEN THE CITY OF BOYN.TON BEACH AND
FLORIDA ASSOCIATION OF REHABILITATION
FACILITIES, INC., RESPECT OF FLORIDA PROGRAM,
PROVIDING FOR JANITORIAL SERVICES AT THE EAST
AND WEST WATER TREATMENT PLANTS; AND
PROVIDING AN EFFECTIVE DATE.
WHEREAS, the City of Boynton Beach East and West Water Treatment
Plants require janitorial services on an annual basis; and
WHEREAS, the City Commission of the City of Boynton Beach, upon
recommendation of staff, has deemed it to be in the best interests of the citizens
and residents of the City to execute a Janitorial Services Agreement with Florida
Association of Rehabilitation Facilities, Inc., RESPECT of Florida Program, to
provide Janitorial Services at the East and West Water Treatment Plants.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF BOYNTON BEACH, FLORIDA THAT:
Section 1.. The City Commission of the City of Boynton Beach,
Florida, hereby authorizes and directs the Mayor and City Clerk to execute a a
Janitorial Services Agreement with Florida Association of Rehabilitation Facilities,
Inc., RESPECT of Florida Program, to provide Janitorial Services at the East and
West Water Treatment Plants. A copy of the Janitorial Services Agreement is
attached hereto as Exhibit "A."
Section 2. This Resolution shall take effect immediately upon passage.

AGREEMENT
THIS AGREEMENT, is entered into on this day of ,1997,
between the City of Boynton Beach, hereinafter referred to as "the City", and the
Florida Association of Rehabilitation Facilities, Inc., RESPECT of Florida Program,
hereinafter referred to as "RESPECT of Florida", in consideration of the mutual benefits,
terms, and conditions hereinafter specified.
WHEREAS, the procedure for procurement of services and commodities by
procUring agencies is set forth in Chapter 287, Florida Statutes; and
WHEREAS, Section 60E,1.005 of the Florida Administrative Code creates within
the Departmen~ of Management Services, a cen[ral not-for-profit agency designated as
the CommissiOn for Purchase from Blind or Other Severely Handicapped (hereinafter
"Commission'S; and

this contract, and that he has not paid or agreed to pay any company or person,
other than a bonafide employee working solely for RESPECT of Florida, any fee,
commission, percentage, brokerage fee, gifts, or any other consideration
contingent upon or resulting from the award or making of this contract. For
breach or violation of this warranty, the City shall be the right to annul this
contract without liability or, in its discretion to deduct from the contract price or
consideration, or otherwise recover, the full amount of such fee, commission,
percentage, brokerage fee, gift or contingent fee.
DISCRIMINATION PROHIBITED. RESPECT of Florida, with regard to the work
performed by it under this agreement, will not discriminate on the grounds of
race, co!or, national origin, religion, creed, age, sex or the presence of any
physical or sensory handicap in the selection and retention of employees or
procurement of materials or supplies·

TERMINATION.
The City reserves the right to terminate this agreement at any time by giving
twenty (20) days written notice to RESPECT of Florida.
DISPUTES. Any dispute out of the terms or conditions of this agreement shall
be adjudicated within the courts of Florida. Further, this agreement shall be
construed under Florida Law, and venue for any litigation shall be Palm Beach
County, Florida.
