R96-,¢'~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND CITY CLERK TO EXECUTE A LEASE BETWEEN THE CITY OF BOYNTON BEACH, FLORIDA AND BOYNTON JCP AssOCIATIONS,L,, LTD., REGARDING "CITY HALL AT THE MAL ; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, City staff has been diligently attempting to find a place to install a "satellite office" for certain community services to bring government to the residents, which would enhance community relations, and provide useful services to the community; and WHEREAS, a customer service center at the Boynton Beach Mall would benefit residents throughout the City because of its central location, as well as create exposure for the City and its programs from the approximately 20,000 residents who visit the mall daily; and WHEREAS, The Boynton Beach Mall, managed by DeBartolo Properties, has offered the City a rent-free store front of approximately 1,700 square feet; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH, FLORIDA, THAT: Section 1. The City Commission of the City of Boynton Beach, Florida hereby authorizes and directs the Mayor and City Clerk to execute an Agreement between the City of Boynton Beach and Boynton JCP Associates, Ltd., providing for space for a "satellite office" at the Mall, a copy of said Agreement being attached hereto as Exhibit IIAII' Section 2.. Licensee shall procure and continua in force from and after the date Lice~iSee es Possession of ~he Premises and continuing throughout the term of this License Agreement, Workers Compensation coverage as recldired by the State in Which the Premises is located, Employers Liability coverage, with a limit of not less th~n One Million Dollars ($1,000,000) per a~cident and per employee and Commercial General Liability Insurance on an Occurrence form including Products/Completed Operations, Personal/Advertising Injury and Fire Damage Liability coverage, with a limit of not less than One Million Dollars ($1,000,000) per occurrence. An Excess Policy may be ol~tained to comply with the required insurance cover- age limit. A minimum ten (10) day notice of cancellation is required on such insurance policy or policies. Licensor and Licensor's Property Man- ager shall be named as additional insureds on the insurance coverage outlined above. Licensee ~hell deliver to Licensor a Certificate of Insurance evidencing the required coverage and additional insured status prior to occupying Premises. Such insurance policy, or policies, shall be issued by an insurance company licensed to do business in the state where the Shopping Center is located. The minimum limits of the insurance cov- erege to be maintained by Licensee hereunder shall not limit Licensee's liability under this License Agreement. 9. Licensor, Licensor's Property Manager, any tenant or occupant of the Shopping Center and any fee owner or ground or underlying les- s°rs of the Shopping Center and their respective agents and employees shall not be responsible or liable at any time for (a) any defects, latent or otherwise, in any building or improvements in the Shopping Center or any of the equipment, machinery, utilities, appliances or apparatus therein, or (b) for any loss of life, or injury or damage to any person or to any property or business of Ucensee, or those claiming by, through or under Licensee, caused by, or resulting from, the bursting, breaking, leaking, running, seeping, overflowing or backing up of water, steam, gas, sewage, snow or ice in any part of the Premises or caused by or resulting from, acts of God or the elements, or resulting from any defect or negligence in theequipment, occupancy fixtures, construction, machinery, operation appliances or use or apparatus of any buildings therein, or improvements In the Shopping Center including the Premises, or any of the 10. '_, _ --, - .....u ....... or .............. ,~p~,u~,e or ,cue speaker in the Premises; (i) furnish Licensor with emergency telephone numbers,and with a forwarding address; (j) secure any and all licenses or permits required by any govemmental agency or authority with respect to Licensee s occupancy and use of the Premises; (k) secure and be responsible for the display at close of busi- ness each day; (I) not make or permit to be made any alterations, additions or improvements in the Premises without the prior consent of Licen- sor; (m) not permit any mechanic's lien to be filed against the Premises by reason of any work, labor, serVice or materials performed at or furnished to the Premises; (n) abide by all rules and regulations established by Licensor, from time to time, with respect to the use and occupancy of the Premises and to the common areas, facilities, improvements and sidewalks in the Shopping Center. All signs used at the Premises shall be sub- ject to Licensor's prior approval and shall be professionally painted, stating name of business and reason lor display. 11. Licensee shall, on or before the Expiration Date of this Ucense Agreement or its earlier termination as provided herein, remove all goods and effects of Licensee, repair any damage caused by such removal and surrender and deliver up the Premises, broom clean and in good order, condition and repair, ordinary wear and tear and damage by fire or unavoidable casualty expected. Any property not removed within Twenty-four (24) hours after the Expiration Date of this License Agreement or its earlier termination as provided herein Shall be deemed to have been abandoned by Licensee, and may be retained or disposed of by Licensor, as Licensor shall desire. 12. Licensor may terminate this License Agreement, with or without cause, at any time during the term hereof upon giving Licensee not less than five (5) days notice and, if such termination is without cause, the Total License Fee shall be adjusted as of the date of such termination. In either of such events, Ucensee shall surrender possession of the Premises to Licensor. in accordance with the provisions of Paragraph 11. 13. Licensee shall not sell, assign, mortgage, pledge or in any manner transfer this License Agreement or any interest therein, nor sublet all or any part of the Premises, nor license consideraUons nor departments therein. ~, .. ~ 14. Notwithstanding anything to the contrary provided in this License Agreement, it is specifically understood and agreed by Licensee that shall be absolutely no personal liability on persons, firms or entities who constitute Licensor with respect to any of the terms, convenants, conditions and Provisions of this Ucense Agreement, and Licensee shall look solely to the interest of Licensor in the Shopping Center for the satisfaction of each and every remedy of Licensee in Ihe event of a default of Licensor hereunder. 17.
