DECEMBER 11, 2012, AT 6:30 P.M. IN COMMISSION CHAMBERS, CITY HALL, 100
EAST BOYNTON BEACH BOULEVARD, BOYNTON BEACH, FLORIDA
PRESENT:
Woodrow L. Hay, Mayor
Mack McCray, Vice Mayor
ABSENT:
Steven Holzman, Commissioner
CALL TO ORDER
Mayor Hay called the Special Meeting to order at 6:32 p.m. It was called because the
City was in a crisis and it was necessary to deal with the issues. He added a third item
to the agenda being a discussion related to the City Manager.
Motion
Vice Mayor McCray moved to approve the agenda. Mayor Hay seconded the motion.
Vote
The motion passed 2 -0.
Mayor Hay indicated there were two vacancies leaving only three Commissioners. Two
of the three Commissioners would constitute a quorum.
Attorney Cherof agreed with the Mayor's remarks. There are only three members of the
City Commission and two would constitute a quorum.
1. Declaring a Vacancy in City Commission District IV
Mayor Hay explained the Charter dictates at the first meeting the Commission has to
declare the seat vacant. At either of the next two meetings, the applications can be
reviewed and an appointment made. Mayor Hay hoped to expedite the process by
calling a Special Commission meeting.
Motion
Vice Mayor McCray moved to declare. Mayor Hay seconded the motion.

2. Announcing procedure and timeline for filling vacancy
December 11, 2012
Mayor Hay announced applications would be accepted through the Clerk's office. He
advised anyone interested in filling the vacancy in District IV should submit their
application to the City Clerk's office from December 11 through December 18
3. Discussion of the City Manager position
Mayor Hay asked that an addition be made to the December 18 Commission agenda
to discuss the City Manager position.
Motion
Vice Mayor McCray so moved. Mayor Hay seconded the motion.
Vote
The motion passed 2 -0.
Mayor Hay noted the vacancy for the District 1 Commission seat had already been
declared as vacant. The names that have been submitted, plus any additional names
submitted, would be considered.
The names for both District 1 and District IV would be discussed at the December 18
meeting.
ADJOURNMENT
There being nothing further to bring before the Commission, Mayor Hay properly
adjourned the meeting at 6:37 p.m.
