A RESOLUTION OF THE CITY OF BOYNTON
BEACH, FLORIDA, APPROVING A THREE YEAR
PROPOSAL BETWEEN THE CITY OF BOYNTON
BEACH AND ZAMBELLI FIREWORKS
MANUFACTURING CO., TO PROVIDE THE CITY'S
ANNUAL JULY 4 TH FIREWORKS DISPLAY; AND
PROVIDING AN EFFECTIVE DATE.
WHEREAS, on February 21, 2013 Procurement Services received and opened
four proposals in response to the "RFP for a Three Year Contract for the July 4th
Fireworks Display for the City of Boynton Beach" RFP No. 032- 2710- 13 /JMA; and
WHEREAS, the Evaluation Committee reviewed and ranked the four proposals
recommending to award Zambelli Fireworks Manufacturing Co., the three year contract as
the most responsive, responsible bidder meeting all specifications; and
WHEREAS, City staff recommends to the City Commission that it approve the
three year proposal between the City of Boynton Beach and Zambelli Fireworks
Manufacturing Co, for the Annual July 4 Fireworks Display.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
OF THE CITY OF BOYNTON BEACH, FLORIDA, THAT:
Section 1. The foregoing "Whereas" clauses are hereby ratified and confirmed
as being true and correct and are hereby made a specific part of this Resolution upon
adoption hereof.
Section 2. The City Commission of the City of Boynton Beach, Florida,
hereby approves the three year proposal between the City of Boynton Beach and Zambelli
Fireworks Manufacturing Co, for the Annual July 4 Fireworks Display, a copy of which

VENDOR AGREEMENT
THIS AGREEMENT is entered into between the City of Boynton Beach, hereinafter
referred to as "the City ", and Zambelli Fireworks Mfg. Co., hereinafter referred to as
"the Vendor ", in consideration of the mutual benefits, terms, and conditions hereinafter
specified.
1. PROJECT DESIGNATION. The Vendor is retained by the City to conduct the
annual July 4th Fireworks Display for the years 2013, 2014 and 2015.
2. SCOPE OF SERVICES. Vendor agrees to perform the services, identified on Exhibit
"A" attached hereto and incorporated herein by reference, including the provision of
all labor, materials, equipment and supplies. No modifications will be made to the
original scope of work without the written approval of the City Manager or his
designee.
3. TIME FOR PERFORMANCE. Work under this agreement shall commence upon the
giving of written notice by the City to the Vendor to proceed. Vendor shall perform all
services and provide all work product required pursuant to this agreement unless an
extension of such time is granted in writing by the City as identified in Exhibit "A ".
4. TERM: This Agreement shall be for a period of three (3) years commencing on the
date the Agreement is executed by the City. This Agreement may be renewed at the
same terms, conditions, and prices, for two one -year periods subject to vendor
acceptance, satisfactory performance, and determination that renewal will be in the
best interest of the City.
5. PAYMENT The Vendor shall be paid by the Provider /City for completed work and
for services rendered under this agreement as follows:
a. The total contract price of $37,855. for July 4, 2013; $38,555. for July 4, 2014;
and $39,855. for July 4, 2015, shall be the total amount of payment to Vendor for
services provided under this agreement for the entire term of the Agreement
b. Payment for the work provided by Vendor shall be made promptly on all invoices
submitted to the City properly, provided that the total amount of payment to Vendor
shall not exceed the total contract price without express written modification of the
Agreement signed by the City Manager or his designee.
d. Final payment of any balance due the Vendor of the total contract price earned
will be made promptly upon its ascertainment and verification by the City after the
completion of the work under this Agreement and its acceptance by the City.
e. Payment as provided in this section by the Citv shall be full compensation for
work performed, services rendered and for all materials, supplies, equipment and
incidentals necessary to complete the work.
f. The Vendor's records and accounts pertaining to this agreement are to be kept
available for inspection by representatives of the City and State for a period of three
(3) years after the termination of the Agreement. Copies shall be made available
upon request.
6. OWNERSHIP AND USE OF DOCUMENTS. All documents, drawings, specifications
and other materials produced by the Vendor in connection with the services
rendered under this Agreement shall be the property of the City whether the project
for which they are made is executed or not. The Vendor shall be permitted to retain
copies, including reproducible copies, of drawings and specifications for information,
reference and use in connection with Vendor's endeavors.
7. COMPLIANCE WITH LAWS Vendor shall, in performing the services contemplated
by this Agreement, faithfully observe and comply with all federal, state and local
laws, ordinances and regulations that are applicable to the services to be rendered
under this agreement.
8. INDEMNIFICATION. Vendor shall indemnify, defend and hold harmless the City, its
offices, agents and employees, from and against any and all claims, losses or
liability, or any portion thereof, including attorneys fees and costs, arising from injury
or death to persons, including injuries, sickness, disease or death to Vendor's own
employees, or damage to property occasioned by a negligent act, omission or failure
of the Vendor
9. INSURANCE. The Vendor shall secure and maintain in force throughout the duration
of this contract comprehensive general liability insurance with a minimum coverage
of $1,000,000 per occurrence and $1,000,000 aggregate for personal injury; and
$1,000,000 per occurrence /aggregate for property damage, and professional liability
insurance in the amount of $1,000,000 per occurrence to 2 million aggregate with
defense costs in addition to limits.
Said general liability policy shall name the City of Boynton Beach as an "additional
named insured" and shall include a provision prohibiting cancellation of said policy
except upon thirty (30) days prior written notice to the City. Certificates of coverage
as required by this section shall be delivered to the City within fifteen (15) days of
execution of this agreement.
10. INDEPENDENT CONTRACTOR The Vendor and the City agree that the Vendor is
an independent contractor with respect to the services provided pursuant to this
agreement. Nothing in this agreement shall be considered to create the relationship
of employer and employee between the parties hereto. Neither Vendor nor any
employee of Vendor shall be entitled to any benefits accorded City employees by
virtue of the services provided under this agreement. The City shall not be
responsible for withholding or otherwise deducting federal income tax or social
security or for contributing to the state industrial insurance program, otherwise
assuming the duties of an employer with respect to Vendor, or any employee of
Vendor.
11. COVENANT AGAINST CONTINGENT FEES. The Vendor warrants that he has not
employed or retained any company or person, other than a bona fide employee
working solely for the Vendor, to solicit or secure this contract, and that he has not
paid or agreed to pay any company or person, other than a bona fide employee
working solely for the Vendor, any fee, commission, percentage, brokerage fee, gifts,
or any other consideration contingent upon or resulting from the award or making of
this contract.
For breach or violation of this warranty, the City shall have the right to annul this
contract without liability or, in its discretion to deduct from the contract price or
consideration, or otherwise recover, the full amount of such fee, commission,
percentage, brokerage fee, gift, or contingent fee.
12. DISCRIMINATION PROHIBITED. The Vendor, with regard to the work performed by
it under this agreement, will not discriminate on the grounds of race, color, national
origin, religion, creed, age, sex or the presence of any physical or sensory handicap
in the selection and retention of employees or procurement of materials or supplies.
13. ASSIGNMENT. The Vendor shall not sublet or assign any of the services covered by
this Agreement without the express written consent of the City.
14. NON - WAIVER. Waiver by the City of any provision of this Agreement or any time
limitation provided for in this Agreement shall not constitute a waiver of any other
provision.
15. TERMINATION.
a. The City reserves the right to terminate this Agreement at any time by giving
thirty (30) days written notice to the Vendor
b. In the event of the death of a member, partner or officer of the Vendor, or any
of its supervisory personnel assigned to the project, the surviving members of the
Vendor hereby agree to complete the work under the terms of this Agreement, if
requested to do so by the City. This section shall not be a bar to renegotiations of
this Agreement between surviving members of the Vendor and the City, if the
City so chooses.
16. DISPUTES Any disputes that arise between the parties with respect to the
performance of this Agreement, which cannot be resolved through negotiations,
shall be submitted to a court of competent jurisdiction in Palm Beach County,
Florida. This Agreement shall be construed under Florida Law.

Numerous variables affect fireworks productions, especially complex, barge displays. The Zambelli
Fireworks team has a long history exceeding client expectations by producing flawless, safe, amazing
choreographed displays. Pre - planning is the key to delivering a solid customer experience including
permits, safety plans, technician training, and communication. The team is prepared to work closely
with the City, Fire /Safety, and other parties relevant to producing a spectacular event.
Our company offers the best insurance in the fireworks industry with a $10 million PER CLAIM
policy. More importantly, Zambelli's training program for pyro - technicians is second to none. We
co a culture of the utmost focus on safety for both our technicians and the surroundings of
the firing site.

Section 2. Scope Of Services — Quick Summary
Show Date: July 4 2013, 2014, and 2015 approximately 9pm.
All inclusive Budget and Duration: 20 — 21 minutes, choreographed to music
and electrically -fired display. Budget includes a turnkey display.
Insurance Liability Coverage: $10 Million dollars to cover the Fireworks
Display. Zambelli uses the highest insurance premium in the fireworks industry,
only offered with "AAA" rated companies.
Scope Of Work: Zambelli Fireworks understands the RFP Scope of Work and
agrees to provide all services turnkey.
Transportation Liability Coverage: $5 Million dollars as required by United
States Department of Transportation. (DOT)
Workers Compensation: Pyrotechnicians will meet all of the requirements of
the Workers Compensation Laws of Florida.
License & Permits: Zambelli Fireworks will obtain all required local, county and
state fireworks permits and approvals. Also US Coast Guard permitting for a
barge display and FAA notification will be provided by Zambelli.
Transportation: Fireworks and equipment will be delivered by qualified CDL
drivers with Hazmat endorsed licenses as required by US DOT.
Subcontractors: Zambelli Certified Pyrotechnicians and Trained Assistants; no
subcontractors will be used for the set -up of the display.
Safety Procedures: Zambelli Fireworks adheres to all safety regulations.
NFPA — 1123, 1124 and 1126 code will be strictly enforced. All state and local
regulations will also be strictly enforced.

Scope of Work
A. July 4 2013, 2014 and 2015. Approx. 9pm
Barge display in the Intracoastal Waterway at 2240 N Federal Hwy.
Zambelli agrees to the weather clause in the RFP.
B. Required Equipment Zambelli Fireworks always provides all equipment
necessary to perform the fireworks display. All equipment is stored and
maintained in an ATF approved storage facility near Okeechobee, FL. The
technical crew will supply all tools necessary for the construction and de-
construction of the display. The barge will be thoroughly removed of all
equipment and debris post - display.
C. Highly trained and certified technicians will be the only crew assigned to the
display. These technicians will be equipped with both two -way radios and cell
phones. A crew of 4 to 5 technicians will be present. The Senior Technician will
be able to bind and make decisions for Zambelli Fireworks.
D. Please see sample Certificate of Insurance in the proposal.
E. All permits and permit fees needed for the July 4 th displays will be applied for and
paid by Zambelli Fireworks. This includes local Fire permits as well as US Coast
Guard and FAA notifications. All documents will be sent to the City two months
prior to the July 4 th event.
F. Fireworks Display Segments /Products /Design
GRAND OPENING: First Impressions mean everything in entertainment. A
weak opening barrage will set the tone for a weak display. Zambelli Fireworks
believes the Independence Day atmosphere begs for an impressive Grand
Opening. The City's display will open with a variety of fireworks including multi-
color peonies, dahlia shells, and silver strobe mines covering the sky from 75 ft to
600 ft in the air.

FEATURE PRESENTATION: The main body of the fireworks display should not
be just one shell fired one after another. It's about rhythm, timing, and spacing
the perfect effects with one another and building themes according to the musical
soundtrack. Some firework shells are designed to have extreme intensity while
others are designed to slow the pace down with slower, softer effects. The
design team hand picks every display shell used to ensure there are no
duplicates of scenes throughout the program. The audience will never see the
same combinations of shells fired in a Zambelli production. The intensity will
continue to grow until....
Duration: 19 — 20 minutes minimum

Human nature is to remember things last experienced. The Grand Finale is what
people will remember the most about a fireworks production. A poor finale will
leave an audience disappointed. Zambelli Fireworks has a long tradition of
supplying the best and biggest finales in the industry. It will be loud, it will be full
of vibrant colors, it will be long, and it will leave a lasting impression. Hundreds of
shots and effects of multi -color shells, gold and silver sparkling lights, gold
brocade crown shells and other effects coupled with chest - pounding titanium -
salutes will be the magical ending of the grand display. The finale will be fired
with multiple sized shells and effects to cover every inch of sky from 75 to 800 ft
in the air.

Proqram Philosoahv
Generally speaking there's an opening segment, main body and grand finale of a
fireworks display. Just as a great play or movie has various segments that flow together,
firework shows are similar type productions that should never leave the audience
wanting more or leaving disappointed.
There are fundamental basics that Zambelli Fireworks adheres to create the best
displays in the industry. Some of these fundamentals include:
• No Dead Air Just as any TV, radio or Big Screen Production, "Dead -Air" is
simply not acceptable. At any given time there will be multiple firings of shots
and shells in the air during the display.
Product Size/Type Combinations A common way for companies to set a
show is to shoot all 3 inch shells, then all 4 inch shells, then all 5 inch shells,
etc. While this makes it easy for a technician, it is simply boring. Zambelli
Fireworks designers use multiple shell combinations to design displays that
fully entertain the audience using a variety of product types and sizes. We try
to create both vertical "layering" of products while also using angles to paint
the sky from left to right. Obviously all products will remain well within the
safety radius around the firing site.
• Rhythm and Intensity Just as many movies have a loud, action - packed car
chase one moment followed by a romantic scene the next moment, fireworks
productions also need to have a flow of intensity. A show that is too fast or too
slow can get monotonous. Zambelli designs shows that one moment are a
constant barrage of colors and effects while the next moment may be softer,
more delicate designs to fit the ebb and flow of the music soundtrack.
Finales There's a major art to shooting a spectacular finale. Many people
think a finale is simply shooting a lot of shells. While true from a quantitative
standpoint, a finale must make sense in order to entertain most effectively.
Zambelli designs finales that start slower and lower. For example, 3 inch
peony finale shells fired every half - second for 20 seconds may then grow in
intensity to include white or silver glittering for the next 20 seconds. Then
larger 4 and 5 inch blue crackling spiders take over while 6 inch white coconut
trees are laying the above. 3" star mines and 30mm comets can really accent
the last "HIT" of the Grand Finale.

Shells /Products:
Zambelli Fireworks carries an inventory of display shells that have more than 2,000
unique shapes, colors, patterns or varieties from nearly a dozen different
manufacturers.
Inventory Specialists at Zambelli choose fireworks from a number of different
manufacturers from around the world to provide audiences with both unique and
creative products. Sunny, PyroEast, Vulcan, Dominator and Dancing products all come
from premium Chinese manufacturers. Carlos Caballer fireworks are very premium
Spanish shells. Panzera from Italy make the best multi -shot shells and roman candles in
the industry. Hosoya Japanese shells provide some of the best willow and kamuro
shells in the world. Lastly, Zambelli still manufactures shells, some of which will be seen
in Boynton Beach's display.
Multi -Shot LaverinA Devices:
Zambelli Fireworks utilizes numerous multi -shot layering devices to design a "layering"
effect especially for displays over water. These devices never fire individually but rather
under the aerial shells so the audience can see beautiful effects from 75 over the water
to more than 800 ft into the air.

This quantitative analysis offers an aerial display shell to be fired
every 1.6 seconds for the entire 20 minute body of the program.
Listing every shell's exact type is nearly impossible for the 1,570
proposed display shells in the proposal. Please find below a list of
shells types with some descriptive photos. Many of these will be
included in the July 4 th display.
G. Music CDs will be prepared and sent to the City for review prior to June 1 st each
year. Zambelli Fireworks has a Music Producer who produces extremely high
quality audio soundtracks. A list of a sample July 4 th soundtrack is included
below.

As mentioned previously, the program will be a minimum of 20 minutes and will
at no time include "Dark skies." Zambelli Fireworks produces displays vivid with
colors, sounds, special effects and unique patterns. Please see a list of these
styles of shells below.
J. Cleanup. The Zambelli Technician crew will be responsible for all barge cleanup
post display. All equipment will be promptly removed from the barge and returned
to the storage facility. All paper and debris on the barge will also be cleaned and
the barge will be returned in the same condition as when the crew began the
setup.
K. Final payment upon end of satisfactory performance is acceptable.

Chairman of the Board: George Zambelli, Jr. M.D.
George was born in Pittsburgh, PA. and has been associated in the fireworks industry
ever since. Although he spent much of his career as a board certified Ophthalmologist
and Surgeon, his lifelong love of fireworks has never ceased. Mr. Zambelli assumed the
role of Chairman of the Board in 2007 and remains extremely active in the industry
attending American Pyrotechnic Association strategy sessions, attending numerous
displays annually, and working hands -on with the day to day duties within Zambelli
Fireworks.
President and CEO: W. Douglas Taylor (Doug)
Before becoming the President and CEO of Zambelli Fireworks in 2007, Taylor was a
senior level executive with over 15 years of demonstrative corporate strategic and
financial advisory experience. He brought with him to the pyrotechnic industry an
excellent background in operating analysis and business valuation. Strong scientific
and technical skills that support business process improvement have led to long range
goal development and implementation for Zambelli Fireworks. He holds a Masters of
Business Administration degree, with a specialization in Finance from Indiana
University. Taylor believes in providing the ultimate customer experience for all

Ernie has worked for Zambelli Fireworks since 1978. As a lifelong resident of Winter
Haven, FL., he has managed the Zambelli Florida ATF storage facilities for two
decades. Ernie has also been responsible for the Company's training regarding new
technicians, continuing education for veteran technicians, and Code training for Fire and
other Safety officials. He recently spent a full day training all of the City of Tampa's Fire
Inspectors. Ernie's knowledge of the NFPA Code, ATF storage facility management,

Zach has worked with Zambelli Fireworks since 2001. His primary role is Design
Choreographer for more than 50 displays annually within Zambelli Fireworks. Zach has
designed and produced displays including full flame - effect productions, complex
displays such as the annual Minneapolis Aquatennial, displays internationally in Mexico,
Canada, Oman, and Macau, and is a guru with indoor and outdoor close proximity
design work. His attention to detail, love of fireworks, and knowledge of the Fire One

Shows Displaved on Barges in Open Waters
During 2012 Zambelli Fireworks displayed 24 displays on barges. The shows
ranged in sizes and duration from 5 minute private shows to the largest displays
in the United States with multiple barge positions. The company has a very in-
depth understanding of waterborne displays. From pre -show logistics, such as
Coast Guard permits and coordination, to show day scheduling, Zambelli Project
Managers understand how to manage and organize barge displays.
Traininq
Zambelli Fireworks corporate policy includes mandated, thorough training of all Lead
Technicians and Assistant technicians. Ernie Simmons, the Director of Safety and
Technician training, resides in Winter Haven, FL. and manages the training of all
technicians.
All Lead Technicians have had significant in -field experience regarding managing a
technician crew, equipment, fireworks and firing systems. In addition, all Lead
Technicians must attend and pass a certified American Pyrotechnic Association (APA)
training test that encompasses NFPA regulations and general knowledge of all aspect
of display fireworks.
Assistants assigned to any crews must also pass in -field and in- classroom examinations
to participate in field work.
All Zambelli Fireworks technicians have filled out and passed the ATF Employee
Possessor Questionnaire for federal background approval to handle 1.3g explosives.

Southeast Team Members
The Southeast Team members are responsible for more than 350 fireworks displays
annually. July 4th includes approximately 90 displays annually.
The range of displays vary greatly from private $3,500 weddings and corporate events
to computer choreographed, complex displays in excess of $100,000. The Team also
produces a number of water -home barge displays, close proximity and indoor special
effects, as well as international travel.

Zambelli Fireworks is able to deliver the display more affordably than the addendum
showed for the City's costs in 2012 mainly due to our local offices, storage facility and
technicians.
The transportation costs are diminished greatly by having local storage facilities. In

rooms or per diem.

CONFIRMATION OF DRUG -FREE WORKPLACE
Preference shall be given to businesses with drug -free workplace programs. Whenever two or
more submittals which are equal with respect to price, quality, and service are received by the
City of Boynton Beach or by any political subdivision for the procurement of commodities or
contractual services, a submittal received from a business that certifies that it has implemented
a drug -free workplace program shall be given preference in the award process. Established
procedures for processing tie submittals will be followed if none of the tied vendors have a drug -
free workplace program. In order to have a drug -free workplace program, a business shall:
1) Publish a statement notifying employees that the unlawful manufacture, distribution,
dispensing, possession, or use of a controlled substance is prohibited in the workplace and
specifying the actions that will be taken against employees for violations of such prohibition.
2) Inform employees about the dangers of drug abuse in the workplace, the business's policy
of maintaining a drug -free workplace, any available drug counseling, rehabilitation, and
employee assistance programs, and the penalties that may be imposed upon employees for
drug abuse violations.
3) Give each employee engaged in providing the commodities or contractual services that are
under submittal a copy of the statement specified in subsection (1).
4) In the statement specified in subsection (1), notify the employee that, as a condition of
working on the commodities or contractual services that are under submittal, the employee
will abide by the terms of the statement and will notify the employer of any conviction of, or
