Dear Mr. Hiller:
In conjunction with the Bethesda Medical Office Building, the City Commission of
the City of Boynton' Beach approved the proposed site plan for that BUilding on
November 18, 1986. In providing that approval, it was understood that any
. parking requirements for the Medical Office Building under the regulations and
ordinances of the City of Boynton Beach will be satisfied by the provision of
200. parking spaces on the Medical Office Building site, and an additional 76
spaces being provided under the terms and conditions of the Parking Easement
granted by Bethesda Memorial Hospital, Inc., a copy of which is attached to this
letter.

spaces associated with medical office buildings; and

building do not provide for sufficient parking spaces on Parcel B
to satisfy the requirements of the zoning ordinances of the City
of Boynton Beach; and

satisfy the zoning ordinance requirements applicable to the
Hospital as well as to provide the additional parking spaces

medical office building.on the Hospital c~mpus is to prom~te and
enhance the Hospital's ability to provide centralized
comprehensize medical care ~o the citizens. of the Hospital's

process of attracting and enhancing the retention of high quality
physicians practicing at the ~ospital~ and
WHEREAS, .it is necessary and appropriate for the Hospital to
provide this Easement granting the Partnership access to arid use
of available Hospital parking spaces that are contiguous to the
land described in Parcel B.
NOW, THEREFORE, in consideration of the sum of TEN ($10.00)
Dollars, the recitals set forth above, and other good and
valuable consideration, receipt of which is hereby acknowledged,
the Hospital and Partnership, subject to the conditions set forth
herein, hereby irrevocably grant perpetual easements to the
Partnership as hereinafter provided, which easement is subject to
the following terms and conditions:
1. Grant of Riqhts by Hospital. Subject to the terms and
conditions of this Easement, Hospital hereby grants to
Partnership, its present and future mortgagees, assigns, tenants,

parking areas of the Hospital and over and across all traffic
lanes arid aisles established by Hospital from time to time within
Parcel A attached hereto, such rights to be exercised in common
with all tenants, invitees and licensees of the Parcel 'A or any
part thereof and their business invitees, licensees .and.
employees. The rights granted hereunder are not intended nor
shall it be. construed as creating any rights in or for the'
benefit of the general public. Such grant shall be subject to

conditioned upo~ the terms and conditions set forth in this
Agreement.
2~ Grant of Parkinq Easement.' Hosp~tal here~y, gr~nts to
the Partnershi~~ its present and future assigns, mortgagees,
tenants, and employe~s, together with their assigns, .customers,
clients and other business invitees, a perpetual nonexclusive
easement for the purpose of parking vehicles within the portion
("Parking Area") of Parcel A as described and depicted on
Exhibit "Afl. The purpose of said easement is to provide
Partnership with sufficient additional parking to enable it to
meet the zoning requirements of the City of Boynton Beach,
Florida. This easement shall be solely for the temporary and
nonovernight parking of private passenger automobiles and
noncommercial light vans and trucks by those persons employed in
or who are patients of or who are visiting Parcel B in

conjunction with the ordinary activities of a tenant, owner or
other occupant of the building constructed upon Parcel B.
Hospital agrees that it will maintain seventy-six (76)
'regular-sized parking spaces in the parking Area which will be
available for use by the Partnership under the terms of this
Agreement.
3.
Limitations, Conditions and Requirements.
'Hospital
shall have the ~ight to impose and enforce reasonable parking
rules and regulations for the parking Area, including, but not
limited to, the right to (a) restripe said parking spaces at any
time so long as said restriping complies with applicable
governmental regulations therefor; (b) tow or ticket vehicles
left or abandoned overnight; (c) restrict such parking to cars
and prohibit .such vehicles as trucks arid trailers; and (d) impose
other such regulations as from time to time may be specified by
Hospital but which shall not render the rights granted hereunder
practically unusable.
The grantof.the parking easement is
expressly subject .to arid conditioned upon ,the terms and
condit~ons of this Agreement.
4. Maintenance Costs. Hospital shall maintain and repair
the property made available to partnership,by the terms of this
Agreement ..
5.
Revocation of Aqreement.
In the event that:
,
(i) the City of Boynton Beach, Florida, no longer
requires Partnership to have this Parking Easem~nt in order to
meet its zoning requirements; or
(ii) partnership does not construct the medical office
building on Parcel B;
then Hospital shall at its sole option have the right to
immediately revoke all rights granted by the terms of this
Easement and at such time all rights of access to Parcel A
previously enjoyed by partnership shall cease. However, this
right or revocation shall not be enforceable so long as the

Construction Loan from Sun Bank/South Florida, National
Association, to the Partnership dated ~~/7 , 1987, remains
outstanding or in the event Sun Bank/South Florida, National
Association, shall obtain title to Parcel B or any portion
thereof by foreclosure or a deed in lieu of foreclosure.
6. Insurance. Partnership shall keep in full force and
effect a policy of public liability and property damage insurance
with respect to the property rights granted by this Easement with
coverage reasonably satisfactory to Hospital. The policies
required hereby shall name Hospital as an additional insured and
shall contain a clause requirement that Partnership will not
cancel or change the insurance policy without first giving
Hospital ten (10) days prior written notice of change,
. cancellation or nonrenewal.' The .insurance .shall be with an
insurance company approved,by Hospital and Partnership shall
provide Hospital with copies of, such policies or certificat~s of
. insurance.
7. .Riqhts to Run with Land. The rights herein granted
shall 'run with the land and shall be binding, upon and. shall, inure
to t~e benefit of 'and be enforceable by the partie~ h~reto,. theit
successo~s and assigns, their successors in title, and their
mortgagees, and may not be revoked or a~ended wi~hout the written
agreement of the record tit.le holders of Parcel A and the Lessee
of Parcel B.
