Accompanying this memqrandum you will find documents related to
clarification of the applicant's authorization and a revised
survey showing the proximity of the building to the Lake worth
Drainage canal right-of-way. It is recommended that the legal
documentation be forwarded to the City Attorney for review prior
to site plan approval. The survey indicates that the building
addition is proposed to be constructed approximately 38 feet from
,the canal right-of-way and can meet the 25 foot setback required
by the Recreation zoning district. .

This is in reference to the meeting held at your office on
Monday, August 29, 1988, attended by Edward W. Phelka, Vice-
president of Palm Beach Leisurevllle Community, Assn., and
'the writer in behalf of the Association. During our meeting it
was agreed that there remain two open questions to be
resolved relating to the above-described Site Plan Approval
application, namely, the following:
A. Whether or not the Association has obtained
authority from the owner of the Leisureville
Golf Course lands to construct an addition to
the existing Golf Course Maintenance Building
on said lands, and
B. Whether' or not the Association possesses the
power under its Articles of Incorporation, to
construct the proposed addition to the exist-
ing Golf Course Maintenance Building.
1. As to the first question, you are advised that the land
records. of the Clerk of the Circuit Court of Palm Beach County
contain the record of a deed at O.R. 2709, page 739,
dated July 19, 1977, whereby Caldo Properties, Inc., Grantor,
conveyed unto Ramino Andino, Trustee, the Leisureville Golf
Course lands comprising 28.42 acres, more or less, being
described as a "Parcel of Land in Section 29"Township 45 South,
Range 43 East, City of Boynton Beach, Florida", and more
particularly described in two typewritten pages of metes and
bounds which it is unnecessary to duplicate here. A short
condensed property description appears in the records of the
County Property Appraiser and of fhe County Tax Collector noted
below.
2. The records of the Property Appraiser and of the
Tax Collector for Palm Beach County record that Ramiro Andino,
Trustee, as of current date is record owner of the
lands in question under the fOllowing condensed legal

3. The Golf Course property described above is subject
to recreation lease held by members of the Association which
runs to expiration date of the 31st of December 2069 some 81
years in the future.
By memorandum dated August 15, 1988, Ralmiro Andino, as
Lessor, has granted u~~o OtPalm Beach Leisureville Community,
Assn., Inc., as Lessel~lt~f1construct a 1,250 square foot
: building addition to the existing Golf Course Building at
the location shown in a Building Location Survey dated
July 7, 1988, made by O'Brien, Suiter & O'Brien, copies of
which are included in the application for Site Approval now
pending.
4. As to the second question to be resolved, you are
advised that the Palm,Beach Leisureville Community Associ-
ation, Inc., a Florida not for profit corporation, was
incorporated on the 21st day of January 1969, pursuant to
authority contained in Chapter 617, Florida Statutes 1965.
5. Article III, Section 1 of the Articles of Incor-
poration of the Association provides as follows:
liThe Association shall have all of the common law
and statutory powers of a corporation not for
profit which are not in conflict with the terms
of these articles."
Section 617.021, Chapter 617, Florida Statutes 1965 sets forth
the statutory powers conferred upon Florida not for
profit corporations, the pertinent provisions of which pro-
vide as follows:

"CORPORATE POWERS.-- Every corporation not for
profit organized hereunder, unless otherwise
provided in its articles of incorporation or
by law, shall have power to: .

6. There are no restrictions provided in the
Association's articles of incorporation relating to the con-
struction of an addition to the existing building located
upon lands held under recreation leasehold by the Association
membership, provided however, that the cost of such project
be financed from sources other than assessment upon members.
Counsel is advised that the cost of the proposed project will
not be financed from membership assessments, either regular
· or special. Vice-president Phelka confirmed this understand-
ing during our meeting on August 29 at your office
Conclusions:
I. It is my opinion that the Association as lessee
of the lands of the Leisureville Golf Course
has obtained appropriate authority in writing
from Ramino Andino, Trustee Lessor, owner of
record of said lands, to build the Golf Course
Building addition described in the pending
Site Plan Approval Application.
II. Further, it is my opinion that under the
"all powers" authority contained in the above
cited Section 617,021, Florida Statutes,
the Association has authority to construct
the proposed addition to the Golf Course
Maintenance Building as described in
the aforesaid application.
