Waiver of Plat - Modification - Boynton Lakes Plaza
You will recall that in June of this year, the Board approved a
waiver of plat to allow the creation of two outparcels at Boynton
Lakes Plaza. The outparcels that were approved are shown on the
site plan dated June 8, 1993.
Somehow when we submitted the backup to the Board for review, I
identified the wrong parcels to be subdivided.
The outparcels that the applicant wishes to subdivide are located
on congress Avenue on the north and south side of the entrance.
I have discussed this modification with Richard Staudinger, the
City Engineer, and he has indicated he has no objection to
changing the waiver of the plat for the indicated parcels.
Since the needed infrastructure is in place and the site has been
reviewed for zoning compliance, platting is unnecessary.
We recommend that this request be approved subject to the
applicant providing cross access and cross parking agreements
showing that access and parking will be available as originally
requested in the site plan.
This item has been scheduled for the Planning and Development
Board review at its meeting of September 14, 1993.

Dear Mr. Cutro:
On May 6, 1993 our office, on behalf of the Owner, requested a
waiver of platting for Out parcels 1 and 2.
On June 8, 1993, the request went before the Ple.nning &
Development Board meeting and a waiver of platting was issued for
two outparcels on the site identified as Outparcels 2 and 3.
We are hereby requesting an amendment to the Waiver of Platting
issued June 8th for the above-referenced project to accommodate
the two outparcels waived to correctly show Outparcels 1 and 2.
Please find enclosed nine (9) copies of the site plan showiug the
out parcels to be waived, for your use.

SUBJECT: Cross Access and Parking Easement Agreement -
Boynton Lakes Plaza
I am in receipt of the attached correspondence from your office
regarding review of the above-referenced document. Since easements
are not a zoning issue, the Planning and Zoning Department has not
been involved in the review of agreements for cross access and
cross parking easements since the current site plan ordinance was
effectuated. With the institution of the conceptual site plan
process, this responsibility, among others, was agreed to rest in
the Engineering Department.
After your department completes its review of this easement
agreement, including legal descriptions, it is suggested that you
transmit your comments to the City Attorney, so that he may combine
his legal sufficiency comments with your department's comments and
coordinate revisions to the agreement. Speaking from experience
with coordinating parking leases and shared parking agreements,
this procedure seems to work best and is time efficient when multi-
departmental review of these agreements is necessary.

This Cross Access and Parking Easement (the UAgreement ,. ) t made

Lennar Homes, Inc.; a Florida corporation ("Lennar") and Boynton
Lakes Plaza Development Corporation, a Florida corporation
("Boynton Lakes")_
WIT N E SSE T H:
. WHEREAS, Lennar is the owner of that certain real property
located in Palm Beach County, Florida, more particularly described
in Exhibit ItAI. attached hereto and by this reference made a part
hereof (the I'Lennar Property");
WHEREAS t Boynton La.kes is the owner of that certain real
property located in Palm Beach County, Florida, more particularly
described in Exhj.bit "B" attached hereto and by this reference made
a part hereof (the "Boynton Lakes property");
WHEReAS, Lennar and Boynton Lakes would each like to provide
each other with cross parking and ingress and egress easements over
their respective properties in the manner and under the terms and
provisions hereinafter provided.
NOW, THEREFORE, in consideration of the mutual promises herein
contained, and' for other good and valuable consideration, ,the
receipt and sufficiency of which is hereby acknowledged, the
parties hereto" agree as follows:
1. Lennar hereby qrants to Boynton Lakes, its successors and
assigns and its customers, employees; agents, licensees and
invitees, (i) a non-exclusive easement and right-of-way for
pedestrian and vehicular traffic over and upon the sidewalks,
walkways and roadways of the Lennar Property as they may be
constructed and altered from time to time by Lennar, its successors
and assigns, together with a non-exclusive right to use such
sidewalks, wal~ays and roadways for adequate and unobstructed
pedestrian and yehicular passage for access and ingress to and from
and between the Boynton Lakes property and the Lennar Property, and
the streets and roadways adjacent to and abutting the Boynton Lakes

Property and the Lennar Property, and to and from individual
parking places existing from time to time in the parking areas on
the Boynton Lakes Property and the Lennar Property and (ii) the
non-exclusive right to park vehicles in the spaces designated from
time to time for parking in the Lennar Property.
2. Boynton Lakes hereby grants to Lennar, its successors and
assigns and its customers, employees, agents, licensees and
invitees, (i) a non-exclusive easement and right-of-way for
pedestrian and vehicu~ar traffic over and upon the sidewalks,
walkways and roadways of the Boynton Lakes Property as they may be
constructed and altered from time to time by Boynton Lakes, its
successors and assigns, together with the non-exclusive right to
use such sidewalks, walkways and roadways for adequate and
unobstruoted pedestrian and vehicular passage for access and
ingress to and from and between the Lennar Property and the Boynton
Lakes Property, and the streets and roadways adj acent to and
abutting the Lennar Property and the Boynton Lakes Property, and
to and from individual parking places existing from time to time
in the parking areas on the Lennar Property and Boynton Lakes
Property, and (ii) the non-exclusive right to park vehicles in the
spaces designated from time to time for parking in the Boynton
Lakes Property.
3. Lennar and Boynton Lakes and their successors and assigns
may grant the benefit of such non-exclusive easements and rights-
of-way to any tenants leasing any building space within their
respective properties for such tenants, their customers, employees,
agents, licensees and invitees.
4. Lennar and Boynton Lakes shall maintain their respective
properties (Lenna~ Property and Boynton Lakes Property) in good
condition and repair at all times and shall be solely responsible
for the costs of neoessary repairs, replacements and maintenance
thereto.
5. Except as required by law, to the extent reasonably
possible, Lennar and Boynton Lakes will at all times keep the
roadways and parking areas on their respective properties free from

obstruction of any kind or nature whatsoever, ex.cept as may be
required temporarlly from time to time to effect repairs,
improvements and replacement.
All repairs, replacement and
maintenance of the respectlve properties shall be conducted in a
manner that will, to the extent reasonably possible, minimize the
disruption to the ingress and egress and parking provided over and
on the respective roadways and parking areas, and such that ingress
and egress will never be entirely deprived.
6. Any and all notices required or permitted to be served
pursuant to the terms of this Agreement shall be in writing and
shall be served by reqistered or certified mail, with return
receipt requested and postage prepaid as follows:

deposited in the United States mail in the manner aforesaid, with
sufficient prepaid postage affixed to carry same to its
destination.
7. 'l'his Agreement shall be construed and enforced in
accordance with the laws of the State of Florida. The provisions
of this Agreement shall be and shall he deemed to be covenants
running with the land, intended to (i) burden the Lennar Property
with respect to the Boynton Lakes Property and shall be binding
upon the Lennar Property, Lennar, its successors and assigns, and
all personsclaiJninq by, through or under Lennar I including,
w;''i~hv..:;;t limitation, the successors, assigns, heirs, personal
representatives, transferees, mortgagees and lessees of Lennar and
(ii) burden the Boynton Lakes Property with respect to the Lennar
Property and shall be binding upon the Boynton Lakes Property,
Boynton Lakes, its successors and assiqns, and all persona claiming
by, through or under Boynton Lakes, including, without limitation,

successors,
assigns,
heirs
personal
representatives,
transferees, mortgagees and lessees of Boynton Lakes.
8. This Agreement may not be altered, amended or revoked,
unless by a writing in recordable form, made by and between the
then owners of the Lennar Property and the then owners of the
Boynton Lakes Property, and any portion thereof, and by all persons
holding a mortgage or mortgages encumbering the Lennar property or
any portion thereof and/or the Boynton Lakes Property or any
portion thereof.
9. In the event of the violation of any of the terms and
obligations herein contained, the party or parties entitled to
enforce this Agreement shall have the right to do so either by
action at law or in equity against any party(s), entities,
person( s), firms or corporations violating, or attempting to
violate, any of the covenants contained herein, either to restrain
such viclation, to abate same, to recover damages, or for any
combination of the foregoinq.
10. Invalidation of anyone or any combination of the
covenants contained herein by judgment or court order shall in no
way affect any of the other provisions hereof, or any of the other
provisions recited herein, all of which shall remain in full force
and effect.

Cross Access and Parking Easement Agreement
Boynton Lakes Plaza
The Engineering Department for the City of Boynton Beach, Florida
is in receipt of the above referenced Planning Department Memorandum.
Reference the last sentence, paragraph #1 of your memo wherein you
indicate Departmenbrffiponsibili ty to review cross-access agreements,
the Engineering Department has researched your files as well as it's
own and has determined that no agreement was made between our Depart-
ments indicating that Engineering would assume this task.
Historically, the Planning Department has been the sole Department
which has requested, reviewed and approved past cross-access agree-
ments. Attached for your review and in support of our position
that this task should remain under the purview of the Planning and
City Attorney's Offices, please find copies of the then Planning
Director, Christopher Cutro's Memo #93-140 dated June 3, 1993 ind-
icating that Planning staff imposed the condition for the submission
of such an agreement. Additionally, Mr. Cutro's October 1, 1993
letter to Stuart Wilson of FRU-CON Development (see attached letter)
validates and approves the Cross-Access Agreement further representing
your Department's historical control over such matters when submitted
in conjunction with applications for platting waiver, a process which
pursuant to City Ordinances is administered by the Planning Director.
Planning and Zoning was also responsible for the administrative action
of approving other such agreements, specifically Catalina Centre at
Congress Lakes etc, therefore, this Office feels that the Engineering
Department should not be involved in reviewing agreements that are
geared to insure access to required parking areas (a zoning matter) .
The suitability of such agreements should therefore remain with the
Planning Department who generated the condition of approval and the
City Attorney's Office for review of legal sufficiency.

Waiver of Plat Boynton Lakes Plaza
A.G. Development, the owners of Boynton Lakes Plaza, has requested
a waiver of plat to allow for the creation of two outparcels for
restaurants.
This development was reviewed and approved by the city Commission
in December of 1990. The property was taken over by the present
owner from the R.T.C. at the end of 1992 and platted earlier this
year.
The site plan for the site will not change and all the needed
improvements are being installed as part of the plat requirements
or the site plan requirements. Therefore, making the new owners
replat is unnecessary.
The City Engineer has reviewed this request and has no objections
to this request.
The Planning and Zoning Department has no objections to the request
but would ask that a condition be added that cross access and
parking agreements be required to ensure that the access and
parking will be available as originally represented in the site
plan.
This item has been scheduled for review by the planning and
Development Board at its meeting of June 8, 1993.

I am in receipt of the attached correspondence from your office
regarding review of the above-referenced document. Since easements
are not a zoning ~.ssue, the Planning and Zoning Department has not
been involved in the review of agreements for cross access and
cross parking easements since the current site plan ordinance was
effectuated. With the institution of the conceptual site plan
process, this responsibility, among others, was agreed to rest in
the Engineering Department.
After your department completes its review of this easement
agreement, including legal descriptions, it is suggested that you
transmit your comments to the City Attorney, so that he may combine
his legal sufficiency comments with your department's comments and
coordinate revisions to the agreement. Speaking from experience
with coordinating parking leases and shared parking agreements,
this procedure seems to work best and is time efficient when multi-
departmental review of these agreements is necessary.

The a~tached cross access agreement has been submitted to the
Engineering Department to satisfy the condition of approval of
the waiver of plat which created two outparcels to the Boynton
Lakes Plaza shopping center (see attached drawing for relation of
outparcels to main shopping center). The Engineering Department
has reviewed the legal descriptions and has found them to be
acceptable. Please review the agreement for legal sufficiency.

Also on January 27, 1994, the draft, cross access agreement
between the Boynton Festive Center and Great Western Bank was
transmitted to you (a duplicate copy is attached). When you have
completed your review of this agreement, please notify Michael
Haag so that any comments you have may be addressed by the
applicant simultaneously with the Commission's, May 17, 1994
condition of approval of the Boynton Festive Center site plan and
landscape appeal requiring deletion of any reference to cross
