(referred to in this Agreement as "Marriott") is a Delaware corporation, organized to establish and operate retirement communities. Marriott owns and operates the retirement community known as villa Valencia (referred to in this Agreement as the "Community"), located in Laguna Hills, California. (referred to in this Agreement. 3G Ifyoult) has/have entered into this Residence Agreement ("Agreementtl) with Marriott, on the day of I 19_. YOU AND MARRIOTT AGREE AS FOLLOWS: ARTICLE I RESIDENCE ACCOMMODATIONS AND FACILITIES A. Your Residence You have selected Apartment to be your residence (this apartment will be referred to in the Agreement as your "residence"). You shall have a personal and non-assignable right to reside in the residence, subj ect to the terms of this Agreement and Community rules and regulations, as long as you are capable of independent living. Your residence will be furnished with carpeting and draperies and the minimum furniture package described on Addendum A. You may decline the furnitur~ package and receive a credit of $150.00 per person against y-our monthly fee. You may then furnish and decorate your~ residence in accordance with your own individual tastes and preferences. Placement and use of your furniture and small appliances is at your discretion as long as this does not interfere with the Community's safety standards. Resident agrees to obtain and maintain an active telephone line necessary for the installation and functioning of the Community'S emergency alert system. B. Parking - If requested, a parking space will be assigned to you, at no additional charge, for a single motor vehicle used by you. c. At your request, for an additional fee, and in compliance with your residence in accordance with the terms of a separate agreement between you and Marriott. Subject to Marriott r s approval, you may perform the modification work. D. Community Facilities - You will be entitled to share with all residents in the use of the common grounds and facilities, and to reserve certain areas for special occasions in accordance with Community rules and regulations. The Community will feature facilities for a wide range of social and recreational activities. The Community will include a community center, reception area, library, mail boxes, a beauty shop, and a high quality dining room with additional provisions for private dining. The Community will offer a wide range and balance of social and recreational activities. E. Property Protection You agree to keep your residence clean and orderly and agree not to permit misuse of or damage to your residence. ARTICLE II SERVICES A. Meals - Marriott will make available morning, noon, and evening meals at designated hours with nutritionally well bdldnced and varied menus. The Monthly ree entitles you to meals per day in the Community dining room. other meals may be obtained at an additional charge. 1. Tray Service - Tray service will be provided in your residence at an extra charge if such service is required by t.he Community's Nursing Supervisor. 2. Guest Meals - You may invite guests to any meal, although Marriott requests that you give prior notice so that proper accommodation can be made. Guest meals will be billed to you as an additional charge. B. Housekeeping At least weekly, Marriott will provide light cleaning service for your residence. Marriott will provide window washing, oven cleaning, and carpet shampooing once a year, or more frequently, if necessary, as determined by the General Manager. Maintenance and Repair - Marriott will provide necessary repairs, maintenance, and replacement of. Community property and equipment. Except in an emergency, such services will be provdided during normal working hours, Monday through Friday. Marriott shall have the right to charge you for any repairs, maintenance or replacement required as a result of the negligence or intentional acts of you or your guests. YoU are responsible for maintaining, repairing and replacing your property. D. security - Your residence will be equipped with an emergency call system by which you can contact personnel who will be available to provide assistance 24 hours a day, seven days a week. Marriott will employ security personnel to supervise the Community buildings and grounds during certai~ hours, as it deems necessary. E. Buildings and Grounds - Marriott will maintain all Community buildings, common areas and grounds, including lawns, walkways, and driveways. Landscaping and decorative plantings will be provided and maintained by Marriott as it deems appropriate. F. Insurance and Responsibility for Resident's Property - You will be responsible for providing all personal property and liability insurance for you, your property and your guests. Marriott shall not be responsible for and Marriott insurance will not protect you against any loss or damage to your personal property (including your automobile) from theft, fire or other cause which is not the fault of Marriott, nor does Marriott agree to indemnify you against personal liability for injury to guests or other persons in your residence. G. Utilities - Your residence will be provided with water, heat, air conditioning and electricity. Electricity, water, sewer and garbage collection fees are included in your Monthly Fee. Telephone service to each residence will be available; however, installation of telephones and service costs will be your responsibility. H. Transportation - Marriott will provide scheduled local transportation to shopping center and other points of common interest. I. Personal Hygiene Items - The personal hygiene items listed on Addendum A are included in the monthly fee. Laundry - Basic laundry service (washing, drying and ironing) is included in your monthly fee. If you do your own laundry you will receive a credit of $100.00 per person against your monthly tee. ARTICLE III MONTHLY CHARGES A. Monthly Fee 1. Payment of Monthly Fee - You will pay Marriott a monthly fee (referred to in this Agreement as the "Monthly Fee") in advance on or before the fifth (5th) day of each month throughout the term of this Agreement. The Monthly Fee will be deemed paid when received by Marriott. Marriott may assess a five percent (5%) penalty charge for late payment. The Monthly Fee for the first month shall be prorated based upon the number of days in the first month of the Agreement and will be billed after moving into the community. The Monthly Fee for the last month of the Agreement must be paid upon signing this Agreement. The Monthly Fee is not rent but is consideration for services provided to you as herein described. 2. MARF~IOTT P _ 121 '::;. B. Good Order Deposit - You must give Marriott a $350 good order deposit upon signinq this Agreement. The good order deposit is fully refundable, without interest, within 30 days after the termination or cancellation of this Agreement. If your residence has been damaged beyond normal wear and tear and/or if all Monthly Fees and other amounts due Marriott have not been paid in full, Marriott may apply the good order deposit against any amounts due. c. Adjustments of Monthly Fee 1. Adjustments - Marriott will have the right to adjust your monthly fee at any time commencing twelve (12) months after the beginning of this Agreement. Adj ustments shall not be made more than once in each twelve (12) month period nor without at least sixty (60) days written notice to you. 2. Residence Absence - If you are absent from the Community for more than ten (10) consecutive days, you will receive a partial refund of your Monthly Fee as determined by Marriott, provided you first give written notice to the General Manager of the Community at least five (5) days prior to such absence. ARTICLE IV TERM OF AGREEMENT A. Commencement - Your residency will begin on B. This Agreement shall not terminate until the end of such thirty (30) day period, and until such termination date Marriott shall continue to be entitled to all fees required under this Agreement. If you cancel, the Agreement prior to moving in, all monies paid hereunder, less $50 for Marriott's processing costs, will be refunded. c. Cancellation by Marriott - Marriott may cancel this Agreement at any time for good and sufficient cause (as set forth herein) upon thirty (30) days written notice. In the event that Marriott gives you a notice of termination under this paragraph, Marriott will permit you during the thirty -5- MA'....- 3-:3-31 WED 1:=::03 , . If M~rriott is satisfied that the problems have been corrected, it will not terminate this Agreement. Good and sufficient cause for termination shall include the following: 1. conduct by you which constitutes a danger to yourself or others; 2. Failure to perform your obligations under this Agreement including failure to pay your Monthly Fee when due; 3. Repeated conduct that interferes with the quiet enjoyment of the Community by other residents: 4. persistent refusal to comply with written Community rules and regulations; or 5. You are no longer ambulatory and are in need of artificial support, or you are no longer capable of independent living. D. Termination by Death - Unless sooner terminated as provided in this Agreement, upon your death this Agreement shall terminate as soon as your personal property has been removed from your residence. The death of one resident of a jointly occupied unit shall not cause this Agreement to be terminated. E. All such notices shall be effective when personally delivered or when deposited in the mail properly addressed and postage prepaid. F. Removal of personal property - If your personal property 1s not removed from your residence ~fter the termination of this Agreement, Marriott shall have the right to remove it and place it in storage for one (1) year at your or your estate's expense, after which it shall be sold, pursuant to the requirements of California law, and the proceeds, after deductions for expenses, credited to your account. ARTICLE V OTHER CONSIDERATONS A. Resident's Covenant of Performance - You agree to pay promptly all fees and charges required by this Agreement, and otherwise comply fully with all of your other obligations set forth in this Agreement. B. Attorney's Fees - In the event that litigation arises between the parties in connection with their rights and obligations under this Agreement, the prevailing party will be entitled to reasonable attorney fees and costs incurred in connection with such litigation, to be paid by the other party. c. Additional occupants 1. Increase or Change in Number of occupants - No person other than you may occupy your residence except as a temporary quest. Any guest staying overnight must first register with the Community. Permission must first be obtained from the General Manager if Resident desires that a guest stay for more than seven (7) nights in any thirty (30) day period. Persons granted such permission shall acquire no rights or privileges under this Agreement. Marriott shall revoke such permission at any time upon twenty-four hours notice. 2. other Parties - Should you desire to have another person live in your residence with you on a permanent basis, prior written permission of the General Manager shall be necessary. Right of Entry - Marriott employees may enter your residence at any reasonable time to perform housekeeping duties, inspection and maintenance functions and at any time to respond to a medical, fire or other emergency. Marriott recognizes your right to privacy and Marriott's responsibility to limit entry only to situations such as those described above or where Marriott deems it advisable for the best interest of you or the Community. Marriott reserves the right to call your physician or other designated doctor in the event of an emergency. 2. Ownership Rights You have no ownership interest or proprietary right in the residence assigned to you and the personal property, land, buildings, improvements or other Community facilities provided under this Agreement. This Agreement shall not be construed to be a lease or to confer any rights of tenancy or ownership to you. Your rights under this Agreement are subject to all terms and conditions of this Agreement and subordinate to any mortgage financing deed, deed of trust, or financing lease on Community premises. Upon request, you agree to e~ecute and deliver any instrument requested by Marriott or the owner or holder of any such document to effect the sale, assignment, or conveyance thereof, provided that by so doing you shall not be required to prejudice your rights under this Agreement. 3. Responsibility for Damage You will be responsible for any loss or damage to Marriott's property caused by the negligence. If negligence or another resident, invitee or other person, other than an employee or agent of Marriott, results in injury, illness or damage to you or your property, Marriott assumes no responsibility therefor and you release and discharge Marriott from all liability and responsibility for same. E. Rules and Regulations - Marriott shall have the right to adopt or amend, either by itself or with or through a residents' association, such reasonable rules and regulations as it deems necessary or desirable for the proper management and operation of the Community and the safety, health and comfort of the residents. You agree to abide by such rules and regulations. F. All residents must be at least 55 years old, ambulatory (without artificial support) and in good mental and physical health and free from infectious or contagious diseases. The Community is open to any person without regard to race, religion, sex, or national origin. G. visitor Policy - Except as provided in Article v, Section e.l, Residents may invite Guests for visits at reasonable times. Guests must comply with Community rules and reg'ulations. H. Waiver - The failure of Marriott in anyone or more instances to insist upon strict compliance by you with any of the terms of this Agreement, shall not be construed to be a waiver of Marriott of the right to insist upon strict compliance by you with any of the other terms of this Agreement. I. Assignment - Your rights under this Agreement are pcrconal to you and cannot be transferred or assigned by any ac'C ot you, or by any proceed.ing at law, or ol..ht;lL'wl:;;i':l. Marriott may assign the Agreement to any subsidiary or other entity. The Agreement shall bind and inure to the benefit of Marriott's successors and assigns and shall bind and inure to the benefit of your heirs, executors and administrators in accordance with its terms. J. Entire Agreement - This Agreement constitutes the entire agreement between Marriott and you. Marriott is not liable for nor bound in any manner by any statements, representations, or promises made by any person representing or proposing' to represent Marriott unless such statements, representations, or promises are set forth in the Agreement. Any modifications of the Agreement must be in writing signed by Marriott and you. K. Partial Illegality This Agreement shall be construed in accordance with the laws of the State of California. If any portion of this Agreement shall be determined to be illegal or not in conformity with applicable laws and regulations, such portion shall be deemed to be modified so as to be in accordance with such laws and regulation, and the validity of the balance of this Agreement shall not be affected. Joint and Several Liability If two parties execute this Agreement as residents, the term "resident" or "you" as used in the Agreement shall apply to both and they shall be jointlY and severally liable under this Agreement unless otherwise provided. The Notice of Appeal must be filed within 30 days of the final agency action 6. Section 373.617(2). The approved site plan showed a total floor area square footage of 65,370 and a building footprint of 38,063 square feet. The revised building plans show a floor area square footage of 69,653 and a building footprint of 40,656 square feet. Respectively, these increases are floor area square feet 4,283 square feet or .07% and building footprint square footage is 2,593 square feet or .07%. 2. The horizontal controls as shown on the building plans when compared to the approved site do not match. 3. The site data information as provided on the building plans do not match the approved site plan data and show an increase in the impervious areas from 71,960 square feet, 43.3%, to 80,784, 48.7% of the site. 4. Colored elevations of the revised project should be submitted that accurately depict the proposed changes. The procedure discussed was as follows: · Marriott would submit the Brighton Gardens drawings to Boynton Beach by May 29 for the building permit. Boynton Beach would review the plans. Upon final approval of the working drawings by HRS, Marriott would submit the HRS required revisions (if any) to Boynton Beach. Upon final approval by Boynton Beach, Marriott would pull a building permit. Marriott is proceeding in accordance with this schedule. In accordance with our previous discussions, I am assuming that the proposed site plan revisions (as noted on the enclosed plans) would constitute a minor site plan revision. The applicant applied for a building permit, but did not pull the permits because they were involved in a HRS review of their development. The permit application was extended by the Building Official because the applicant was involved in the state process. We have now learned that the applicant~ having received approval for 19 nursing home beds, must now go through a 9 month review process and it is anticipated that some changes will be required to the proposed development. While these changes are minor, staff feels that the continued extension of the site plan by extending the building permit application process is improper. Based on the attached letter from Marriott Corporation, the Planning Department would recommend that the city Commission allow the approved site plan for this development to remain operative while Marriott is involved in the HRS review process or for a period of 12 months, whichever comes first. This should enable Marriott to complete the State review process and modify the site plan accordingly. This item has been scheduled for City commission review on october 15, 1991.
