RACETRAC PETROLEUM, INC., a Georgia corporation, hereinafter
referred to as "OWNER" of the property herein described, whose
mailing address is 300 Technology Court, Smyrna, Georgia 30082, is
required by the city of Boynton Beach, a municipal corporation,
hereinafter referred to as "CITY":
WHEREAS, the OWNER is the owner of real property located
within the City of Boynton Beach, more fully described as follows:

WHEREAS, the CITY, has requested that the property be combined
for use as a 24-hour gas station/convenience store and be
considered as one plot and parcel of land to remain under one
ownership, and
WHEREAS, the OWNER agrees that said request of the CITY is in
the best interests of all the parties and serves to promote the
general welfare, safety and convenience of the public and the OWNER
hereby releases, waives and forever discharges any claim, demand,
cause of action and right it may have against the CITY relative to
this Agreement.
NOW THEREFORE, in consideration of the mutual covenants
contained herein, the parties agree as follows:
1. The above described property shall be considered as one plot
and parcel of land, and no portion of said plot and parcel of land
shall be sold, transferred, deposed or assigned separately, except
in its entirety as one plot or parcel of land, or as undivided
interest in said real property.
2. It is expressly understood and agreed that the terms,
covenants, and conditions of this Agreement shall be and constitute
covenants running with the land, binding upon subsequent purchasers
of the above described real property and shall constitute an
