SECOND AMENDMENT AND RESTATEMENT OF DECLARATION
OF RESTRICTIONS AND EASEMENTS
THIS AMENDMENT AND RESTATEMENT OF DECLARATION OF
RESTRICTIONS AND EASEMENTS, made this 3rd day of March, 1994, by
and between J. HAROLD CHASTAIN and BARBARA M. CHASTAIN, husband
and wife, whose address is 41 Tidy Island Boulevard, Bradenton,
Florida 34210 (collectively "Chastain"), and THE DAVID
ASSOCIATES, a Connecticut General Partnership, whose address is
214 Brazilian Avenue, Suite 207, Palm Beach, Florida 33480 (the
"Declarant")
WIT N E SSE T H:
WHEREAS, the Declarant is the owner of certain parcels of
real estate located in the County of Palm Beach and in the State
of Florida, said parcels hereinafter being referred to as the
"Gateway PremisQs" and more fully described in Exhibit "A";
WHEREAS, the Declarant sold unto Chastain certain parcels of
real estate located in the County of Palm Beach and in the State
of Florida, said parcels hereinafter referred to as the "Pad" and
more particularly described in Exhibit "B";
WHEREAS, the Gateway Premises are mortgaged unto the
Provident Mutual Life Insurance Company of Philadelphia
("Provident"), a Pennsylvania corporation, whose address is 1600
Market Street, Philadelphia, PA 19103 by virtue of the Mortgage
dated September 15, 1986 and filed in the Public Records of Palm
Beach County, Florida in Official Record Book 5000, Page 0001
(the "Mortgage");
WHEREAS, in anticipation of development of the Pad, the
Declarant declared a Declaration of Restrictions and Easements
dated Septenilier 15, 1986 and filed in the Public Records of Palm
Beach County, Florida in Official Record Book 5006, Page 0049, as
amended by Amendment and Restatement of Declaration of
Restrictions and Easements made July 13, 1993 and filed in the
Public Records of Palm Beach County, .Florida in Official Records
Book 7995, Page 877 (collectively the "Declaration");

Declarant and Chastain, for themselves, their successors and
assigns, do hereby declare and agree as follows:
1. No amendment or modification of the Declaration, which
eliminates or diminishes the easements created for ingress,
egress and parking for the benefit of the Pad, shall be effective
unless the City of Boynton Beach is provided with written notice
at 100 East Boynton Beach Boulevard, Boynton Beach, Florida
33425-0310, of the amendment or modification of the Declaration.
The notice to the City of Boynton Beach shall be in writing and
shall be provided by certified mail, return receipt requested, no
less than sixty (60) days prior to the effective date of the
amendment or the modification. The notice must be accompanied py
all documents which would, by their effect constitute an
amendment or modification of the Declaration as it relates to the
Pad.
If the Declaration is modified or amended to eliminate
or diminish the easements created for the benefit of the Pad, the
Pad shall be required to comply with all applicable regulations
of the City of Boynton Beach as they relate to parking, ingress
and egress.
2. The Declaration, as herein amended and modified, is
hereby ratified and affirmed.
