with Lake Worth Herald Press, Inc.
This bid expires on November 7, 1996. According to the terms and conditions, we have
the option to renew the bid and extend the prices for an additional year.
H. Approve transfer of funds from Contingency Fund to cover irrigation
system renovations in roadway medians between S. W. 22nd Street to
S.W. 8th Street (Woolbright Road)
The amount of the transfer is $9,000.00.
I. Approve purchase of hardware and software from the State grant for the
COALA automation project at the Library

Motion
Commissioner Titcomb moved to approve the Consent Agenda, with the exception of Item
CA. Commissioner Bradley seconded the motion, which carried 5-0.
4. Proposed Resolution No. R96-148 Re: Renewal of lease agreement
between Partners Plus Inc. and the City of Boynton Beach for
continuation of the concession at Oceanfront Park
Commissioner Bradley compared this concession to the restaurant at Lantana Beach. He
felt it would be great if we could have a small, casual restaurant at Oceanfront Park. City
Manager Parker-Hill advised that the restrictions on the property have been in place since
1983. If the Commission would like to change them, we would have to approach the
Ocean Ridge City Commission. Commissioner Bradley would like to enter into some
discussion with them regarding the possibility of doing that. Mayor Taylor suggested
having a workshop on this matter.
Motion
Commissioner Bradley moved to approve this item. Commissioner Tillman seconded the
motion, which carried 5-0.

EASEMENT. MAINTENANCE AND COST SHARING AGREEMENT
TP!s.Easement, Maintenance and Cost Sharing Agreement is made
this k', '.1. day of : ," I 1995 by and between Boynton Beach
I Limited Partnership, a'-Florida limited partnership ("BBI"), and
Boynton Beach II Limited Partnership, a Texas limited partnership
("BBII").
BACKGROUND
BBI is the owner of a certain parcel of land described in
Exhibi t "A ", attached hereto and made a part hereof, located in the
City of Boynton Beach, Palm Beach County, Florida (the "BBI
Property") and intends to develop and improve the BBI Property with
a residential apartment community.
BBII is the owner of a certain parcel of land described in
Exhibi t liB", attached hereto and made a part hereof, located in the
Ci ty of Boynton Beach, Palm Beach county, Florida (the "BBII
property") and intends to develop and improve the BBII Property
with a residential community.
The BBI Property and the BBII Property are contiguous to each
other. BBI and BBII desire that BBI provide non-exclusive
easements to BBII for certain specific purposes, in, on, over and
under certain areas of the BSI Property in accordance with the
terms set forth herein.

NOW THEREFORE, in consideration of ten dollars and other
valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parties agree as follows:
I. GRAMTS OF EASEMENT:
1. BBI hereby grants to BSII a non-exclusive perpetual easement
for ingress and egress to enter upon, across, over and under a
portion of the B81 Property which is more particularly described on
Exhibit "C" attached hereto and made a part hereof (the "Access
Easement") for the purpose of pedestrian and vehicular access from
a public road to the BBII Property. Addi tionally, BBII shall have

the exclusive right to display wi thin the Access Easement at a
specific location as more particularly described on Exhibit "0"
attached hereto and made a part hereof (the "Sign Location"), a
sign which shall meet with the terms and conditions'herein.
2. BBI hereby grants to BBII a non-exclusive, perpetual easement
for drainage (the "Drainage Easement") from the BBII Property
across the BBI Property into the lake to be located on the BBI
Property (the "Lake"), which Drainage Easement shall be as legally
described on Exhibit "E".
(The Drainage Easement and Access Easement are hereinafter
collectively called the "Easements".)
II. CONSTRUCTION AND MAINTEHAHCE:
1. BBI agrees to install an access road, sidewalk, lighting, and
landscape (the "Access Roadll), two (2) entry walls (the "Entry
Walls") and an entry gate (the "Entry Gate"), in accordance with
the approved site plan for the B81 property. Each of the foregoing
will be located within the Access Easement and will be paid for and
maintained by BBI, subject to the reimbursement provisions of this
Agreement. The Entry Gate shall be installed to accommodate both
the residents of the BBI Property and the BBII Property. BBI may
remove the Entry Gate at any time, whereupon BBII shall be entitled
to receive a refund of 100% of its contribution to BBI for the cost
of the Entry Gate mechanical arm device.
2. BBI hereby agrees to install the Lake on the BBI Property in
accordance with the approved site plan of the BBI Property. The
Lake will provide drainage and constitute an amenity for both
properties. BBI may, at its option, include a fountain in the Lake
(the IIFountain"). Each of the foregoing Lake and Fountain will be
located within the Drainage Easement and will be paid for and
maintained by BBI, subject to the reimbursement provisions of this
Agreement.
(The Access Road, the Entry Gate, the Entry wall, the Lake and the
Fountain are hereinafter collectively the IIImprovements".)
3. BB1I acknowledges that BBI"s installation of the Improvements
does not interfere with the riqhts of BBII granted by this Easement
Agreement.
4. BBII hereby agrees to install letters or numbers on the Entry
Wall within the Access Easement at the sign Location for the
purpose of identifying and advertising the intended residential
community by BBII on the BBII Property, which sign (letters,

numbers and design) to be acceptable to BBl. BBII shall be
responsible for the maintenance of the letters on the Entry Wall
within the Access Easement.
III. REIHBURSEMENT OBLIGATIONS:
The parties acknowledge and agree that:
1. BBI shall bear the costs for the initial construction of the
Improvements wi thin the Easements and shall provide perpetual
maintenance thereof subject to reimbursement as outlined below.
2. BBII will be responsible to pay to BBI 50% of the costs to
construct the Improvements within five (5) days after delivery by ~
BBI to BBII of all invoices relative to such construction and
installation, but in no event prior to the issuance of the first
certificate of occupancy for the BBII property.
3. From and after the receipt by BBII of its first Certificate of
Occupancy for any structure completed on the BBII property, BBII
will be responsible to pay to BBI 50% of all costs relative to the
maintenance of the Improvements and the Easements. BBI will cause
all invoices relative to the maintenance of the Improvements and
the Easements to be delivered to BBII quarterly, whereupon BBII
shall, within five (5) days of receipt thereof, tender to BBI the
full amount referenced thereon.
4. BBI and BBII hereby agree that all costs for repairs or capital
improvements required to be made to any of the Improvements within
the Easements from and after the date that the first Certificate of
Occupancy is received by BBII, will be shared on a 50%/50% basis.
IV. DEFAULT.
If BBI fails to fulfill its obligation relative to construction,
installation or maintenance of the Improvements or the Easements,
or if BBII fails to fulfill its obligation with respect to payments
required hereunder, for such construction, installation or
maintenance, then the performing party shall have the right to
instruct, install or maintain the Improvements and Easements as
applicable, and to pay one hundred percent of the costs of such
construction, installation and maintenance provided, however, the
performing party shall then have a lien upon the non-performing
party's property, together with a lien on all tangible personal
property located on such non-performing party's property (except
such lien upon the tangible personal property shall be subordinate
to prior bonafide liens of record), which lien shall secure all
monies due from the non-performing party.

V. INTEREST.
Interest shall accrue on all monies due to be paid hereunder at the
highest rate allowed by law commencing on the date such payments
are due.
VI. LIMITED LIABILITY.
Except as specifically set forth below, BBI hereby holds BBII
harmless from and against all liabilities and claims brought by
residents or invitees of the BBI Property or by agents or employees
of BBI which arise from incidents occurring in, on, over or under
the Easements. BBII hereby holds BBI harmless from and against all
liabilities and claims brought by residents and invitees of the
BBII Property or by agents or employees of BBII which arise from
incidents occurring in, on, over or under the Easements.
Notwithstandinq the foregoing or anything herein to the contrary,
the parties acknowledge and agree that BBI is granting to BBII the
Easements described herein for the purposes set forth herein and
that BBI shall have no liability to BBII or any other person or
enti ty arisinq from or in connection wi th the construction,
installation or malfunction of the Entry Gate or the Improvements
generally.
VII. EXCESS PILL REQUIREKENT.
BBI hereby agrees that it shall place on the BBII Property Excess
Fill (as hereinafter defined) which is excavated from the BBI
Property during the installation of the Lake. For purposes of this
Agreement, Excess Fill shall be defined as fill excavated from the
BBI Property wbich is in excess of that which is needed by BBI, and
which is needed by BBII for the development of the BBII Property.
VIII. CORVEYAIICB PERPETUAL.
Except as otherwise provided herein, the right to use and exercise
the rights and easements herein conveyed and all obligations
hereunder shall be perpetual and run with the land and inure to the
benefit of BBII, BBI, their respective heirs, successors and
assigns, their tenants, subtenants, licensees, concessionaires,
mortgagees in possession, customers and business invitees of such
persons, corporations, partnerships and/or other entities.
