RE: Road Improvements for Woolbright Place PCD
(Increased Floor Area)
The following memorandum addresses the road improvements which
are to be required in conjunction with the increased floor area
for the Woolbright Place Planned Commercial Development (PCD).
Ordinance 89-39, which was adopted at the October 31, 1989 City
Commission meeting, approved the PCD. This ordinance included a
provision that ".. .the applicant shall be permitted to construct
an additional 121,000 square feet of commercial building area
over and above that permitted by the aforementioned stipulation
and Settlement Agreement (see Section 4 of attached ordinance
89-39). seciion 4 of this ordinance also specified that "This
additional square footage of commercial development shall require
off-site traffic improvements identified in the October 23, 1989
Barton-Aschman Associates, Inc., traffic report, attached hereto
and incorporated herein, sUbject to final approval or
modification of said reports' findings by the City Commission on
November 7, 1989, The applicant, Tradewinds Development, Inc.
has consented to changing the November 7, 1989 date in order to
allow the City staff to evaluate the Barton-Aschman traffic
report and formulate a recommendation to the City Commission.
This delay was necessary because the Barton-Aschman report was
submitted on October 30, 1989--the day before the adoption of
Ordinance 89-39, and because the Barton-Aschamn report is not
'sufficient with respect to detailing the assumptions and
methodology to allow the report to be evaluated in and by itself.
The Barton-Aschman report evaluated the entire project, meaning
the PUD and PCD combined, including the enhancements which. were
the subject of an agreement between Tradewinds and the City (see
attached letter from F. Martin perry, dated October 31, 1989).
The project was reviewed in accordance with the Palm Beach County
Traffic Performance standards Ordinance which is currently in
effect in the unincorporated area of Palm Beach County, except
that Level of Service (LOS) "D" was used rather than the LOS "C"
which is currently specified in the Traffic Performance standards
Ordinance. The improvements which would be required in order to
maintain LOS liD II according to Barton-Aschman, are listed under
Column 2 in the table which is contained in the attached report
prepared by Walter H. Keller Jr, Inc. Walter Keller also
evaluated the entire project, including the enhancements, using
the same standards as Barton-Aschman, an came up with a somewhat
different list of road improvements, which are shown in Column 3.
The improvements which were required as a part of the 1986
settlement stipulation

are listed in Column 1. Therefore, if the applicant limited the
project to the mix and intensity of uses specified in the 1986
settlement stipulation, only those road improvements listed under
Column 1 would be required.
In view of the fact that the road improvements for the uses
specified in' the 1986 settlement stipulation have alrady been
specified, the applicant would be required to mitigate only tMe
additional traffic created by the enhancements, in accordance
with the code requirements which were in effect at the date that
the enhancements were approved (October 31, 1989). section
9.C,4.h.(5) of Appendix A--Zoning of the City's Code of
Ordinances states that, when property is rezoned, a traffic
impact analysis must be submitted. This section states
specifically that "The format and analysis shall be the same as
those which are required by Palm Beach county, with the exception
of the requirements listed above. Such traffic impact analysis
shall include recommendations for the mitigation of traffic
impacts, consistent with the standards which have been adopted or
are utilized by Palm Beach County." (a copy of Section
9.C.4.h.(5) is attached). Therefore, the enhancements have been
evaluated by Walter Keller with respect to the Palm Beach County
Traffic Performance standards Ordinance. Column 4 shows the road
improvements which would be required in accordance with the
Trffic Performance standards ordinance, in order to maintain
Level of service liCit.
It is the Planning Department's recommendation that road
improvements for the additional commercial square footage
include, at a minimum, the improvements listed in column 4.
These improvements consist of the following: (1) 6-laning of
Woolbright Road from Congress Avenue to Interstate 95 (2
additional lanes); (2) The widening the Woolbright Road overpass
at Interstate 95 to allow for an additional eastbound through
land and westbound through lane; and (3) The addition of second
eastbound right turn land at the I-95/woolbright Road
interchange. The additional improvements listed in the
Barton-Aschman report would be desirable, from the standpoint of
traffic safety and efficiency, but would not be required by the
Code of Ordinance requirements which were in effect on October
31, 1989.
The road improvements which are to be required for the woolbright
Place PCD will need to be bonded as a condition of the. approval
of the final plat. Costs estimates and a timetable for their
completion would need to be submitted with the preliminary plat.
The total package of road improvements that would need to be
bonded would consist of the road improvements which were required
by the 1986 court settlement, plus the road improvements which
are required in accordance with Section 4 of Ordinance 89-39.

Let me start by addressing the -fine issue" in the 1986 case.
We are in agreement that both parties will ask the Court to deem
the fine to be compensatory as opposed to punitive. Further,'
the Court will determine the timing and th~ disposition of the
fine. Also, the fine shall be used as a setoff in the 1987 suit,
in the event of an adverse judgement.
With respect to enhancements, both parties desire to proceed
with certain zoning enhancements relating to the PUD and PCD,
which are commonly known as the Tradewinds project. It is
agreed that these enhancements benefit both parties in the sense
that any value which is subsequently assigned to these
enhancements shall be used by ,the City as a setoff to any
adverse verdict which may be entered against the City of Boynton
Beach in the case styled: Tradewinds Development Corporation
vs. The City of Boynton Beach, Case Number 87-1638 AI.
The enhancements have been identified as follows:
1. The additional 121,000 square feet of commercial retail in
the Tradewinds PCD.
2. Increased acreage in the PCD by adding to the PCD acreage
of approximately 5.1 +/- acres which is currently locate~
within the southeastern boundary of the PUD.

4. Changing the PUD to allow for up to 600 multi-xamily
units. This eliminates the single xamily units., The 600
unit approval is based upon demonstration that there will
be no signi%icant increase in tra~%ic for the PUD. ,
The parties will agree to enter into a stipulation which
provides %or the seto%%s as set %orth above.. Further,
Tradewinds represents that the enhancements set xorth in
Paragraphs 1 and 2 above go hand in hand and do not have
separate values apart from each other. In this regard,
Tradewinds acknowledges that the value o~ enhancements #1 and #2

$3,400,000.00. A determination as to a methodology that will be
used to determine a value to be assigned for purposes ox aetoxf

Enhancement #1 shall be adopted at the meeting scheduled for

89-~~~. Enhancement #2 shall be handl.d through the change to the
Comprehensive Plan redesignating the reference~ acreage ~rom PUD
to PCD, making this ac~eage eligible for rezoning upon
submission of applications by'Tradewinds.
With regard to the enhancements, referenced as #3 and #4,.
Tradewinds acknowledges that these may have substantial value,
but the parties have been unable to agree as to a speci~ic value
to assign or a range of values to assign, as has been done with
regard to enhancements #1 and #2.
Enhancement #3 shall be approved through the November 7, 1989
adoption 0% the Comprehensive Plan.
Enhancement #4 shall be approved as a result of the
Comprehensive Plan adoption, and based upon a demonstration that
there will be no significant increase in traffic for the PUD.
The ultimate value arranged to be assigned to this enhancement
vill be based upon requests made by Tradewinds in the number of
units ultimately approved.

by the shopping center develope~~.' A list of acceptable
shopping center developers shall be developed ,between the
parties. Each party shall select one developer as his
arbitrator. The two developers shall seleot a neutral develo~er
or a neu~ral MAIsppraiser and the three arbitrators will hear
evidence regarding the value o~ the enhancements. A decision by
two o~ the three arbitrators shall be binding upon the parties.
The ~ee of the three arbitrators shall be split equally among
the parties. It is ~urther agreed that an arms-length sales
transaction as to anyone or all of the enhancements shall be
considered competent substantial evidence of the value of the
enhancement.
Final implementation o~ enhancements *3 and *4 will be as a

within the city, adjacent cities, and within the
unincorporated area of Palm Beach County within
a radius of five (5) miles. For those parcels lying
in the unincorporated area of Palm Beach Coun-
ty, which are not currently zoned for urban land
uses, the potential land uses according to the Palm
Beach County Comprehensive Plan shall be used.
Where said parcels are shown on the Palm Beach
County Comprehensive Plan under residential land
use categories, the midpoint of the density range
shown on County Comprehensive Plan shall be
used. Where a county-wide study of traffic gener-
ation at build-out has been adopted or is utilized
by Palm Be'ach County, the levels of traffic that
are projected by said study shall in all cases be
used to project background traffic in the traffic

RE: Road Improvements for Woolbright Place PCD
(Increased Floor Area)
The following memorandum addresses the road improvements which
are to be required in conjunction with the increased floor area
for the Woolbright Place Planned Commercial Development (PCD).
Ordinance 89-39, which was adopted at the October 31, 1989 City
Commission meeting, approved the PCD. This ordinance included a
provision that ".. .the applicant shall be permitted to construct
an additional 121,000 square feet of commercial building area
over and above that permitted by the aforementioned Stipulation
and Settlement Agreement (see Section 4 of attached Ordinance
89-39). Seciion 4 of this ordinance also specified that "This
additional square footage of commercial development shall require
off-site traffic improvements identified in the October 23, 1989
Barton-Aschman Associates, Inc., traffic report, attached hereto
and incorporated herein, sUbject to final approval or
modification of said reports' findings by the City Commission on
November 7, 1989. The applicant, Tradewinds Development, Inc.
has consented to changing the November 7, 1989 date in order to
allow the City staff to evaluate the Barton-Aschman traffic
report and formulate a recommendation to the City Commission.
This delay was necessary because the Barton-Aschman report was
submitted on October 30, 1989--the day before the adoption of
Ordinance 89-39, and because the Barton-Aschamn report is not
'sufficient with respect to detailing the assumptions and
methodology to allow the report to be evaluated in and by itself.
The Barton-Aschman report evaluated the entire project, meaning
the PUD and PCD combined, including the enhancements which. were
the subject of an agreement between Tradewinds and the City (see
attached letter from F. Martin Perry, dated October 31, 1989).
The project was reviewed in accordance with the Palm Beach County
Traffic Performance Standards Ordinance which is. currently in
effect in the unincorporated area of Palm Beach County, except
that Level of Service (LOS) "D" was used rather than the LOS "C"
which is currently speCified in the Traffic Performance Standards
Ordinance. The improvements which would be required in order to
maintain LOS liD" according to Barton-Aschman, are listed under
Column 2 in the table which is contained in the attached report
prepared by Walter H. Keller Jr, Inc. walter Keller also
evaluated the entire project, including the enhancements, using
the same standards as Barton-Aschman, a~ carne up with a somewhat
different list of road improvements, which are shown in Column 3.
The improvements which were required as a part of the 1986
settlement stipulation

are listed in Column 1. Therefore, if the applicant limited the
project to the mix and intensity of uses specified in the 1986
settlement stipulation, only those road improvements listed under
Column 1 would be required.
In view of the fact that the road improvements for the uses
specified in' the 1986 settlement stipulation have alrady been
specified, the applicant would be required to mitigate only tMe
additional traffic created by the enhancements, in accordance
with the code requirements which were in effect at the date that
the enhancements were approved (October 31, 1989). Section
9.C.4.h.(5) of Appendix A--Zoning of the City's Code of
Ordinances states that, when property is rezoned, a traffic
impact analysis must be submitted. This section states
specifically that "The format and analysis shall be the same as
those which are required by Palm Beach County, with the exception
of the requirements listed above. Such traffic impact analysis
shall include recommendations for the mitigation of traffic
impacts, consistent with the standards which have been adopted or
are utilized by Palm Beach County. II (a copy of Section
9.C.4.h.(5) is attached). Therefore, the enhancements have been
evaluated by Walter Keller with respect to the Palm Beach County
Traffic Performance Standards Ordinance. Column 4 shows the road
improvements which would be required in accordance with the
Trffic Performance standards Ordinance, in order to maintain
Level of Service "C".
It is the planning Department's recommendation that road
improvements for the additional commercial square footage
include, at a minimum, the improvements listed in column 4.
These improvements consist of the following: (1) 6-laning of
Woolbright Road from Congress Avenue to Interstate 95 (2
additional lanes); (2) The widening the Woolbright Road overpass
at Interstate 95 to allow for an additional eastbound through
land and westbound through lane; and (3) The addition of second
eastbound right turn land at the I-95/Woolbright Road
interchange. The additional improvements listed in the
Barton-Aschman report would be desirable, from the standpoint of
traffic safety and efficiency, but would not be required by the
Code of Ordinance requirements which were in effect on October
31, 1989.
The road improvements which are to be required for the Woolbright
Place PCD will need to be bonded as a condition of the. approval
of the final plat. Costs estimates and a timetable for their
completion would need to be submitted with the preliminary plat.
The total package of road improvements that would need to be
bonded would consist of the road improvements which were required
by the 1986 court settlement, plus the road improvements which
are required in accordance with Section 4 of Ordinance 89-39.

Let me start by addressing the -fine issue" in the 1985 case.
We are in agreement that both parties will ask the Court to deem
the fine to be compensatory as opposed to punitive. Further,'
the Court will determine the timing and the disposition of the
fine. Also, the fine shall be used as a setoff in the 1987 suit,
in the event of an adverse judgement.
With respect to enhancements, both parties desire to proceed
with certain zoning enhancements relating to the PUD and PCD,
which are commonly known as the Tradewinds project. It is
agreed that these enhancements bene~it both parties in the sense
that any value which is subsequently assigned to these
enhancements shall be used by' the City as a setof~ to any
adverse verd~ct which may be entered against the City o~ Boynton

units.. This eliminates the single xamily units.. The 600
unit approval is based upon demonstration that there will
be no significant increase in traffic for the PUO. ,
The parties will agree to enter into a stipulation which
provides for the setofxs as set forth above. ~ Further,
Tradewinds represents that the enhancements set forth in
Paragraphs 1 and 2 above go hand in hand and do not have
separate values apart from each other. In this regard,
Tradewinds acknowledges that the value of enhancements #1 and #2
combined may range from a low of $2,420,000.00 to a high of
$3,400.000.00. A determination as to a methodology that will be
used to determine a value to be assigned for purposes of setoff
is set forth hereafter.
Enhancement #1 shall be adopted at the meeting scheduled for
October 31, 1989 which is the second reading of Ordinance No.
89-~~~. Enhancement #2 shall be handl.d through the change to the
Comprehensive Plan redesignating the reference~ acreage from PUD
to PCD, making this ac~eage eligible for rezoning upon
submission of applications by'Tradewinds.
With regard to the enhancements, referenced 8S #3 and #4,.
Tradewinds acknowledges that these may have substantial value,
but the parties have been unable to agree as to a specific value
to assign or a range of values to assign, 88 has been done with
regard to enhancements #1 and #2.
Enhancement #3 shall be approved through the November 7, 1989
adoption ox the Comprehensive Plan.
Enhancement #4 shall be approved as a result of the
Comprehensive Plan adoption, and based upon a demonstration that
there will be no significant increase in traffic for the PUD.
The ultimate value arranged to be assigned to this enhancement
will be based upon requests made by Tradewinds in the number of
units ultimately approved.

parties. Each party shall select one developer as his
arbitrator. The two developers shall select a neutraldevelo~er

The :fee of the three arbitrators shall be split equally among

Final implementation o:f enhancements #3 and #4 will be as a
result o:f a subsequent rezoning application.
No seto:f:fs :for any enhancements will be provided until such time
as the enhancements are actually approved by the City Commission

Tradevinds through development permits. In the event third
party litigation threatens the 'enhancements,' then Tradewinds
reserves the right to drop any and all enhancements and have the

proposal of September 10, 1989 which was executed by the City Attorney. When the
proposal was prepared, the scope of services was limited to revisions to the
Conservation Element and a Traffic Analysis. Because of the significance of the
City's position in this effort, additional analysis has been performed at the City's

professional services to the City of Boynton Beach relative to traffic analysis and
Conservation Element revisions based on the Tradewinds Parcel (Woolbright Place
PUD) in the City of Boynton Beach, Florida.
Walter H. Keller, Jr., Incorporated, hereafter referred to as the Consultant, proposes to
provide the following services to the City of Boynton Beach, hereafter referred to as
the Client, for the fees stipulated herein.
SCOPE OF SERVICES
Task 1- Conservation Element Revisions
The Consultant will modify the various maps, tables and text portions of the
Conservation Element of the Comprehensive Plan relative to the Tradewinds Parcel.
This work requires deleting all references to conservation sites #11 and 13 and
modifying the ".Comprehensive Plan accordingly. The Consultant will make the
necessary revisions and forward them to the City in an expeditious manner.
Task 2 - Traffic Analysis
The consultant will prepare a traffic analysis of the impacts of modifying the Land Use
Plan to incorporate the Tradewinds Parcel (Woolbright Place PUD) in lieu of the land
uses previously included in the Plan. The consultant will address the additional traffic
impact:; and identify the impacts to lev;;;! of service.. The consultam will also suggest
locations where reductions or revisions in Land Use will mitigate the additional traffic
impacts created by the Tradewinds Parcel. The consultant will also describe the
consistency with the current and former Palm Beach County Traffic Performance
Standards.

TIME OF PERFORMANCE
The Consultant has commenced work on Task 1 of this proposal after'verbal notice to
proceed. Work on Task 2 will not be initiated until a verbal approval or receipt of City
Purchase Order. The consultant will prepare on work efforts in an expeditious manner.
DOCUMENTS
All documents, maps, drawings and reports prepared by the Consultant under this
agreement shall become and remain the property of the Client.
LIMITS OF LIABILITY
Except upon the express permission of the City, Consultant will not Incur any
obligations on or in the name of the Client.

TERMINATION
This agreement once signed may be terminated by the Client by giving written notice.
Consultant shall be paid for services rendered to the date of termination on the basis
of his reasonable estimate of that portion of the work completed prior to the
termination. The Consultant shall also be paid for all reasonable expenses incurred to
such date of termination.
ApPROVAL
The acceptance of this proposal can be signified by verbal approval and signing in the
space provided below or by issue of a City Purchase Order. One signed copy shall be
return d to the Consultant and will serve as the agreement between the parties.

Known, observed travel characteristies were utilized where possible
an(' one hundred percent development and occupancy were aSlumed. Therefore.

ROADWAY REQUIREMENTS
In order to assess the general roadway requirements. roadway and
entrance sections were examined to see if they had sufficient capacity to
a 11 ow operation at 1 evel of service "C" during the peak hou~ wi th the
impact of the development. All capacity calculations were carried out
following the criteria of the 1965 Highway Capacity Manual ~nd utilizing
the ~Intersection Capacity AnalysiS Charts and Procedures" published by
the Traffic Institute. Northwestern Univenity. The peak hour directional
vol~s shown on figure 2 were used in the capacity analysis. Improvements
as required were assu.ed for final capacity analysis for the area roadways.
The following criteria were assUlled for the intersection analysis:
(1) All lanes. including turning lanes are 12 feet with
high standards
(2) Five percent truck traffic occurs at peak hour
(3) level of s~rvice ~C. is achieved with the following G.C.
ratios:

3 Phase - 0.85
4 Phase - 0.80

posed zoning or development of the subject parcel,
and shall take into consideration all development
that would be possible under the current zoning
within the city, adjacent cities, and within the
unincorporated area of Palm Beach County within
a radius of five (5) miles. For those parcels lying
in the unincorporated area of Palm Beach Coun-
ty, which are not currently zoned for urban land
uses, the potential land uses according to the Palm
Beach County Comprehensive Plan shall be used.
Where said parcels are shown on the Palm Beach
County Comprehensive Plan under reSidential land
use categories, the midpoint of the density range
shown on County Comprehensive Plan shall be
used. Where a county-wide study of traffic gener-
ation at build-out has been adopted or is utilized
by Palm Beach County, the levels of traffic that
are projected by said study shall in all cases be
