BY AND BETWEEN

AND
CAREY COMPANY. INC.. A FLORIDA CORPORATION
THIS CONTRACT FOR SALE AND PURCHASE made and entered into this
_ day of February, 1996, by and between FLORIDA BOYNTON INVESTMENTS, INC.,
a Florida corporation, having an address at 160 Old State Road, Ballwin, Missouri 63021
("Seller"), and CAREY COMPANY, INC., a Florida corporation, having an address at 3014
South Olive Avenue, West Palm Beach, Florida 33405 ("Buyer"),
WIT N ESE T H:
WHEREAS, Seller is the owner of a retail shopping center containing approximately
121,000 square feet of building area known as Causeway Square, located in Boynton Beach,
Florida at U,S. Highway No, 1 and Woolbright Road, and more particularly described in Exhibit
"A" attached hereto and made a part hereof (the "Real Property"); and
WHEREAS, Buyer desires to purchase and Seller desires to sell the Real Property upon
the terms and conditions hereinafter provided; and
NOW, THEREFORE, for and in consideration of the sum of Ten Dollars ($10,00) and
other good and valuable consideration, the receipt and sufficiency whereof is hereby mutually
acknowledged, Seller and Buyer hereby agree as follows:
1. Lel!al Description Of The Real Estate. Seller shall sell and Buyer shall buy the
Real Property in accordance with the terms hereof, along with all tenements, hereditaments and q ~
appurtenances thereon belonging, including all personal property, tangible or .iE-~l!.lriE!~~owned b
including without limitation, fixtures, equipment and appliances affixed thereunto; all tenant selle~
leases, service contracts, and all personal property belonging to Seller (all of which is hereinafter
collectively described as the "Property"). Except as otherwise stated herein the Property shall
also include all of Seller's rights, title and interest, if any, in and to all easements, streets,
alleys, rights-of-way, licenses, privileges, development rights, tenements and appurtenances
belonging to, appertaining or benefiting the Property, for which seller has the legal ability
to assign or convey. q c:------,
2. Purchase Price And Method Of Pavment. The purchase price ("Purchase /
Price") for the Property is THREE MILLION SEVEN HUNDRED FIFfY AND NO/IOO
DOLLARS ($3,750,000.00) which shaH be payable as follows:

upon execution of this Contract by Buyer, to be held by Escrow Agent in an interest

The Initial Deposit shall be deemed earned by the Seller and non-refundable, except for
Seller's inability to deliver marketable title to Buyer at Closing, Accrued interest shall

C, Receipt of tenant lease estoppel letters in accordance with
Paragraph 16 hereof.
D, Seller providing to Buyer written evidence of the termination of the
existing lease with K-Mart upon terms and condirions reasonably acceptable to
Buyer, which terms shall include the following:
(i) Termination of the lease and vacation of the premises on or
before August 15, 1996,
(ii) Payment by K-Mart to the landlord of an amount not less than
Three Hundred Thousand Dollars ($300,000,00) as consideration for such
termination agreement (the "K-Mart Termination Payment"). Seller
acknowledges and agrees that any such payment shall be the sole property
of Buyer subject to its purchase of the Property, Seller further
acknowledges and agrees that in the event all or any portion of the K-Mart
Termination Payment is made to Seller prior to Closing that Buyer shall
receive a credit against the Purchase Price at Closing equal to the K-Mart
Termination Payment paid to Seller by K-Mart relating to such
Termination Agreement.
(iii) No obligation for payment by Landlord to K-Mart.
6,1.2 Seller's Conditions,
The obligations of Seller under this Contract are specifically conditioned
upon and subject to the following conditions being satisfied at or prior to Closing or as
otherwise specified below:
A. The representations and warranties of Seller contained in Paragraph
21 being true and correct at Closing,
B. Buyer's payment at Closing of the balance of the Purchase Price in
accordance with Paragraph 2,3 hereof,
In the event the above conditions are not satisfied at the times specified above, Buyer, in its sole
discretion, may elect to extend the Closing until October I, 1996 with no additional payment or
deposit, In the event the above conditions are not satisfied by October I, 1996, then Buyer may
elect to terminate this Contract.
7. Buver's Site Plan AnnrovaI. Seller acknowledges that to use the Property for
Buyer's intended use as a Winn Dixie Shopping Center, that Buyer will be required to revise
the site plan for the Property, and to obtain approvals of such revised site plan and to obtain

building permits for the proposed renovations to the Property from all appropriate governmental
bodies or regulatory agencies having jurisdiction over the Property, Seller agrees to cooperate
with Buyer in obtaining such site plan revision and permits and to execute all documents
necessary to allow Buyer, as Seller's designated agent, to obtain such site plan revision,
including without limitation, the granting of any required easements or right-of-way dedications
or other governmental requirements, All costs of obtaining such site plan revision shall be the
sole cost and expense of Buyer.
8. Documents. Within three (3) business days from execution of this Contract,
Seller will provide Buyer with executed copies of all leases and amendments thereto, and any
personal guaranties of said leases, any maintenance, management, service or other contracts
relating to the Property, and any and all financial information relating to the Property which are
in Seller's possession, In the event this Contract fails to close for any reason, Buyer shall return
all documents delivered to it by Seller.
9. Closine Date. This transaction shall be closed on the earlier of August 15, 1996
or thirty (30) days after receipt of a Phase II Environmental Report confirming that the
Environmental Cleanup has been satisfactorily completed and that there is no further
contamination of the Property, together with written verification from the Florida Department
of Environmental Protection Agency as to its final review and acceptance of the Environmental
Cleanup, whichever occurs first (the "Closing" or "Closing Date"). Closing will occur in the
office of Buyer's attorney in West Palm Beach, Florida or at such other location as shall be
mutually agreeable to Seller and Buyer,
Buyer shall have the right to extend the Closing Date for one (1) additional period
of forty-five (45) days each by providing written notice of each such extension to Seller together
with payment of an extension fee in the amount of Twenty Five Thousand Dollars ($25,000,00)
at least five (5) days prior to the Closing Date. The extension fee shall not be credited against
the Purchase Price and shall be non-refundable to Buyer except for Seller's inability to (i)
provide marketable title to the Property as herein provided.
10. Convevance. Seller shall convey any and all interest it has in the Property by a
Statutory Warranty Deed, subject to all Permitted Exceptions as defined in Paragraph 12 hereof.
11. Survev, Within fifteen (15) days following the Effective Date, Buyer shall, at
Buyer's sole cost and expense, obtain an ALTA survey of the Property prepared by a registered
Florida land surveyor, If the survey discloses unpermitted material encroachments, overlaps,
rights-of-way or easements on the Property or that any improvements located on the Real
Property encroach on other land, except as may be reflected in the Permitted Exceptions defined
in Paragraph 12 hereof or which do not render title unmarketable, written notice to that effect
shall be given to the Seller within the fifteen (15) day period, and Seller shall have the same
time to remove such survey defects as the Contract allows to cure other defects of title as
provided in paragraph 12 hereof, If the Seller shall fail to remove or cure such defects within
said period of time, then at the option of the Buyer, (i) the Seller shall return the Deposit or

39. Sil!lIal/e. Upon full execution of this Contract, Buyer shall be allowed to place
a sign(s) on the Property in such form and format as Buyer shall determine, provided such
sign(s) meet all governmental codes or regulations relating thereto, All costs of such signage
and the installation of same shall be the expense of Buyer.

Section 23, Article II. Paragraph F ofthe Boynton Beach Land Development
Regulations states the following:
"Drainage, Storm water shall be contained on site. Containment capacity shall be
designated for a minimum of two and one h2!l1f (2,5) inches of rainfall In one (1) hour."
NATURE OF VARIANCE REQUESTED
T\'115 Is an existing, fully developed site with no area available for the on-site
containment required by the Boynton Beach Land Development code. It is possible to
improve the quality of the $torm wllter run-off and within the space made available by
t"'e demolition of 10.294 square feet of building and the grassed "WIlle areas, it is
possible to contain one half inch of the required 2.5 inches containment.
A variance of 2.0 Inches Is requested from the 2.5 inch containment
required by the ordinance.

STATEMENT OF JUSTIFICATION
This site was developed as the Causeway Square Shopping Center over thirty years
ago, At that time, storm water containment was not a requirement of the Boynton
Beach development ordinances and direct discharge into the Intracoastal Waterway
was the accepted method of storm water disposal.
The present major tenant offers outdoor garden sales and auto repairs on the site, The
proposed tenant will not offer these services and as a result, will eliminate a significant
source of potential degradation of the storm water run-off. In addition, as a
consequence of demolition, an area exceeding 10,000 square feet is available for
containment which, coupled with available swale containment, will provide for a
minimum of .5 inches of containment

Section 23. Article ii, Paragraph H3 of the Boynton Baach Land Development
Regulations states the following:
"Dlettlnc. from etre.ta. Parking lot driveways shall be constructed at least thirty (30)
feet from the int9rlleetion of the right of way lines along local streets and one hundred
eighty (180) feet along streets of a higher clusification."
NATURE OF VARiANCE REQUESTED
Access to the Riverview Shopping Center is provide through four major driveways, Two
of those existing drives are situated within the now required 1 eo feet, One of these, the
northern access to U S. HighwllY *1 is to be clolled thereby eliminating the naad for a
variance. The remaining drive. the western access on Woolbright Road (S.E. 15th
Avenue) is being modified to minimize the variance required,
The West line of the West entry from Woolbright is 150,00 feet from the East line of
U.S, Highway #1 ,The entry is being modified to be left turn in, right turn out, eliminating
a center or left turn out lane. The drive will consist of tI 14 foot ingre$S lane and a 12.5
egress lane or a total width of 26,5 feet thereby moving the west edge of the drive 8.5
feet farther from the intersection thereby reducing the amount of variance needed to
21,5 feet
Variance required: From 180 feet to 1118.5 feet, a variance of 21.5 feet

at any major ingress or egress driveway to any parking &tall or the any interior access

STATEMENT OF JUSTIFICATION:
This property, originally developed as the Causeway Shopping Center, was planned,
approved and constructed before the current land development code was adopted,
At that time, it was common practice to provide parking bays in the manner reflected on
the site plan; a sixty-five foot parking bay parallel to the street frontage. These bays are
separated by two curb cuts and access to U,S, Highway #1.
In an effort to conform to the present code, the developer will eliminate theNorth curb
cut adjacent to the bank's entry. The South main entry cannot be eliminated; however,
the landscape planter along the North side of the entry has been extended easterly a
distance of 100 feet thereby eliminating the the possibility of a left-turn movement within
the 100 feet. On the South side of that entry, the parking bay lies between the right of
way and the building (Walgreens), The parking bay cannot be eliminated nor can the
entry be eliminated, as a consequence, a variance is necessary for the right turn
access to the bay, This movement does not offer the opportunity to cause a back-up
created by a vehicle waiting for opposing traffic to clear.
The West entry from Woolbright Road is similarly configured without the option being
available to eliminate the access on the East side, The East entry, however, has been
reconfigured to eliminate the need for a similar variance,

STATEMENT OF JUSTIFICATION
DISTANCE FROM STREETS
Over thirty years ago, when this property was developed as the Causeway Shopping
Center, there were no requirements for a 180 foot separation of access drives from
major intersections, This center was developed with four major access points; two on
Highway #1 and two on Woolbright Road, The bank parcel on the corner had its own
access from U,S.#1and retains that access today. The bank shares an access from
Woolbright Road and it is that access that now requires a variance due to its proximity
to the intersection,
In an effort to minimize the variances required, the developer will eliminate the North
entrance on Highway #1 and will modify the West entry on Woolbright as outlined in the
description of the nature of the variance.
