THIS EASEMENT, made this I!~ day of September, 1985, between
CHALET IV CORPORATION, a Florida corporation, as party of the
first part, and the CITY OF BOYNTON BEACH, Florida, as party of
the second part.
WITNESSETH: That the said party of the first part, in
consideration of the sum of One ($1.00) Dollar and other valuable
considerations paid, the receipt of which is hereby acknowledged,
hereby grant unto the second party, its successors and assigns, a
perpetual non-exclusive easement and right-of-way for the purpose

KNOW ALL MEN BY THESE PRESENTS:
That CHALET IV CORPORATION (hereinafter called the "Principal"),
and AETNA CASUALTY AND SURETY COMPANY , a surety company authorized to do
business in the State of Florida (hereinafter called the "Surety"), are held and
firmly bound unto the City of Boynton Beach, a municipal corporation of the
State of Florida (hereinafter called the "City"), in the full and just sum of
$54,123.78 lawful money of the United States of America, to
be paid to the City, to which payment well and truly to be made we bind ourselves,
our'heirs, executors, administrators, successors and assigns, jointly and severally,
firmly by these presents:
WHEREAS, the above bounded Principal, as a condition precedent to the approval
by the City of a plat of a certain subdivision know as CHALET IV - PLAT I
has submitted engineering and other construction plans for the Required Improvements
prescribed by the Subdivision and Platting Regulations of the City, pertaining to the
said subdivision (hereafter refer,ed to as the "Subdivision Improvements Plans"),
copies of which plans are attached hereto and by reference made a part hereof; and
WHEREAS, it was one of the conditions of the said Subdivision and Platting
Regulations that this bond be executed;
NOW, THEREFORE, the conditions of this obligation are such that if the above
bounded Principal shall in all respects perform the Subdivision Improvements Plans
within the time specified in the Subdivision and Platting Regulations of the City.
and shall indemnify and save harmless the City against or from all claims, costs,
expenses, damages, injury or loss, including engineering. legal and contingent costs
which the City may sustain on account of the failure of the Principal to perform
the Subdivision Improvements Plans within the time specified in the said Subdivision
and Platting Regulations, then this obligation shall be void; otherwise to be and
remain in full force and effect.
THE SURETY UNCONDITIONALLY COVENANTS AND AGREES THAT if the Principal fails
to perform all or any part of the construction work as set forth in the Subdivision
Improvements Plans, within the time specified, the Surety will forthwith perform
and complete the said construction work and pay the cost thereof, including, but
not limited to, engineering, legal and contingent costs, and will indemnify and
save harmless the City as aforesaid. Should the Surety fail or refuse to perform
and complete the said improvements, the City, in view of the public interest, health,
safety and welfare factors involved and the inducement in approving and filing the
said plat, shall have the right to resort to any and all legal remedies against the
Princip~l an~ the Surety, or either, ~oth at law and in equity, including specifi-
cally specific performance, to which the Principal and Surety unconditionally agree.
THE PRINCIPAL AND THE SURETY FURTHER JOINTLY AND SEVERALLY AGREE THAT the City,
at its option, shall have the right to construct or, pursuant to public advertisement
and receipt of bids, cause to be constructed the aforesaid improvements in case the
Principal should fail or refuse to do so in accordance with the Subdivision Improve-
ments Plans and within the time specified, and in the event the' City should exercise
and give effect to such right, the Principal and the Surety shall be jointly and
severally liable hereunder to reimburse the City the total cost thereof, including,
but not limited to, engineering, legal and contingent costs; .together with any
damages, either direct or consequential, which may be sustained on account of the
failure of the Principal to carry out and perform the Subdivision Improvements Plans
within the time specified.

consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties agree as follows:
1. ?cPCHASE AND SALE.
(a) Purchaser agrees to purchase and Seller agrees to
sell for the purchase p.rice and subject to the terms and CDn-
dit:ons hereinafter set forth, the following described land (the
"~and"), lying, being, and situate in Palm Beach County, Florida:

Exhibit "A" comprising Phase I of the Melear
Property (as hereinafter defined); it is
understood that a legal description Df the
Property shall be prepared by the surveyor or
engineer as hereafter provided and that such
legal description shall be used on the final
closing documents, and shall be made a part of
this hgreement by an amendment hereto.
Together with the following:
All easements, privileges, rights of way, appurtenant to or
accruing to the benefit-of the Land.
The Land and the foregoing rights are collectively referred
to herein as the "Property..
(b) The Melear Property shall be defined as that
certain plat or parcel of land, lying, being, 'and situate in Palm
Beach County, Florida described as follows:
The Northeast one-quarter of Section 18,
Township 45S, Range 43E, less the East 50.00
feet thereof and right-of-way for L.W.D.D.

2. PURCHASE PRICE. Purchaser hereby agrees to pay a
purchase price of One Million Nine Hundred Ninety-Eight Thousand
and 00/100 (51,998,000.00) Dollars for the Property, subject to
any adJustments and prorations hereinafter set forth.
. 3. PAYMENT OF PURCHASE PRICE. The purchase price above set
forth shall be paid as follows:
(a) Deposit.. Purchaser has deposi ted wi th JOHNSTON I
SASSER, RM;::JOLPH & WEAVER ("Escrow Agent"), the sum of Seventy
Flve Thousand and 001100 ($75,000.00) Dollars as an earnest monej'
ceposit tc be held. in escrow ("Deposit"), which shall be subject
to the terrr.s and conditions of this Agreement. Purchaser hereby
requests the Escrow Agent to place the Deposit in an interest
bearing account, certificate of deposit, or repurchase agreement
ffialntained with or issued by a commercial bank doing business in
Palm Beach Co~nty, Florida. All interest accrued or earned on the
Deposi t sha 11 be pa id or credi ted to Purchaser, except, in the
event of a default by Purchaser hereunder, without any default on
the part of Seller, in which case the interest shall be disbursed
to Seller, togetr,er with the Deposit as liquidated damages in
accordance with paragraph 20. All references to the Deposit shall
be deemed to include the interest accrued thereon.
(b) Purchase Money Note and Mortgage. At Closing
Pu:-chaser shall execute and deliver to Seller a Purchase Money
~ote (the "Note"), dated as of closing, in the amount of One
Million Three Hundred Thirty-~~o Thousand and 00/100
1$1,332,000.00) Dollars secured by a Purchase Money Mortgage (the
"Purcha se Y.cney Mortgage") encurr.ber ing certain portions of the
Property as herein set forth.

of the Mortgage.
(iv) All 'outstanding principal shall be due and
yayable two years from the date of Closing and shall be paid by
cash or casr.~er' s check issued by a bar.k doing business in Palm
2each County, Florida.
(v} The Note and Purchase Money Mortgage shall be
freely assumable without escalation, qualification or penalty.
(vi) The Note and Purchase Money Mortgage shall be
in the form set forth herein as composite Exhibit "B".
(c) Cash TD Close. At Closing, the total amount of Six
Eundred Sixty-Six Thousand and 00/1 00 ($666,000.00) Dollars (of
.....hich the Deposit shall be a part) shall be paid by cash or
cashiers' check t.o the Seller. Such amount shall be subject to
the prorations required by paragraph 19 of this Agreement.
~. SURVEY. Within thirty (30} days from the Effective Date
of this Agreenent, the Purchaser shall obtain, at Purchaser's sole
cost a:1d expense, an on-the-ground survey of the Property plus
field :1otes thereof certified as correct within the past. sixty
(60) cays by a registered surveyor or engineer. Such survey shall
be pre?areci, cated and/or updated (as the case may be), bear the
officlal seal of and be signed and certified as to all matters set
forth 10 tr.is paragraph ~ by such surveyor or engineer. The

MELEAR (collectively the "Melears") and CHALET IV CORPORATION, a
Florida corporation ("Chalet").
WIT N E SSE T H:
WHEREAS, the Melears are the fee simple owner of all that
certain tract of land lying, being and situate in Palm Beach
County, Florida, more particularly described as follows:

(the "Melear Parcel") ;
WHEREAS, Chalet is the fee simple owner of all that certain
tract of land lying, being and situate in Palm Beach County,
Florida, more particularly described as follows:

(the "Chalet Parcel");
WHEREAS, the Melear Parcel and Chalet Parcel have been zoned
to be developed as a Planned Unit Development, substantially in
accordance with the "Melear Property Conceptual Plan", attached
hereto as Exhibit "C" 'and incorporated by reference herein (the
"Melear Property Conceptual Plan");
WHEREAS, Chalet is responsible for improving and maintaining
that certain 1.8 acre recreational facility ("Chalet Recreational
Area") located in the area designated as Phase I in the Melear
Property Conceptual Plan;
WHEREAS, the Melears are responsible for improving and
maintaining that certain 1.2 acre recreational facility ("Melear
Recreational Area") located in the area designated as Phase II in
the Melear Property Conceptual Plan;
WHEREAS, the provisions, under which the Melear P. U. D. was
adopted require that the Chalet Recreational Area and the Melear
Recreational Area be used and enjoyed by all of the homeowners in
the Melear Parcel and Chalet Parcel.

NOW, 'rIlEHEl"OHE, in considc' ciltion ot the premises and for
other good and valuable consider~tion, the receipt and sufficiency
of which are hereby acknowledged, the parties agree as follows:
I. Easement for Ingress and Egress and Use - Chalet does
hereby grant to the Melears, their personal representatives, heirs
an\,! assigns, for use in common with Chalet, its successors and
assigns, a perpetual non-exclusive easement of use in, to and over
the Chalet Recreational Area. The rights granted the Melears
h,~reunder shall be subject to reasonable rules and regulations
from time to time issued by the fee owner of the recreational area
concerning the use of same, providing such rules and regulations
are uniformly applied on a non-discriminatory basis. Chalet does
hereby grant to the Melears, their personal representatives, heirs
and assigns, for use in common with Chalet, its successors and
assigns, a perpetual non-exclusive easement for vehicular and
pedestrian ingress and egress to and from the Melear Parcel to the
Chalet Recreational Area in, to and over such portion of the
Chalet Parcel as Chalet shall, [rom time to time, reasonably
determine.
2. Easement for Ingress and Egress and Use - The Melears do
hereby grant to Chalet, its successors and assigns, for use in
common with the Melears', their personal representatives, -heirs and
assigns, a perpetual non-exclusive easement of use in, to and over
the Melear Recreational Area. The rights granted to Chalet
hereunder shall be subject to reasonable rules and regulations
from time to time issued by the fee owner of the recreational area
concerning the use of same, providing such rules and regulations
are uniformly applied on a non-discriminatory basis. The Melears
do hereby grant to Chalet, its successors and assigns, for use in

3.
Covenants Running With 'l'hc Land
The easements and
rights herein created and grant0d shall constitute servitudes on
those portions of the Chalet Parcel and Melear Parcel, burdened
thereby and shall hereafter be construed as covenants running with
the land for the benefit of the Ilelears and Chalet and the benefi-
ciaries thereof and their respective personal representatives,
heirs, successors and assigns.
4. No Oral Modifications - The foregoing covenants, agree-
ments and conditions shall continue in full force and effect until
modified, altered, changed or terminated by mutual agreement of
the parties in writing, provided however, no such modi fication,
alteration, change or termination shall be effective without the
express written consent thereto by the City of Boynton Beach,
Florida.
5. Complete Agreement - This Agreement fully and completely
sets forth the agreement of the parties hereto with respect to the
rights herein granted.
