Dear Mr. McCoig:
In response to your request for the administrative review and approval of the
modifications proposed to the above-referenced, approved site plan, please be informed
that the addition of two (2) access drives for connection to the adjacent (Sonny's BBQ)
parcel as shown on the revised plans date stamped 08/01/01 and the directional sign on
plans date stamped 10/24/01 are "minor", as defined within the Land Development
Regulations, Chapter 4- Site Plan Review.
This project may continue to be processed by the Building Division as a permit application.
Be advised that the proposed changes may require a modification to the building permit.

ThiS FIRST AMENDMENT TO RECIPROCAL EASEMENT AGREEMENT ("First

STEAK N SHAKE OPERATIONS. INC., an Indiana Corporation. Whose aocsress Is 500
Century Building, 36 South Pennsyrvania Street, Indianapo!is. Indiana 46204 ("SNS.).
RECITALS
A. Manins and SNS entered into a ReCiprocal Easement Agreement dated
JulY 5, 2001 and recorded on July 12, 2001 in OfflciaJ Record BoOIe 12725, Page 27 of
the P~lic ReCOrds of Palm Beach County, Florada (the "REA"), wnic:h establish8&
cenain easements and agreements for the benefit of Martins and SNS.
B. Manins and SNS desire to amend the REA to proviae an easement to
SNS on the Martins Property for tnree (3) exclusive parking apaces, as S8l forth below.
TERIIS OF AGR~gENT
NOW t THEREFORE, in conSideration of Ten Dollars ($10.00) and other good
and valuable consideration, !he parties eaCh agree as fOllows:
1. The RecitalS above are incorporated into me body of this First Amenctment .
by this reference.
2. CapitaliZed tenns used by nat csefined herein shall have the meanings set
forth in the REA.
3. Martins hereby grams 10 SNS- an exeluSive parking euement for three (3)

employee and cusromer paoong only. Busses and similar vehicleS shall be predudec.t

Marons' rights on Manins Propeny. The parking rights togamer with the right of access
hereto granted are to be used. exclusively by emplOyeM and QJ8tomers of SNS for
patking auociatecl with the business operated on the SNS Property.
4. The owner of the Martins Propeny shall maintain tne PaI1dng Area in good
condition. In the event Martins fails to maintain or repair Ute Parking Area. SNS may do
80 at its expense upon seven (7) days written notice to Manms.
5. SNS shall inaemnify and hOld Manina harm.... from any damages or
liabitity to persons or propeny tnat might arise from tn. USA of the Parking Area by SNS.
its customers, suppliers, emptoyees. tenants or anyone tllse using the Parking Ara. in
connection with the ~Siness operated-on the SNS Property.
6. The parties to this First Amendment hereby represent and warrant to eaen
other that they ant fuly autnoriZed by all necessary corporate or company action to
enter into this First Amendment and that the SIgnatories to this REA are ~thoriZ8d to
execute this First Amendment on behalf of each SUCh pany, and tt\8t no oll1er approvals
are necessary in order for _en sucn party to entsr into this First Amendment.
7. The easement granted to SNS by this First Amendment shall immediately
terminate if MaRins determines thar SUCh grant shall cause Martins' Propelty to be
nonconforming under any applicable COdeS or ordinances. inclUding the City of Boynton
Beach zoning code. In the event Martins receives notice of nonconfonnity as
contemplatec:l by the preC:eeling sentenee~ Martins warrants and represents that it shall
provide written notiCe to SNS. RecoRied notice of nonconformity by Marlins shall act as
a termination of the parking easement gran1ed to SNS.
8. Except as moc1ifl8d by this Rt'Sl Amendment, tn. terms and provisions of
the REA remain in tub force and effect.
