Steak n Shake utilizes individual letter signs installed on raceways with enclosed wiring. These
signs, which are installed on all four (4) building walls (if desired and allowed), have formed faces

Dear Lusia:
Please find enclosed a new drawing of the actual sizes and configurations of the pro-
posed directional signs. Both signs are three feet tall, which is well below the five feet
allowed. At the entrance to Steak N' Shake from Old Boynton Rood we are proposing
to add a Sonny's directional sign; the Steak N' Shake directional sign is existing. At the
entrance to Sonny's we are proposing to install both restaurant's directional signs as illus-
trated on sheet 3,
The sizes and heights of the proposed directional signs are in compliance with the sign
ordinance. We have four directional signs per site. which is allowed by the sign ordi-
nance. You mentioned having a problem with two signs next to each other. but I dO
not see anything in the sign ordinance, which dictates, or restricts. the placement of 7r,e
dlrectionel signage on the site. As you can see in the illustration, the two corporations
have different concepts for their directional signs and different sign companies manu-
facture them. It would be very difficult to combine them into one sign; and if we did,
we would exceed the size restriction of four square teet, Another advantage to having
separate signs is that over the coming years one sign can be eliminated or chenged
without affecting the other.

RECIPROCAL EASEMENT AGREEMENT
THIS RECIPROCAL EASEMENT AGREEMENT ("Agreement") is made as of the
~ day of ~ v\ , 2001, by and between MARTINS BBQ, INC., a Florida
corporation ("Martins" , having an address of 6911 Vista Parkway North, Building 1704, West
Palm Beach, FL 33411 and STEAK N SHAKE OPERATIONS, INC., an Indiana corporation
("SNS"), having an address of 36 S. Pennsylvania Street, 500 Century Building, Indianapolis, IN
46204.
Backe:round
A. Martins is the owner of certain property located in the City of Boynton Beach,
Palm Beach County, Florida, which is more particularly described on Exhibit "A" attached
hereto (the "Martins Property"). Martins represents and warrants that as of the date of this
Agreement, there is no mortgage or lien encumbering the Martins Property.
B. SNS is the owner of certain property located in the City of Boynton Beach, Palm
Beach County, Florida, which is more particularly described on Exhibit "B" attached hereto (the
"SNS Property"). SNS represents and warrants that as of the date of this Agreement, there is no
mortgage encumbering the SNS Property, nor is there a lien which could lead to a foreclosure
resulting in a forfeiture of the SNS Property.
C. Martins and SNS have agreed to enter into this Agreement to provide reciprocal
sign easements for the purpose of providing directional assistance through enter and exit signs
for both the Martins Property and the SNS Property. Such easements shall be for the benefit of
the party owning the Martins Property or the SNS Property, respectively, all successors in title to
all of the Martins Property or the SNS Property, and all of their respective employees, customers,
guests and invitees.
D. SNS has agreed to provide an easement to Martins for the purpose of pedestrian
and vehicular ingress and egress over the parking lot area of the SNS Property to assist in the
functioning of the Martins Property. Such easement shall be for the benefit of the party owning
the Martins Property, all successors in title to the Martins Property, and all of their respective
employees, customers, guests and invitees.

E. Martins has agreed to provide an easement to SNS for the purpose of pedestrian
and vehicular ingress and egress over a portion of the parking lot area of the Martins Property to
assist in the functioning of the SNS Property. Such easement shall be for the benefit of the party
owning the SNS Property, all successors in title to all or part of the SNS Property, and all of their
respective employees, customers, guests and invitees.
Terms of Af!reement
NOW THEREFORE, in consideration of Ten Dollars ($10.00) and other good and
valuable consideration, the parties each agree as follows:
1. Sif!n Easement.
a. Martins hereby grants to SNS a non-exclusive easement for the
installation, operation, repair and maintenance of one sign on, over and located on that portion of
the Martins Property described in Exhibit "e" attached hereto for the benefit of SNS, for the
purpose of erecting, maintaining, repairing and replacing, from time to time, at SNS' s sole cost
and expense, a new directional sign measuring 2',4-3/4" long by 5', 2" high by 10" wide, and a
non-exclusive easement on other portions of the Martins Property for any required underground
cabling and equipment for electricity or any other necessary equipment serving the sign location
depicted on Exhibit "c" (the "SNS Sign"), subject to the appropriate governmental approvals
and in compliance with all applicable laws, provided the same does not materially interfere with
the use and enjoyment of the Martins Property or interfere with or obstruct the construction of or
use of any improvements currently existing or planned to be constructed on the Martins Property
or constructed on the Martins Property in the future. The electric cables serving the SNS Sign
shall specifically not be located under the proposed Sonny's Real Pit Bar-B-Q building proposed
to be constructed on the Martins Property, nor shall they interfere with any other proposed
improvements on the Martins Property, such as drainage structures.
b. SNS hereby grants to Martins a non-exclusive easement for the
installation, operation, repair and maintenance of one sign on, over and located on that portion of
the SNS Property described in Exhibit "D" attached hereto for the benefit of Martins, for the
purpose of erecting, maintaining, repairing and replacing, from time to time, at Martins sole cost
and expense, a new directional sign measuring 2',4-3/4" long by 5',2" high by 10" wide and a
non-exclusive easement on other portions of the SNS Property, any required underground
cabling and equipment for electricity or any other necessary equipment serving the sign location
depicted on Exhibit "D" (the "Martins Sign"), subject to the appropriate governmental approvals
and in compliance with all applicable laws, provided the same does not materially interfere with
the use and enjoyment of the SNS Property or interfere with or obstruct the construction of or
use of any improvements and facility currently existing on the SNS Property or constructed on
the SNS Property in the future. The electric cables serving the Martins Sign shall specifically
not be located under the existing Steak N Shake restaurant building located on the SNS Property,
nor shall they interfere with any other existing improvements on the SNS Property, such as
drainage structures.
c. The Martins Sign and the SNS Sign shall sometimes be hereinafter
referred to as the Signs. All work relating to the construction and installation of the Signs is

hereinafter referred to as the Sign Work. Martins and SNS shall each coordinate and pay for the
Signs and the Sign Work relating to their particular sign. In the event that Martins fails to pay
for the Martins Sign or its Sign Work, in addition to all other rights and remedies hereunder and
at law or in equity, SNS shall have the right to remove any sign installed on the SNS Property.
In the event that SNS fails to pay for the SNS Sign or its Sign Work, in addition to all other
rights and remedies hereunder and at law or in equity, Martins shall have the right to remove any
sign installed on the Martins Property. Martin and SNS shall each keep and maintain its sign
panels on their particular Signs in good condition, repair and operation, at their sole cost and
expense. In the event any of the signs need zoning variances or governmental approvals because
the Signs are off-site or for other reasons, each party will cooperate with the other.
d. The Sign Work for the Martins Sign and the SNS Sign shall be performed
in compliance with all applicable laws. The Martins sign contractor and the SNS sign contractor
shall sometimes be hereinafter referred to as the Contractors. The Contractors shall carry at all
times during the performance of the Sign Work, liability insurance against damage to persons
and property, workmen's compensation insurance and such other insurance as may be reasonable
and customary in the performance of the Sign Work.
e. Martins and the Martins Contractor shall not alter the physical condition
of the SNS Property in any respect, other than erecting the Martins Sign in its designated
location and installing necessary underground electric utilities, and all disturbances caused by
such installments shall be repaired with reasonable promptness, and in the event that Martins or
the Martins Contractor's activity on the SNS Property results in any other alteration of the SNS
Property, Martins or the Martins Contractor, as the case may be, shall restore with reasonable
promptness the SNS Property to its condition existing immediately prior to either party's entry
thereon. Martins and the Martins Contractor shall use their best efforts to ensure that SNS's
business operations are not interrupted or interfered with in any manner during the installation of
the Martins Sign and the Sign Work. Martins and the Martins Contractor's right to enter upon
the SNS Property shall be limited to the sole purpose of conducting the Sign Work.
f. SNS and the SNS Contractor shall not alter the physical condition of the
Martins Property in any respect, other than erecting the SNS Sign in its designated location and
installing necessary underground electric utilities, and all disturbances caused by such
installments shall be repaired with reasonable promptness, and in the event that SNS's or the

Property shall be limited to the sole purpose of conducting the Sign Work.
g. Martins and the Martins Contractor shall not permit the Sign Work to
result in any liens, judgments or other encumbrances being filed or recorded against the SNS
Property and Martins, at its sole cost and expense, shall promptly discharge of record any such
liens or encumbrances that are so filed or recorded (including, without limitation, liens for
services, labor or materials furnished). Martins shall notify the Martins Contractor that should

the Martins Contractor file a lien, the lien shall only encumber the Martins Property and Martins
easement interest in the SNS Property. In no event shall any such lien encumber SNS's fee
simple interest in the SNS Property
h. SNS and the SNS Contractor shall not permit the Sign Work to result in
any liens, judgments or other encumbrances being filed or recorded against the Martins Property
and SNS, at its sole cost and expense, shall promptly discharge of record any such liens or
encumbrances that are so filed or recorded (including, without limitation, liens for services, labor
or materials furnished). SNS shall notify the SNS Contractor that should the SNS Contractor file
a lien, the lien shall only encumber the SNS Property and SNS's easement interest in the Martins
Property. In no event shall any such lien encumber Martins fee simple interest in the Martins
Property.
i. Martins and the Martins Contractor shall each be liable for all damage or
injury to any person or property resulting from, relating to or arising out of the Sign Work
performed by the Martins Contractor, and both parties shall indemnify and hold harmless SNS
and its agents, employees, officers, directors, affiliates and asset managers from and against all
claims, demands, damage, loss, cost, liability and expense (including, without limitation,
reasonable attorneys' fees and disbursements) which SNS may suffer arising out of or in
connection with (a) the Sign Work, (b) Martins or the Martins Contractor's entry upon the SNS
Property, and (c) any liens or encumbrances filed or recorded against SNS Property as a
consequence of the Sign Work.
j. SNS and the SNS Contractor shall each be liable for all damage or injury
to any person or property resulting from, relating to or arising out of the Sign Work performed
by the SNS Contractor, and both parties shall indemnify and hold harmless Martins and its
agents, employees, officers, directors, affiliates and asset managers from and against all claims,
demands, damage, loss, cost, liability and expense (including, without limitation, reasonable
attorneys' fees and disbursements) which Martins may suffer arising out of or in connection with
(a) the Sign Work, (b) SNS's or the SNS Contractor's entry upon the Martins Property, and (c)
any liens or encumbrances filed or recorded against Martins Property as a consequence of the
Sign Work.
k. Martins and SNS shall each use reasonable efforts to provide advance
notice to the other party of the date on which the Sign Work will commence at least twenty four
(24) hours prior to the Contractors entry on either the Martins Property and the SNS Property.
1. Martins shall be responsible for paying for the electricity for the Martins
Sign. SNS shall be responsible for paying for the electricity for the SNS Sign.
m. It is anticipated that the Martins Property shall be developed as a Sonny's
Real Pit Bar-B-Que Restaurant. SNS shall have the obligation to remove the face of or terminate
the SNS Sign from the Martins Property in the event of termination of SNS' s business or upon
SNS changing its use to compete directly with the then current owner of the Martins Property,
such as a barbeque restaurant which would include Tony Roma's Restaurant, Park Avenue Bar-
B-Que, Woody's Bar-B-Que and Bono's, as well as casual, sit-down restaurants such as Chili's,
Applebees and similar restaurants. Martins shall have the obligation to remove the face of or

terminate the Martins Sign from the SNS Property in the event of termination of Martins
business or upon Martins changing its use to compete directly with SNS, which would include
Wendy's, McDonalds, Burger King and similar fast food restaurants, as well as casual, sit-down
restaurants such as Chili's, Applebees and similar restaurants. Martins and SNS agree that SNS
and Martins do not consider the use of the SNS Property for a Steak-N-Shake restaurant and the
use of the Martins Property as a Sonny's Real Pit Bar-B-Que restaurant to compete directly
against one another.
2. IDl!ress. E2ress and Access Easements.
a. SNS agrees that at its sole expense, it shall obtain all governmental
approvals and construct and open a driveway between the SNS Property and the Martins
Property at the location shown by arrow and cross-hatch on Exhibit "E" attached hereto ("SNS
Driveway Location"), no later than January 5, 2002. SNS grants to Martins a non-exclusive
easement for vehicular and pedestrian ingress and egress over the roadways and driveways in the
parking lot shown in cross-hatch on Exhibit "F" attached hereto (the "Martins Easement
Property"). Such easement shall be for the benefit of the owner of the Martins Property and their
respective invitees, guests and customers.
b. The owner of the SNS Property shall have the right to reconfigure or
change the location of the roadways, driveways and parking lot, provided that such change does
not prevent or unreasonably interfere with vehicular or pedestrian ingress and egress from Old
Boynton Beach Road to the Martins Property, and provided further, that such change shall not
prevent or unreasonably interfere with unimpeded access from the Martins Property to a curb cut
on the North border of the SNS Property, and such ingress and egress is of such a width as
shown on Exhibit "F". Any change to the Martins Easement Property shall be reflected in a
recorded amendment to this Agreement, executed by the owner of the SNS Property.
c. The owner of the SNS Property shall maintain in good condition those
driveways and roadways within the Martins Easement Property, provided that such areas may be
temporarily closed for repairs, provided that at no material time shall vehicular or pedestrian
ingress and egress from Old Boynton Beach Road to the Martins Property be prevented.
d. Martins agrees that at SNS's sole expense, SNS may obtain all
governmental approvals and construct and open a driveway between the Martins Property and
the SNS Property at the location shown by arrow and cross-hatch on Exhibit "G" attached hereto
("Martins Driveway Location"), after Martins has finished construction on the Martins Property.
Upon completion of construction of such items, Martins grants to SNS a non-exclusive easement
for vehicular and pedestrian ingress and egress over the roadways and driveways in the parking
lot shown in cross-hatch on Exhibit "R" attached hereto (the "SNS Easement Property"). Such
easement shall be for the benefit of the owner of the SNS Property and their respective invitees,
guests and customers.
e. The owner of the Martins Property shall have the right to reconfigure or
change the location of the roadways, driveways and parking lot, provided that such change does
not prevent or unreasonably interfere with vehicular or pedestrian ingress and egress from the
South border of the Martins Property to the SNS Property, and provided further, that such change

shall not prevent or unreasonably interfere with unimpeded access.from the SNS Property to a
curb cut on the South border of the Martins Property, and such ingress and egress is of such a
width as shown Exhibit "H". Any change to the SNS Easement Property shall be reflected in a
recorded amendment to this Agreement, executed by the owner of the Martins Property.
f. Once constructed, the owner of the Martins Property shall maintain in
good condition those driveways and roadways within the Martins Easement Property, provided
that such areas may be temporarily closed for repairs, provided that at no material time shall
vehicular or pedestrian ingress and egress from the South border of the Martins Property to the
SNS Property be prevented.
3. Cooperation. No owner of the SNS Property or the Martins Property shall,
without the express written consent of the owner of the other Property, take or fail to take any
action or do or fail to do anything which would, or have the effect of impeding, obstructing or
preventing any other person or entity having rights under this Agreement from their full and
complete use and enjoyment of the easements herein granted.
4. Run with Land. The easements, covenants and restrictions herein provided for
shall be appurtenant to and run with the Martins Property and the SNS Property in perpetuity and
shall not expire or terminate by any unilateral action of the owner of any portion of the Martins
Property or SNS Property. This Agreement may only be amended, terminated or released by a
recordable instrument executed by the owners of all of the Martins Property and the SNS
Property. Such ingress and egress easements shall be for the benefit of the parties owning the
SNS Property and the Martins Property, and their successors in title, and their respective
employees, customers, guests and invitees.
5. Enforcement. Each owner of any portion of the Martins Property and the SNS
Property may specifically enforce this Agreement in the courts of Palm Beach County, Florida,
and the prevailing party in such action shall be entitled to reasonable attorneys, paralegals fees
and costs. This Agreement shall be governed by Florida law.
