Wrthin twenty (20) days of the Effective Date, Seller shall provide to Buyer at Seller's sole cost and expense (not to exceed promulgated rate plus title search charges) an A.L.T.A. Form B title commitment ("Title Commitment") accompanied by one copy of all documents affecting the Property and which constitute exceptions to the Title CommibTient. Buyer shall give Seller written notice on or before thirty (30) days after receipt of the Title CommItment of objections to the condition of title as set forth In the Title Commitment and the survey In the event there are objections, Buyer shall state which exceptions to the Title Commitment are not acceptable and If such defect(s) ("Oefectll) render trtle unmarketable (marketable title to be determined according to Title Standards adopted by authorrty of The Florida Bar and in accordance with law), Seller may undertake to eliminate the Defect(s) as set forth below, proVided, however, that at Closing, mortgages or liens other than those included in the permitted exceptions shall be satisfied or the liens thereof released as the case may be. as to the Property In the event Seller is unable or unwilling, to eliminate said Defect(s) prior to the expiration of the Inspection Period Buyer may, at its option. If the Closing shall occur before the tax rate IS fixed for the then current year the apportionment of taxes shall be based upon the preceding year's tax amount. Subsequent to the Closing, when the tax rate is fixed for the year in whIch the ClOSing occurs Seller and Buyer agree to adjust the proration of taxes and If necessary, to refund or pay, as the case may be, on or before January 1 of the year following the. Seller will adVise Buyer promptly of any change tn any applicable laws, regulations, restrictions, rulings, or orders which might affect the value or use of the Property to Buyer of which is brought to the attentIon of Seller 4 04 Payment of Special Assessments Seller shall pay in full all special assessments against the Property (unrelated to the COD) to the date of the Closing, whether any or all installments of such assessments are matured or unmatured -T5~~'-'7 ( Page 6 of 18 r/ I I I I I I I I I I I I ( l 4 05 Further Assurances In addition to the obligations required to be performed hereunder by Seller at the Closing, Seller agrees to perform such other acts, and to execute, acknowledge, and/or deliver subsequent to the Closing such other instruments, documents, and other matenals as Buyer may reasonably request In order to effectuate the consummation of the transaction contemplated herein and to vest title to the Property in Buyer 4 06 Assistance/Cooperation After Closing Seller agrees to provide assistance and cooperation to Buyer following Closing as is reasonably necessary to ensure an orderly and complete turnover of the operation of the Property Such assistance shall include the Involvement of a Quantum Associates representative (currently Arthur Felsher) In discussions, meetings and/or answering of questions 5 REPRESENTATIONS AND WARRANTIES WITH RESPECT TO PROPERTY Seller makes the following representations and warranties to Buyer, which representations and warranties are true and correct, Intended to be relied upon by Buyer and shall survive Closmg for a term of one year' 5 01 No Condemnation Pending or Threatened Seller has no Information or knowledge of any pending or threatened condemnation or similar proceeding or moratorium affecting the Property or any portion thereof nor has Seller knowledge that any such action is presently contemplated c- 5 02 Adverse Information Seller has no actual mformation or knowledge of any change contemplated in any applicable laws, ordinances, or restrictions, or any JudiCial or administrative action, or any action by adjacent landowners or actual or artifiCial conditions upon the Property, which would prevent, limit, impede, or render more costly the development and use of the Property consistent wrth the Master Plan, although Seller has not made any independent investigation to discover the same 5 03 Compliance with Laws. Other than the City of Boynton Beach's notification of non-comphance With the maintenance of the ecologIcal plan for the Property (referred to in Paragraph 4 02) Seller has received no notice of non-compliance With all applicable laws, ordinances, regulations statutes, rules, and restnctions pertaining to and affecting the Property Performance of this Agreement Will not result In any breach of, or constitute any default under or result in the imposition of, any lien or encumbrance upon the Property under any agreement or other instrument to which Seller is a party or by which Seller or the Property might be bound 5 04 Pending Litigation There are no legal actions suits, or other legal or admimstrative proceedings, includmg condemnation cases, or any governmental environmental cases, pending or threatened against the Property, of which Seller is aware, and Seller is not aware of any facts which might result in any such action, suit or other proceedings Page 7 of 18 -TJ\JY'-7 / I I I I I ! Other than as set forth in the DRI Development Order and Master Plan described In Paragraph 5 11, and other agreements with the City of Boynton Beach no commitments have been made to .any governmental authority, utility company, school board, church or other religIOUS body, or any homeowners or homeowners' association, or to any other organization, group, or individual, relating to the Property which would impose an obligation upon Buyer or its successors or assigns to make any contribution or dedications of money or land or to construct, install, or maintain any improvements of a public or private nature on or off the Property; and no governmental authority has imposed any requirement that any developer of the Property pay directly or indirectly any special fees or contributions or incur any expenses or obligations In connection with any development of the Property or any part thereof The provisions of this Section shall not apply to any regular, nondiscnminatory local real estate taxes or Impact fees assessed against the Property 5 07 Hazardous Wastes. Buyer' (i) may enforce the specific performance of this Agreement; or (Ii) may terminate the Agreement and receive a full return of the Deposit, which shall be Buyer's exclusive remedies. No delay or omission in the exercise of any right or remedy accruing to Buyer upon any breach by Seller under this Agreement shall impair such right or remedy or be construed as a waiver of any such breach The waiver by Buyer of any condition herein contained or of any subsequent breach shall be deemed to be a waiver of any other condition or of any subsequent breach of the same or any other term, covenant, or condition herem contained 7.02 Default by Buyer. All risk of condemnation pnor to the Closing shall be on Seller Immediately upon obtaining knowledge of the institution of any proceedings for the condemnation of the Property, or any portion thereof (including negotiations in lieu of condemnation), Seller will notify Buyer of the pendency of such proceedings Buyer may participate In any such negotiations and proceedings, and Seller shall from time to time deliver to Buyer all instruments requested by it to permit such participation. Seller shall, at Its expense, diligently pursue any such proceeding, and shall consult with Buyer, its attorneys and experts and cooperate with them in any defense of any such proceedings b. If after the Effective Date and prior to the Closing all or a part of the Property is subjected to a bonafide threat of condemnation by a body having the power of eminent domain or is taken by eminent domain or condemnation (or sale in lieu thereof), Buyer may by written notice to Seller elect to cancel this Agreement prior to the Closing hereunder, in which event both parties shall be relieved and released of and from any further liability hereunder, and the Deposit shall forthwith be returned to Buyer and thereupon this Agreement shall become null and void If no such election is made, this Agreement shall remain in full force and effect and the purchase contemplated herein, less any interest taken by eminent domain or condemnation shall be effected with no further adjustment. and upon the Closing, Seller shall assign, transfer, and set over to Buyer all of the right, title, and interest of Seller In and to any awards that have been or that may thereafter be made for such taking 9 13 Time is of the Essence.
