complete examination of our file indicates that our client has a balance of $2,000 00 with
the City of Boynton Beach and we offer the following Information in the hopes of
c1arrfytng the same and correcting any misinformation you may have received from us
in our prevIous correspondence
1 On or about May 3,1999 a request for the release of $89,250 00 was made
to the City
2 On or about May 27, 1999 a request for the release of $44,775 00 was
made to the City
3 On March 14, 2000 a request for the release of $10,00000 was made to
the City (re replacement of missing landscaping)
To date the total aggregate release of Escrow by the CIty of Boynton Beach to our
client has been $144 025 00 As all items have been completed by our client pursuant
to the Escrow Agreement, we request the release of the remaining balance of $2,000 00,

ESCROW AGREEMENT (" Agreement'), made and entered mtophIs5ay of June, 1998,
by and between QUANTUM ASSOCIATES, a Flonda general partnership ("Owner") and the CITY
OF BOYNTON BEACH, a mUlllcIpal corporatIon eXIstmg under the laws of the State of Flonda
(the "CIty")
WIT N E SSE T H.
WHEREAS, Owner IS the owner of certaIn vacant lots m the Quantum Park Development
of RegIOnal Impact ("Quantum Park") located m the CIty; and
WHEREAS, Quantum Park has been developed pursuant and subject to a DR! Development
Order ongmally approved by the City on December 18, 1984, as thereafter amended (the
"Development Order"), and
WHEREAS, pursuant to the Development Order, an ecolOgIcal report was prepared and
approved for Quantum Park, onginally dated August 4, 1986, as thereafter amended (the "EcolOgIcal
Report"), and
WHEREAS, the partIes have agreed that poItlons of Quantum Park owned by the Quantum
CommUlllty Development District have not been mamtaIned in accordance WIth the requirements of
the EcologIcal Report; and
WHEREAS, an Itemization of the scope of work required to bnng Quantum Park Into
comphance with the Ecological Report has been prepared by the City and IS attached hereto as
Exhibit" A" (the "Scope of Work"); and
WHEREAS, to secure the performance of the Scope of Work, Owner has agreed to place a
cash deposIt m escrow With the CIty pursuant to the terms of tills Agreement.
NOW THEREFORE, In consideration of the prermses, the parties agree as follows:

Recitals. The foregomg reCitals are true and correct and are hereby Incorporated by
2 Escrow Amount. Owner hereby deposIts mto escrow wIth the CIty the sum of
$146,02500 (the "Escrow Amount") The Escrow Amount shall be deposited man mterest beanng
account and all mterest earned thereon shall be added to the pnncIpal and thereafter consIdered part
of the Escrow Amount. The CIty shall hold the Escrow Amount and dIsburse the same only m
accordance WIth the terms of thIS Agreement.
3 Terms of Escrow The purpose of the Escrow Amount IS to secure performance of
the Scope of Work, such. performance to be completed on or before June 1, 1999 The CIty shall
release and dIsburse the Escrow Amount as follows
a. As the Scope of Work IS performed, Owner may request release of that
portIon of the Escrow Amount attributable to that portIon of the Scope of Work theretofore
completed. Such request shall be 10 wnt10g and shall be accompanIed by such
documentation, as reasonably requIred by the City, confirmmg that the portIon of the Scope
of Work for which payment IS requested has been completed. Each partIal release of the
Escrow Amount shall not exceed the amount estimated for each subcategory itemIzed m the
Scope of Work.
b Upon completion of the Scope of Work, as reasonably detemnned by the CIty,
the remaImng Escrow Amount shall be released to Owner
c. If the City detenmnes that the Scope of Work has not been completed by
March I, 1999, the City shall gIve wntten notice to the Owner itemIZIng the portions of the
Scope of Work remaImng uncompleted. If the Scope of Work remains uncompleted after
June 1, 1999, the City shall be authonzed to utIlize the remaInmg Escrow Amount as
necessary to complete the Scope of Work. Release of the Escrow Amount shall be triggered
by wntten notIfication by the City that the Scope of Work has not been performed. Any
funds remauung m the Escrow Amount after the Scope of Work IS completed by the City
shall be returned to Owner
4 Successors and Assivns. This Agreement shall mure to the benefit of and be bmdmg
upon the partIes thereto and theIr successors and assigns. Owner antiCIpates that the Scope of Work
WIll be perfonned by the Quantum Park Community Development District (the "COD"), as the entity
responsible for mamtammg the common elements, mcluding the enVIronmental areas, WithIn
Quantum Park. Accordingly, the City acknowledges that notwIthstanding that the COD or another
thrrd party may in fact perfonn the Scope of Work, the Escrow Amount shall be dIsbursed only to
the Owner or Its specIfically IdentIfied successor or assign. In the event Owner assigns Its mterest
under this Escrow Agreement, a wntten copy of such asSIgnment shall be prOVIded to the City
IdentIfymg the name and address of the Owner's assignee.
5 Notices. All notlces gIven hereunder shall be m writing and shall be delivered to the
respective partIes eIther by hand delIvery, certIfied U.S. mail, return receIpt requested, Federal

7 General Matters.
A. TIns Agreement shall be construed m accordance WIth the laws of the State
of Florida.
B. In the event of litigation arISing from the tenns of this Agreement, the
prevaIlIng party shall be entitled to recover both Its costs and reasonable attorneys' fees, both at tnal
and on appeal.

C In the event the CIty IS m doubt as to Its duties under the terms of thIS
Agreement, the CIty shall have the optIon of filmg an mterpleader actIOn m the Palm Beach County
CIrcuIt Court and deposItmg the Escrow Amount mto the regIstry of the Court. The nonprevallmg
party m any such mterpleader action shall be responsible forpaymg the CIty'S reasonable attorneys'
fees and costs assocIated wIth such mterpleader
