Dear Ms. Heyden.
As requested by our Client, Mr Michael Morton, we are writing to provide our certification of the
current parking count existing on the Home Deport site, after the completion of new access drive.
This drive was approved and constructed concurrently with the new Burger King location at the
northeast comer of Woolbright Road and Southwest 81h Street.
According to our Master Plan, the Home Depot and Garden center parking requirements are for
518 spaces total. To date, including those spaces removed to accommodate the new access drive.
521 spaces remain. Therefore. no furtt1er parking additions are required at this time. In
conclusion, the "temporaryn spaces shown nortn of the Garden Center on our driveway permit
drawings, will then not actually be required until the recently approved Discount Au10 and Food
Court sites are constructed. Only at that time will the "temporary" spaces be required.

AGREEMENT
THIS AGREEMENT, is made by and between HOWARD R. SCHARLIN,
TRUSTEE (hereinafter referred to as "Scharlin") and THE WESTWIND
GROUP, INC., a Florida corporation (hereinafter referred to as
"Westwind").
WIT N E SSE T H:
WHEREAS, Schar~in and Home Depot U.S.A, Inc. have heretofore
joined in a Reciprocal Easement and Operating statement (the
"Oriqinal Agreement") as recorded in the Public Records of Palm
Beach County, Florida in Official Records Book 6378, paqe 1953 on
the 8th day of March, 1990. A copy of the original Agreement is
annexed for convenience of the parties that may from time to time
deal with this instrument. The definitions established in the
Oriqinal Agreement when used here shall have the meanings
established in the Original Agreement; and
WHEREAS, Scharlin is selling a portion of the out Parcels as
defined in Exhibit "A-lit of the Original Agreement to Westwind
which portion is referred to here as the Westwind Parcel and is
more particularly described in Exhibit "2" annexed; and
WHEREAS, as part of the consideration provided to Westwind in
connection with the acquisition of the Westwind Parcel, the parties
have agreed as follows:
1. Assianment of Riahts. Scharlin hereby includes the Out
Parcels as part of the schar~in Parcel and assigns to Westwind a
non-exclusive right to share in the non-exclusive easements over
and across the common areas within the Center as created in the
Original Agreement upon the terms for the use and enj oyment thereof
as provided for in the original Agreement. The site Plan, annexed
to the Original Aqreement, identifies a primary access road for
ingress and egress to the common areas from S. W. 8th street.
Scharlin in joining here agrees that he shall not join in any
instrument providing for the relocation of such primary access road
without the written consent of such modification given in
recordable form by Westwind.

2. Access Road. Scharlin agrees to dedicate a non-exclusive
access easement over and across the 27' adjacent to and north of
the Westwind Parcel extending from S. W . 8th Street to the Home
Depot parking area shown on the Site Plan. Scharlin shall
construct an access road on such easement in accordance with the
specifications required for such construction by appropriate
governmental authorities. Westwind has reviewed the proposed plans
for such construction. The cost of the access road to be built by
Scharlin shall be shared equally by Westwind and by Scharlin. At
closing of the Westwind Parcel, Westwind shall deposit with the
Escrow Agent named below, an amount equal to one-half of the
estimated cost of construction of this access road over and above
the purchase price for the westwind Parcel. Scharlin shall deliver
to said Escrow Agent and equal amount from the proceeds due to
Scharlin at closing. These funds shall be disbursed to Scharlin as
construction of the access road proceeds based on construction draw
requests in form ordinarily used by insti tutional lenders for
construction draw requests in Palm Beach County, Florida. The
estimated cost of construction of the road (including the
construction of the proposed cut in the existing median separating
the north bound lane from the south bound lane of S. W. B street) is
Thirty Thousand and 00/100 Dollars ($30,000.00). In the event the
$30,000.00 cost for construction of the access road and the said
median cut exceed the amount indicated above, then such costs shall
be assumed and paid for by the Scharlin. This access road shall
not be relocated without the consent of Westwind, which consent
shall not be unreasonably withheld.
J. Notice. For purposes of this Agreement, the parties
shall provide notice each to the other by delivery of written
notice as follows:

Each party shall have the right to change their address for
purposes of notice hereunder by giving written notice of change to
the other party at the address indicated.
As to Buyer:
4. Enforceabilitv. This Agreement shall be specifically
enforceable by appropriate action in the Circuit court, Palm Beach
county, Florida. The successful party shall be entitled to all
costs and fees incurred in the bringing of such action. Further,
with respect to the construction of the access road, in the event
of unreasonable delay in proceeding with such construction and upon
fifteen (15) days written notice for the curing of such delay,
Westwind may undertake completion of construction in the nature of
self-help. In the undertaking such work, Westwind shall be

entitled to draw on the escrow fund in the same manner as draws
were allowed by Scharlin.
5. Miscellaneous.
a. Governing Law. This Agreement shall be governed by
and interpreted under the laws of the state of Florida and any
action with respect thereto shall be brought in the circuit Court
for Palm Beach County, Florida.
b. Execution of Aqreement. This Agreement may be
executed in multiple counterparts each of which when taken
separately shall constitute an original and all of which taken
together shall constitute one and the same agreement.
c. Effective Date. This Agreement shall be effective
on the date of recordation thereof and the concurrent recordation
of a Warranty Deed conveying the westwind Parcel from Scharlin to
Westwind in the Public Records of Palm Beach County, Florida.
IN WITNESS WHEREOF, the parties hereto have set their hands

Per our recent discussions relative to the need of building setback variances for uses within Tract
C (i e Discount Auto and Food Court), I have further investigated the legal status of the adjoining
property According to the plat, Tract D abuts this property to the east and north. Tract D is platted
separately and is established for common area of access and parking for the uses of Tract C, Home Depot
and the future uses of Tract E to the north. This common area is validated by a recorded Reciprocal
Easement and OperatIOn Agreement (ORB 6378 Pg 1953)
Based on the agreement, the property owner of Tract C has equal right to access and parking on
the adjoining property as the owner of Tract D From a practical standpoint, the proposed Discount Auto
and Food Court will be abutting their own commercial parking lot and driveway The building locations
are not intrusive to Home Depot and will be separated with landscaping buffers that meet or exceed code
requirements The Discount Auto and Food Court projects continue to propose ample landscaped buffers,
open space, architectural style and uses consistent with the intent of the PCD Therefore, variances to
setbacks should not be required for the building locations proposed by the Food Court and Discount Auto
site plans
We would appreciate your concurrence that variances are not required for the Discount Auto
building to be located 24 83 feet from the east parcel line of Tract C and that the Food Court building
be located 15 feet from the north parcel line of Tract C In both cases, the buildings are setback from
legally established common areas to be enjoyed by all uses within the Shoppes of Woolbright PCD
project. Should you agree with our interpretation, we will remove the reflected 40 foot rear setback from
the Master Plan when it is rectified subsequent to Food Court and Discount Auto site plan approval

MTP Group, Inc has prepared the attached trip generation comparison of the approved versus the
proposed land uses at Woolbright Place PCD/PUD The analysis has been performed using the trip
generation rates included in the Palm Beach County Land Development Code Section 10.8. Fair Share
Road Impact Fees This analysis is a revision of our previous analysis to incorporate the proposed 3,710
square feet restaurant in one of the out-parcels previously assumed as a 4,000 square feet retail
Weare attaching tables 6, 7, 8, 9 and 10 which summarizes the trip generation comparison using Palm
Beach County standards We have used the same table numbers for purpose of comparison with our
previous study As shown in these tables, the net external trip generation potential of the proposed
development is lower than that of the approved development. Therefore, there is no additional traffic
impact resulting from the proposed change.

The following is a list of 1 st review comments regarding the site plan review of the
plans for the above-referenced project. The applicant shall understand that all
documents and plans submitted for site plan review are subject to additional comments
I recommend that the applicanUagent contact me regarding questions related to the
comments If the applicant is not Intending to correct code deficiencies, he should
contact me regarding the procedures, application forms, fees and submittal deadline
dates for seeking relief from the code requirement.
1 The survey of proposed Lot 2 contained in this submittal is deficient in regard to
the following information
- topography,
-easements, and/or
-surveyor's statements regarding researching the property
In order for the city staff to properly evaluate the proposed site plan in regard to
possible conflicts between existing utility lines and easements and proposed
improvements provide a survey that Will contain the above information and/or
statement from the surveyor that the property was researched for all
underground utility lines and easements, as required by LDR, Chapter 4,
Section 7.A.
2 Provide all elevations of the building as reqUired by LDR, Chapter 4, Section
7 D 1
3 Any roof top equipment Will have to be screened from view at a distance of 600
feet. If such equipment is planned, indicate its location and the height of the
equipment above the roof level Provide elevations of the structure showing the
roof top equipment and the required screening (all reduced to a small scale) and
draw in on these elevations the lines-of-sight connecting the highest point of the
equipment with the eye level from a distance of 600 hundred feet from the
bUilding (LDR, Chapter 9, Section 11 E)
4 City Commission requested In the Development Order for Burger King that "the
design elements approved for this site (Burger King site) shall be carried forward
on all future development within the PCD" Amend the elevation drawings to
comply with the requirement of the City Commission and to proVide compatibility
of architectural design within Shoppes of Woolbright PCD
5 The property has a shared With Discount Auto Part Store access to the public
street system Provide cross easement agreements between both interested
parties
6 According to LDR, Chapter 2 - Zoning, Section 11 J 1 the minimum size of the
loading zone is 12 feet in width and 35 feet in length Provide these dimensions

of the loading zone on the submitted site plan Delineation of the loading zone
in accordance with the required standards will significantly reduce the area
designated on the site plan as a turnaround
7 The proposed turn-around does not meet the city's design standards which
allows only 90 feet wide cul-de-sacs Amend the site plan to reflect the required
dimensions
8 The proposed building and site slgnage shall meet the approved Shoppes of
Woolbright PCD master sign program criteria. Indicate the proposed colors of
signs in accordance with the approved sign program and the appeal to the
Community Design Plan (development orders dated November 19, 1996)
9 The City's Land Development Regulations, Chapter 5 - Platting, requires a plat
to be submitted if the land/parcel is split into more than two (2) lots File a re-
plat of Tract "C" of Shoppes of Woolbright with the Development Department.
10 The location of the bUilding on the site plan does not conform to rear yard
setback regulations Amend the site plan to reflect the proper rear yard setback.
11 Traffic control markings shall be shown Within the vehicular use areas as
required by LOR, Chapter 4, Section 7 B 2
12 Lighting shall be shown on the site plan as required by LOR. Chapter 4, Section
7 B 2 and to eliminate potential conflicts with landscape material and eXisting on
the site or proposed easements
13 Provide dumpster enclosure details The dumpster enclosure shall meet the
design standards as described In LOR, Chapter 9, Section 10 C
14 Provide calculation for required amount of parking spaces Indicate location of
the off-street parking stalls All parking, as required by LOR, Chapter 2, Section
11 12, shall be located on the Food Court lot, or on another lot owned by the
applicant, but no further than 300 feet from the Food Court building If an off-site
location for parking stalls IS proposed, provide parking calculations for both
sides and include a site plan for the off-site parking spaces
15 On the Landscape Plan, Sheet 6 of 7, amend the tabular summary of the
planting matenal to Include a "landscape material required by the code"
category Also, provide relevant calculations for this category For the
landscape buffer adjacent to the nght-of way and along abutting properties,
provide perimeter distances of the parcel for which the landscape buffer material
is being calculated (Chapter 7 5, Article II - Landscape Code)
16 Incorporate the above calculation into the tabulation of the landscape material
provided for the site All native species shall be distinguished from non-native
species With a recognizable symbol Note, that the native requirement is fifty
percent of the required landscape planting (Comprehensive Plan Policy 4 4 6)
17 All landscape material shall be located within the developed lot. Remove trees
from the right-of-way of S W 8th Street.
18 In order to screen the vehicular use area, as required by LOR, Chapter 7 5,
Article II ,Section 5 E provide a hedge along the eastern property line between
the southeast corner of the building and the curb of the driveway If such hedge

meeting the city standards already exists on the adjacent property, the on-site
hedge requirement can be waived, however, the landscape plans indIcating the
compliance of the substitute hedge with the city's landscape code have to be
submitted to the Planning and ZOning department for verification
19 On the elevation drawings depict color code and manufacturer's name of all new
exterior building materials or finishes
20 Submit to the Planning and Zoning Department a presentation board containing
samples of all exterior building materials to be used for construction prior to the
Planning and Development Board meeting
21 Submit to the Planning and Zoning Department color elevations of the bUilding
prior to the Planning and Development Board meeting
22 In order to allow the staff to monitor the amount of traffic generated by this use
and to determine how the anticIpated traffic counts for the speCific lot relate to
overall traffic study counts for the entire shopping center, on the site plan, sheet
3 of 8, estimate the anticipated number of peak hour trips per day and total trips
per day
23 On the site plan, sheet 3 of 8, show all setbacks as required by LDR, Chapter 4,
Section 7 B 1
24 On the Landscape Plan include a notation regarding the anticipated method of
irrigation
25 In accordance with LDR, Chapter 4, Section 7 E, amend your site plan
tabulation to Include the following
A. net buildable land area in acres and feet (net buildable land area is the
area of the lot within the required setback lines)
B other paved areas (paved area other than vehicular use area)
C total lot coverage (total lot coverage is a sum of building coverage and all
hard surface pavement coverage)
D height of the building
