RIDER TO SITE PLAN APPLICATION
The undersigned as applicant for Final Site Plan Approval does
hereby acknowledge, represent and agree that all plans,
specifications, drawings, engineering, and other data
submi tted with this application for review by the City of
Boynton Beach shall be reviewed by the various boards,
commissions, staff personnel and other parties designated,
appointed or employed by the City of Boynton beach, and any
such party reviewing the same shall rely upon the accuracy
thereof, and any change in any item submitted shall be deemed
material and substantial
The undersigned hereby agrees that all plans,
specifications, drawings, engineering and other data which may
be approved by the City of Boynton Beach, or its boards,
commissions, staff or designees shall be constructed in strict
compliance with the form in which they are approved, and any
change to the same shall be deemed material and shall place
the applicant in violation of this application and all
approvals and permits which may be granted.
The applicant agrees to allowing the City of Boynton
Beach all rights and remedies as provided for by the
applicable codes and ordinances of the City of Boynton Beach
to bring any violation into compliance, and the applicant
shall indemnify, reimburse and save the City of Boynton Beach

AGREEMENT
THIS AGREEMENT, is made by and between HOWARD R. SCHARLIN,
TRUSTEE (hereinafter referred to as "Scharlin") and THE WESTWIND
GROUP, INC., a Florida corporation (hereinafter referred to as
"Westwindn).
WIT N E SSE T H:
WHEREAS, Scharlin and Home Depot U S.A, Inc. have heretofore
joined in a Reciprocal Easement and Operating Statement (the
"Original Agreement") as recorded in the Public Records of Palm
Beach County, Florida in Official Records Book 6378, Page 1953 on
the 8th day of March, 1990. A copy of the original Agreement is
annexed for convenience of the parties that may from time to time
deal with this instrument. The definitions established in the
original Agreement when used here shall have the meanings
established in the Original Agreement; and
WHEREAS, Scharlin is selling a portion of the out Parcels as
defined in Exhibit IIA-1" of the Original Agreement to Westwind
which portion is referred to here as the Westwind Parcel and is
more particularly described in Exhibit "2" annexed: and
WHEREAS, as part of the consideration provided to Westwind in
connection with the acquisition of the Westwind Parcel, the parties
have agreed as follows:
1. Assianment of Riahts. Scharlin hereby includes the Out
Parcels as part of the Scharlin Parcel and assigns to Westwind a
non-exclusive right to share in the non-exclusive easements over
and across the common areas within the Center as created in the
Original Agreement upon the terms for the use and enjoyment thereof
as provided for in the original Agreement. The site Plan, annexed
to the Original Agreement, identifies a primary access road for
ingress and egress to the common areas from S. W. 8th Street.
Scharlin in joining here agrees that he shall not join in any
instrument providing for the relocation of such primary access road
without the written consent of such modification given in
recordable form by Westwind.

2. Access Road. Scharlin agrees to dedicate a non-exclusive
access easement over and across the 27' adjacent to and north of
the Westwind Parcel extending from S. W. 8th Street to the Home
Depot parking area shown on the Site Plan. Scharlin shall
construct an access road on such easement in accordance with the
specifications required for such construction by appropriate
governmental authorities. Westwind has reviewed the proposed plans
for such construction. The cost of the access road to be built by
Scharlin shall be shared equally by Westwind and by Scharlin. At
closing of the Westwind Parcel, Westwind shall deposit with the
Escrow Agent named below, an amount equal to one-half of the
estimated cost of construction of this access road over and above
the purchase price for the Westwind Parcel. Scharlin shall deliver
to said Escrow Agent and equal amount from the proceeds due to
Scharlin at closing. These funds shall be disbursed to Scharlin as
construction of the access road proceeds based on construction draw
requests in form ordinarily used by institutional lenders for
construction draw requests in Palm Beach County, Florida. The
estimated cost of construction of the road (including the
construction of the proposed cut in the existing median separating
the north bound lane from the south bound lane of S.W. 8 street) is
Thirty Thousand and 00/100 Dollars ($30,000.00). In the event the
$30,000.00 cost for construction of the access road and the said
median cut exceed the amount indicated above, then such costs shall
be assumed and paid for by the Scharlin. This access road shall
not be relocated without the consent of Westwind, which consent
shall not be unreasonably withheld.
3. Notice. For purposes of this Agreement, the parties
shall provide notice each to the other by delivery of written
notice as follows:

Each party shall have the right to change their address for
purposes of notice hereunder by giving written notice of change to

4. Enforceabilitv. This Agreement shall be specifically
enforceable by appropriate action in the Circuit Court, Palm Beach
County, Florida. The successful party shall be entitled to all
costs and fees incurred in the bringing of such action. Further,
with respect to the construction of the access road, in the event
of unreasonable delay in proceeding with such construction and upon
fifteen (15) days written notice for the curing of such delay,
Westwind may undertake completion of construction in the nature of
self-help. In the undertaking such work, Westwind shall be

entitled to draw on the escrow fund in the same manner as draws
were allowed by Scharlin.
5. Miscellaneous.
a. Governing Law. This Agreement shall be governed by
and interpreted under the laws of the state of Florida and any
action with respect thereto shall be brought in the circuit Court
for Palm Beach County, Florida.
b. Execution of Aareement. This Agreement may be
executed in multiple counterparts each of which when taken
separately shall constitute an original and all of which taken
together shall constitute one and the same agreement.
c. Effective Date. This Agreement shall be effective
on the date of recordation thereof and the concurrent recordation
of a Warranty Deed conveying the Westwind Parcel from Scharlin to
Westwind in the Public Records of Palm Beach County, Florida.

The Shoppes ofWoolbnght PCD property IS platted mto VariOUS parcels. The proposed Food
Court facility IS located WIthIn the northern portIon of Tract C The eXlstmg Home Depot buildmg
IS located WIthIn the 10 acre Tract F Tract D IS platted separately for common area of access and
parkmg for the uses of Tract C, Home Depot and the future uses of Tract E to the north. ThIs
common area IS vahdated by the recorded ReCIprocal Easement and Operation Agreement (ORB
6378 Pg 1953). Therefore, cross parkIng and access IS legally established between the varIOUS parcels
WIthIn the Shoppes ofWoolbnght PCD proJect.
The parkmg requrrement for the proposed Food Court facihty IS 38 spaces based on the
buildmg area bemg 3,710 square feet and a parkmg ratio of 1 space per 100 square feet of gross
buildmg area. The latest SIte plan dated January 15, 1997, reflects 29 parkmg spaces to be proVIded
on the parcel. The remammg 9 requrred parkIng spaces will be proVIded adjacent to the Food Court
parcel WIthIn Tract D whIch IS known as the Home Depot parkmg lot.
The latest buildmg perrmt plans for the Home Depot project (rev date 3/1/90) venfy that
there are 518 parkmg spaces proVIded and 516 spaces requrred. There are also plans subrmtted for
the perrmttmg of a dnveway to be constructed between the Burger KIng and DIscount Auto out
parcels (south dnveway). Tills dnveway ehmmates 6 of the eXlstmg spaces but recovers 4 spaces by
redeSIgn for a net loss of 2 spaces. A snnilar dnveway will be constructed between the DISCOunt
Auto and Food Court out parcels (north dnveway). Tills dnveway plus a one way servIce dnve from
the Food Court loadmg area IS antiCIpated to ehmmate 6 spaces but 1 space will be recovered by
redeSIgn for a net loss of 5 spaces. Therefore, the constructIon of the new dnveways will cause a
net loss of 7 eXlstmg spaces leavmg 511 spaces remaImng.
In addItIon to the 511 remammg spaces there IS an easement area located north of the eXlstmg
Home Depot Garden Center that IS restncted from buildmg COnstructIon by recorded easement (ORB
6378 Pg 1948) but allowed to be utilized for parkmg. Tills area IS approxnnately 465 feet WIde (east
to west) and 60 feet deep (north to south) As part of the Food Court perrmt apphcatIon, tills area
will be stnped for a mmrmum addItional 25 spaces. When added to the remaImng spaces, there will
be 538 spaces proVIded on Tract D GIven Home Depot requrres 516 spaces, there will be 20 excess
spaces available to the Food Court (or any other use WIthIn the Shoppes ofWoolbnght PCD due to
the ReCIprocal Easement and OperatIon Agreement) Of the 20 excess spaces, Food Court will
requrre use of9 spaces. These 9 spaces plus the 29 spaces of the Food Court parcel proVIdes the 38

a reduction of the following setbacks:

OTHER:
Pursuant to the l;omments recetved at the TRe meettng on December 17 we have revIsed the
plan to provide better access to the dumpster and loading area As you will see, we have rotated
the building 90 degrees which provides addItIonal space on the west side for the dumpster and
loading areas The ingress drive to these areas would be one-way from the Home Depot
entrance road and egreis would be through the Home Depot parking lot.
Please take a look iI me plan and call me WIth your comments If acccptible, we WIll modIfy
