Dear Lusia
Please find enclosed a new drawing of the actual sizes and configurations of the pro-
posed directional signs. Both signs are three feet tall, which is well below the five feet
allowed At the entrance to Steak N' Shake from Old Boynton Road we are proposing
to add a Sonny's directional sign, the Steak N' Shake directional sign is existing At the
entrance to Sonny's we are proposing to install both restaurants directional signs as illus-
trated on sheet 3
The sizes and heights of the proposed directional signs are in compliance with the sign
ordinance We have four directional signs per site which is allowed by the sign ordi-
nance You mentioned having a problem with two signs next to each other but I do
not see anything in the sign ordinance which dictates, or restricts, the placement of the
directional signage on the site As you can see in the illustration the two corporations
have different concepts for their directional signs and different sign companies manu-
facture them It would be very difficult to combine them into one sign, and if we did,
we would exceed the size restriction of four square feet Another advantage to having
separate signs is that over the coming years one sign can be eliminated or changed
without affecting the other

THIS RECIPROCAL EASEMENT AGREEMENT ("Agreement") IS made as of the

Palm Beach County, Flonda, WhICh is more partIcularly described on ExhibIt "A" attached
hereto (the "Martins Property") Martms represents and warrants that as of the date of this
Agreement, there IS no mortgage or lIen encumbenng the Martins Property
B SNS IS the owner of certam property located m the CIty of Boynton Beach, Palm
Beach County, Flonda, WhICh IS more partIcularly described on Exhibit "B" attached hereto (the
"SNS Property") SNS represents and warrants that as of the date of thIS Agreement, there IS no
mortgage encumbenng the SNS Property, nor IS there a lIen WhICh could lead to a foreclosure
resulting m a forfeiture of the SNS Property
C MartInS and SNS have agreed to enter mto this Agreement to provide recIprocal
SIgn easements for the purpose of provIdmg dIrectIOnal assIstance through enter and eXIt SIgns
for both the Martins Property and the SNS Property Such easements shall be for the benefit of
the party ownmg the Martins Property or the SNS Property, respectively, all successors m tItle to
all of the Martms Property or the SNS Property, and all of theIr respective employees, customers,
guests and mvitees
D SNS has agreed to proVIde an easement to Martms for the purpose of pedestnan
and vehIcular mgress and egress over the parking lot area of the SNS Property to assIst m the
functIOmng of the Martms Property Such easement shall be for the benefit of the party owmng
the Martms Property, all successors m title to the Martms Property, and all of theIr respectIve
employees, customers, guests and mVItees.

E. Martms has agreed to provIde an easement to SNS for the purpose of pedestnan
and vehIcular mgress and egress over a portIon of the parkmg lot area of the Martms Property to
assIst III the functIOnIng of the SNS Property Such easement shall be for the benefit of the party
ownmg the SNS Property, all successors III tItle to all or part of the SNS Property, and all of theIr
respectIve employees, customers, guests and mvitees.
Terms of A2reement
NOW THEREFORE, m consIderation of Ten Dollars ($10 00) and other good and
valuable consIderatIon, the partIes each agree as follows
1 Si2D Easement.
a. Martms hereby grants to SNS a non-exclusIve easement for the
mstallatIon, operatIon, repaIr and mamtenance of one SIgn on, over and located on that portIon of
the Martms Property descnbed m ExhibIt "c" attached hereto for the benefit of SNS, for the
purpose of erectmg, mamtaming, repaIring and replacmg, from tIme to tIme, at SNS' s sole cost
and expense, a new dIrectIonal SIgn measunng 2',4-3/4" long by 5',2" hIgh by 10" WIde, and a
non-exclusIve easement on other portIOns of the Martms Property for any reqUIred underground
cablIng and eqUIpment for electncIty or any other necessary eqUIpment servmg the sign locatIon
depIcted on ExhIbIt "c" (the "SNS SIgn"), subJect to the appropnate governmental approvals
and in complIance WIth all applIcable laws, proVIded the same does not matenally mterfere with
the use and enjoyment of the Martms Property or mterfere WIth or obstruct the constructIOn of or
use of any Improvements currently eXIstmg or planned to be constructed on the Martms Property
or constructed on the Martms Property m the future The electnc cables servmg the SNS SIgn
shall speCIfically not be located under the proposed Sonny's Real PIt Bar-B-Q buildmg proposed
to be constructed on the Martms Property, nor shall they mterfere WIth any other proposed
improvements on the Martms Property, such as dramage structures.
b SNS hereby grants to Martms a non-exclusIve easement for the
mstallatIon, operatIon, repaIr and mamtenance of one sign on, over and located on that portIOn of
the SNS Property described in ExhibIt "D" attached hereto for the benefit of Martms, for the
purpose of erectmg, mamtammg, repamng and replacing, from tIme to tIme, at Martms sole cost
and expense, a new dIrectIOnal SIgn measunng 2',4-3/4" long by 5',2" hIgh by 10" wide and a
non-exclUSIVe easement on other portIons of the SNS Property, any reqUIred underground
cabling and eqUIpment for electriCIty or any other necessary eqUIpment servmg the SIgn locatIon
depicted on Exhibit "D" (the "Martms SIgn"), subject to the appropnate governmental approvals
and in complIance WIth all applIcable laws, provided the same does not matenally mterfere WIth
the use and enjoyment of the SNS Property or mterfere WIth or obstruct the constructIOn of or
use of any Improvements and faCIlIty currently eXIstmg on the SNS Property or constructed on
the SNS Property m the future The electnc cables serving the Martms Sign shall speCIfically
not be located under the eXIstmg Steak N Shake restaurant bUIldmg located on the SNS Property,
nor shall they mterfere WIth any other eXIstmg Improvements on the SNS Property, such as
draInage structures.
c. The Martms SIgn and the SNS SIgn shall sometImes be heremafter
referred to as the SIgns All work relating to the constructIon and mstallatIOn of the SIgns IS

herem after referred to as the SIgn Work. Martms and SNS shall each coordmate and pay for the
SIgns and the SIgn Work relatmg to theIr partIcular sIgn. In the event that Martms fails to pay
for the Martms SIgn or Its SIgn Work, In addItIon to all other nghts and remedIes hereunder and
at law or m eqUIty, SNS shall have the nght to remove any SIgn mstalled on the SNS Property
In the event that SNS fails to pay for the SNS SIgn or Its SIgn Work, In addItIon to all other
fIghts and remedIes hereunder and at law or m eqUIty, Martms shall have the nght to remove any
SIgn mstalled on the Martms Property Martin and SNS shall each keep and mamtaIn ItS SIgn
panels on theIr partIcular SIgns m good condItion, repair and operation, at theIr sole cost and
expense. In the event any of the SIgns need zomng varIances or governmental approvals because
the SIgns are off-SIte or for other reasons, each party WIll cooperate WIth the other
d. The SIgn Work for the Martins SIgn and the SNS SIgn shall be performed
m complIance WIth all applIcable laws. The Martms SIgn contractor and the SNS SIgn contractor
shall sometImes be heremafter referred to as the Contractors. The Contractors shall carry at all
times dunng the performance of the Sign Work, lIability msurance against damage to persons
and property, workmen's compensation msurance and such other msurance as may be reasonable
and customary m the performance of the Sign Work.
e. Martms and the Martms Contractor shall not alter the phYSICal condItion
of the SNS Property m any respect, other than erectmg the Martins SIgn in ItS deSIgnated
locatIon and mstallmg necessary underground electnc utIlities, and all dIsturbances caused by
such mstallments shall be repaired WIth reasonable promptness, and in the event that Martins or
the Martms Contractor's actiVIty on the SNS Property results m any other alteratIOn of the SNS
Property, Martms or the Martms Contractor, as the case may be, shall restore WIth reasonable
promptness the SNS Property to ItS condItIon eXIstmg lITlInedIately pnor to either party's entry
thereon. Martms and the Martms Contractor shall use theIr best efforts to ensure that SNS' s
busmess operations are not interrupted or Interfered with in any manner dunng the installatIon of
the Martms SIgn and the SIgn Work. Martms and the Martms Contractor's nght to enter upon
the SNS Property shall be lImIted to the sole purpose of conductmg the SIgn Work.
f SNS and the SNS Contractor shall not alter the phYSIcal condition of the
Martms Property m any respect, other than erectmg the SNS SIgn m ItS deSIgnated location and
mstallmg necessary underground electnc utilIties, and all dIsturbances caused by such

result m any lIens, Judgments or other encumbrances bemg filed or recorded agamst the SNS
Property and Martms, at Its sole cost and expense, shall promptly dIscharge of record any such
lIens or encumbrances that are so filed or recorded (mcludmg, WIthout lImItation, lIens for
servIces, labor or materials furnIshed) Martms shall notify the Martms Contractor that should

the Martms Contractor file a lIen, the lIen shall only encumber the Martms Property and Martms
easement mterest m the SNS Property In no event shall any such lIen encumber SNS's fee

any lIens, Judgments or other encumbrances bemg filed or recorded against the Martms Property
and SNS, at Its sole cost and expense, shall promptly dIscharge of record any such lIens or
encumbrances that are so filed or recorded (mcludmg, WIthout lIrmtatIon, lIens for servIces, labor
or matenals furnIshed) SNS shall notIfy the SNS Contractor that should the SNS Contractor file
a lIen, the lIen shall only encumber the SNS Property and SNS's easement mterest m the Martms
Property In no event shall any such lIen encumber Martms fee sImple mterest m the Martms
Property
I Martms and the Martms Contractor shall each be lIable for all damage or
mJury to any person or property resultmg from, relatmg to or ansing out of the SIgn Work
performed by the Martms Contractor, and both partIes shall mdemmfy and hold harmless SNS
and its agents, employees, officers, dIrectors, affilIates and asset managers from and against all
claims, demands, damage, loss, cost, liabIlIty and expense (mcludmg, without lImItatIon,
reasonable attorneys' fees and disbursements) WhICh SNS may suffer arlSlng out of or m
connection WIth (a) the SIgn Work, (b) Martms or the Martms Contractor's entry upon the SNS
Property, and (c) any lIens or encumbrances filed or recorded agamst SNS Property as a
consequence of the SIgn Work.
j SNS and the SNS Contractor shall each be lIable for all damage or mJury
to any person or property resultmg from, relatmg to or ansmg out of the SIgn Work performed
by the SNS Contractor, and both parties shall mdemnIfy and hold harmless Martms and ItS
agents, employees, officers, dIrectors, affilIates and asset managers from and against all claims,
demands, damage, loss, cost, lIabIlIty and expense (mcludmg, WIthout lImitation, reasonable
attorneys' fees and dIsbursements) WhICh Martms may suffer arIsmg out of or m connection WIth
(a) the SIgn Work, (b) SNS's or the SNS Contractor's entry upon the Martms Property, and (c)
any lIens or encumbrances filed or recorded agamst Martms Property as a consequence of the
SIgn Work.
k. Martms and SNS shall each use reasonable efforts to provide advance
notice to the other party of the date on WhICh the SIgn Work WIll commence at least twenty four
(24) hours prior to the Contractors entry on eIther the Martms Property and the SNS Property
1. Martins shall be responsible for paymg for the electncIty for the Martins
Sign. SNS shall be responsible for paymg for the electncIty for the SNS SIgn.
m. It IS anticIpated that the Martms Property shall be developed as a Sonny's
Real PIt Bar-B-Que Restaurant. SNS shall have the oblIgation to remove the face of or termmate
the SNS SIgn from the Martms Property in the event of termmatIon of SNS' s busmess or upon
SNS changmg ItS use to compete dIrectly WIth the then current owner of the Martins Property,
such as a barbeque restaurant WhICh would mclude Tony Roma's Restaurant, Park Avenue Bar-
B-Que, Woody's Bar-B-Que and Bono's, as well as casual, SIt-down restaurants such as ChIlI'S,
Applebees and SImIlar restaurants Martms shall have the oblIgation to remove the face of or

termmate the Martms SIgn from the SNS Property m the event of termmatIOn of Martms
busmess or upon Martms changIng Its use to compete dIrectly wIth SNS, WhICh would mclude
Wendy's, McDonalds, Burger Kmg and SImIlar fast food restaurants, as well as casual, sIt-down
restaurants such as Chill's, Applebees and SImIlar restaurants, Martms and SNS agree that SNS
and Martms do not consIder the use of the SNS Property for a Steak-N-Shake restaurant and the
use of the Martms Property as a Sonny's Real PIt Bar-B-Que restaurant to compete dIrectly
agamst one another
2 Ineress. Eeress and Access Easements.
a. SNS agrees that at ItS sole expense, It shall obtam all governmental
approvals and construct and open a dnveway between the SNS Property and the Martms
Property at the locatIon shown by arrow and cross-hatch on ExhibIt "E" attached hereto ("SNS
Dnveway Location"), no later than January 5, 2002 SNS grants to Martms a non-exclusIve
easement for vehIcular and pedestnan mgress and egress over the roadways and dnveways m the
parkmg lot shown m cross-hatch on ExhibIt "F" attached hereto (the "Martms Easement
Property") Such easement shall be for the benefit of the owner of the Martms Property and theIr
respectIve mVItees, guests and customers.
b The owner of the SNS Property shall have the nght to reconfigure or
change the locatIon of the roadways, dnveways and parkmg lot, proVIded that such change does
not prevent or unreasonably mterfere WIth vehIcular or pedestnan mgress and egress from Old
Boynton Beach Road to the Martms Property, and prOVIded further, that such change shall not
prevent or unreasonably mterfere WIth ummpeded access from the Martms Property to a curb cut
on the North border of the SNS Property, and such mgress and egress IS of such a WIdth as
shown on ExhibIt "F" Any change to the Martms Easement Property shall be reflected m a
recorded amendment to thIS Agreement, executed by the owner of the SNS Property
c The owner of the SNS Property shall mamtam m good condItIon those
dnveways and roadways wIthm the Martms Easement Property, prOVIded that such areas may be
temporanly closed for repaIrs, prOVIded that at no matenal tIme shall vehIcular or pedestnan
mgress and egress from Old Boynton Beach Road to the Martms Property be prevented.
d. Martms agrees that at SNS's sole expense, SNS may obtam all
governmental approvals and construct and open a dnveway between the Martms Property and
the SNS Property at the locatIon shown by arrow and cross-hatch on ExhibIt "G" attached hereto
("Martms Dnveway LocatIon"), after Martms has fimshed constructIOn on the Martms Property
Upon completIOn of constructIOn of such Items, Martms grants to SNS a non-exclusive easement
for vehIcular and pedestrian mgress and egress over the roadways and dnveways m the parking
lot shown m cross-hatch on ExhibIt "H" attached hereto (the "SNS Easement Property") Such
easement shall be for the benefit of the owner of the SNS Property and theIr respectIve mVItees,
guests and customers.
e. The owner of the Martms Property shall have the nght to reconfigure or
change the locatIon of the roadways, dnveways and parkmg lot, proVIded that such change does
not prevent or unreasonably mterfere WIth vehIcular or pedestnan mgress and egress from the
South border of the Martms Property to the SNS Property, and prOVIded further, that such change

3 Cooperation. No owner of the SNS Property or the Martms Property shall,
without the express wntten consent of the owner of the other Property, take or fail to take any
actIon or do or faIl to do anythmg WhICh would, or have the effect of Impedmg, obstructmg or
preventmg any other person or entity havmg nghts under thIS Agreement from their full and
complete use and enJoyment of the easements herem granted.
4 Run with Land. The easements, covenants and restnctions herem proVIded for
shall be appurtenant to and run WIth the Martms Property and the SNS Property In perpetUIty and
shall not expIre or termmate by any UnIlateral actIOn of the owner of any portIon of the Martins
Property or SNS Property ThIS Agreement may only be amended, termInated or released by a
recordable mstrument executed by the owners of all of the Martms Property and the SNS
Property Such ingress and egress easements shall be for the benefit of the parties owning the
SNS Property and the Martms Property, and theIr successors m tItle, and their respective
employees, customers, guests and mVItees.
5 Enforcement. Each owner of any portIon of the Martms Property and the SNS
Property may speCIfically enforce thIS Agreement m the courts of Palm Beach County, Flonda,
and the prevaIlmg party m such action shall be entItled to reasonable attorneys, paralegals fees
and costs. ThIS Agreement shall be governed by Flonda law
IN WITNESS WHEREOF, the partIes have executed thIS Agreement as of the day and
year first above wntten.
