The High Ridge Commerce Center No.2 is a c01DijlerciaI project that will be developed
on a 10.4 acre tract of land located on the Southwest comer oiMmer Road and High
Ridge Road) City of Boynton Beac~ Section 17> TOWIlShip 45 South, Range 43 E~
Palm Beach County~ Florida. The site is bounded on the DOrth and east by paved roads~
on the ~ by a cleared field and by an undeveloped wooded tract to the west. The
i~~l!'j[ea SWTOunding the property, with the exception of the western wooded
area, \(as.bleb cJeared and developed for industrial and residential pmposes. The
southe~f~1Q and an area along the north bOUDdary of the property have been cleared
in the p~~.~e southern area is open with some scattered exotic trees and the northern
area has a'\~~ growth of exotic sbmbs.

Approximatel~;~~~cres of forested land along the west side of the property was set
aside as a pres~Q}ea to be in compliance with the City of Boynton Beach Vegetation
and EDvi.ronmeD~ly ~jtive Land Ordinance ( Chaptet 7.St Article IV). The preserve
area is approximatE.'" ~ ety feet wide and abuts a wooded property to the west. The"
habitat value aftbe ~-. is excellent and with a minor amount of exotic and invasive
vegetation removal an ~~pen scrub will be created that will ~pport and sustain a
viable WIldlife popuIati~~tecting the westem edge of the site will provide a valuable
core habitat that still resemb~storic pinel3Dds that will be a valuable corridor for
movement of animals. <ts~)
The purpose of the uPreserve ~ement Plan" is to provide a compreheDSive
program for protection during c~on, habitat restorarion~ exotic vegetatiOD
removal and to establish a IODg te~~~ance schedule.

The site can be best descnbed as a sand ~~~us cJausa) dominated scrub habitat.
The wooded area of the site is densely cove~tr~~th sand pine of various ages with an
under story of scrub oak (Quercus spp.). Th~1Y:.~sand pine seedlings or saplings
present in the under story. Approximately ten ~fent of the standjng sand pine trees are
dead, Both serotinuous and Donserotinuous spec1Dle~ppeared to be prevalent within
the community. Fire has occuned at some time in ~ 4i~tant past as evidenced by
piec~s of cb~ed wood observed. on. ~e sou~em h~r~e site. Sand pine is a pioneer
speCle~ and m the absence of penodic fires will often ~~1le open scrub flatwoods~
especially during periods of drought. \?~2~

An open area that occurs on the southern end of the property contains roadside weeds
such as Spanish needles (l3idens alba), ceasar weed (Urena lobata)1 ragweed
(Ambrosia a11!imisiifoIia)J periwinkle (Catharanthus roseus), and various other
grasses ~d forbs associated with open fields,
PriCJd~~ctus (Opuntia spp,) was observed here and in other sunlit areas of the site
and dbg e (Cuscuta spp.) is invading the periphery vegetation, The exotic canopy
is spars'(~ ;>~si~ts ,of eaT)e~ ~cacia (Acacia a~cuIifonJJi~), A~s~alian pine
(C8Sumi~~~~etifo]ja). BrazIlIan peppe~ (Schm~~ t,e:rebmthlfohus)2 lead,tree
Leucaena l~.b'c'ephaIa), Java plum (SyzygnmJ CumJJl1) and Schefflera (BrassaIa
actiIJophyJJa). Ap'p!.mamately 2.4 acres along the north boUDdaIy is covered in dense
Brazilian pepPe:~eaf acacia and scheftlera are scattered through out the site. Giant
wild pine (Ti11alGfrutricuIata), inflated W11d pine (Tillandsia baIbisaina) and scrub mint
(Conradina gran~~ere Doted in the southeast comer of this area.
The rem.ining two ~th. property is forested with sand pin. and an occasioual
slash pme (pinus en~~der story is predominately scrub oak (Quercus spp.),
Cbapmann's oak (Querc~apmanii). sand live oak (Quercus geminata), saw
palmetto (Serona repens)7 ~xia (palafoxia feayJ). paw paw (Asimina reticulate),
smggcrbush (Lyonia ferru~'&( huckleberry (Vaccinium mysinites) and Florida privet
(Forestiera segregata), Because ~~ dense pine canopy, the wooded area is
depauperate of ground cOVer. R(,S~~ (Ceropegia woodii) covers a large portion of
the area and scattered cJwnps of ~~ss (Arstida stricta) and gopher apple (Licmlla
michauxii) were observed. Wild pin~r1Ja;Jdsia spp_) occurred sporadically on a few of

The US Department of Agriculture, Natural .' ~ ces Conservation Service Soil
Survey ofPahn Beach County indicates that tl(~ te of the property is Paola sand

Based 00 previous studies of animal populations within the Sand Pine Scrob and Pine
Flatwoods communit:ies~ a gopher tortoise (Gopherus polyphemus) and listed animal
species survey was conducted in November 2002 for the project. During the field
survey~e vegetation~ all gopher tortoise (Gopherus polyphemus) bUITOws were
located- ~apped within me scrub~ flatWoods, and disturbed portions of the site. A
total); 19r~ows were distributed as follows: 6 active) 1 inactive and 12 abandoned.

The northern three hundred feet of the preserve is totally infested with Brazilian pepper
resulting in the near elimination of all UDderlying species ofvegetatioD, These trees will
be removed by band cutting at ground level and treating the stumps with an approved
herbici . Use of a tractor equipped with a hydro-ax is an optional method for cutting
the tr~' ground level. Large areas of tbe wooded portion of the preserve are covered
wi~ s a vines inh.ibiting the movement of gopher tonoises and other small
aniJn .,; vines will be treated with an approved herbicide and allowed to
decom (. ...~ place. The entire preserve will be campaigned to elitninate any exotic

ThIS h tter will summarize our discussion on April 1, 2004 concerning the sale of speClf Ie units of
the High Ridg<: Phase I and II mdustrial developments, In accordance with your Code, you and :>ther City
staff members concluded that the property will be requued to be platted into the individual unit; intended
for sale tf unit; are sold in fee simple. Further, if sold as fee simple, we will be required to co :nply WIth
the setback IiI mta~ions for the specific tomng category and those setbacks will be measure. I off each
unit's specified property lme.
As thz t will create a sIgmficant problem given that this is a warehouse/industrial coml lex where
the umts are a :tached SImilar to townhome communities and will not be set back from the pre petty line.

Mr Rumpf,
The plat that was originally recorded for Tenth Street Commerce Park was a final Boundary Plat. It was
supposed to be set up as a condominium. Condominium Documents were never filed with the State. In addition,
when they sold off three of the twelve bays, they created their own legal descripitions which conveyed the land
beneath the respective units. The subdivision of one parcel into multiple parcels by means other than through the
platting process constitutes an illegal subdivision. The County was correct with regards to Tenth Street
Commerce Park project. Since then, Tenth Street Commerce Park is currently going through the platting process

(dated April 18, 2003) you wrote to the County regarding the
above-referenced project. I am trying to determine if the County is
over-reacting regarding a project in Boynton, or if they know something I
don't. Did the Tenth Street Commerce Park project involve the sale ofland
along with the indIvidual unit, or did It only involve the unit Itself and
not the property underlying the unit? Hope these questions are clear Let
me know if you have any questions on this inqUIry A response at your

Thank you for responding to my question concerning the Conservation Easement that I
previously forwarded to your office. Based on the e-mail from Mike Pawelczyk and our earlier
discussions, it is my understanding that both the Planning and Zoning staff and the City
Attorney's Office have approved the Conservation Easement as to legal form. I am enclosing
copies of the legal description and the Management Plan to your office and am requesting
written confirmation of their confonnance with all City requirements. The Management Plan has
been previously reviewed by Kevin and has not changed from the prior submittal.
1 am in agreement with you that there is no condition for the recordation of the
Conservation Easement prior to permit approval. However, my client has advised me that there
were additional conditions imposed on their site clearing permit application requiring the
following:
"Prior to issuance of clearing and grubbing permit, applicant must protect the preserve

MANAGEMENT PLAN
INTRODUCTION
The High Ridge Commerce Center No.2 is a commercial project that will be developed
on a 10.4 acre tract of land located on the Southwest comer of Miner Road and High
Ridge Road, City of Boynton Beach, Section 17, Township 45 South, Range 43 East,
Palm Beach County, Florida. The site is bounded on the north and east by paved roads,
on the south by a cleared field and by an undeveloped wooded tract to the west. The
immediate area surrounding the property, with the exception of the western wooded
area, has been cleared and developed for industrial and residential purposes. The
southeast comer and an area along the north boundary of the property have been cleared
in the past. The southern area is open with some scattered exotic trees and the northern
area has a dense growth of exotic shrubs,
Approximately 2.6 acres of forested land along the west side of the property was set
aside as a preserve area to be in compliance with the City of Boynton Beach Vegetation
and Environmentally Sensitive Land Ordinance ( Chapter 7.5, Article IV). The preserve
area is approximately ninety feet wide and abuts a wooded property to the west. The
habitat value of the preserve is excellent and with a minor amount of exotic and invasive
vegetation removal an area of open scrub will be created that will support and sustain a
viable wildlife population. Protecting the western edge of the site will provide a valuable
core habitat that still resembles historic pinelands that will be a valuable corridor for
movement of animals.
The purpose of the "Preserve Management Plan" is to provide a comprehensive
program for protection during construction, habitat restoration, exotic vegetation
removal and to establish a long term maintenance schedule.
VEGETATION
The SIte can be best described as a sand pine (pinus claus a) dominated scrub habitat.
The wooded area of the site is densely covered with sand pine of various ages with an
under story of scrub oak (Quercus spp.). There are no sand pine seedlings or saplings
present ill the under story. Approximately ten percent of the standing sand pine trees are
dead. Both serotinuous and nonserotinuous specimens appeared to be prevalent within
the COIllIDuruty. Fire has occurred at some time in the distant past as evidenced by
pIeces of charred wood observed on the southern half of the site. Sand pine is a pioneer
speCIes and ill the absence of periodic fires will often invade open scrub flatwoods,
especIally during periods of drought.

VEGETATION (Continued).
An open area that occurs on the southern end of the property contains roadside weeds
such as Spanish needles (Bidens alba), ceasar weed (Urena lobata), ragweed
(Ambrosia artemisiifolia), periwinkle (Catharanthus roseus), and various other
grasses and forbs associated with open fields.
Prickly pear cactus (OpWltia spp,) was observed here and in other sunlit areas of the site
and dodder vine (Cuscuta spp.) is invading the periphery vegetation. The exotic canopy
is sparse and consists of earleaf acacia (Acacia awiculifonnis), Austrialian pine
(Casuarina equisetifolia), Brazilian pepper (Schinus terebinthifolius), lead tree
Leucaena leucocephala), Java plum (Syzygium cumini) and Scheftlera (Brassaia
actinophylla). Approximately 2.4 acres along the north boundary is covered in dense
Brazilian pepper. Eadeaf acacia and scheft1era are scattered through out the site. Giant
wild pine (Tillandsia utriculata), inflated wild pine (Tillandsia balbisaina) and scrub mint
(Conradina grandiflora) were noted in the southeast comer of this area.
The rel1J~jnmg two thirds of the property is forested with sand pine and an occasional
slash pine (pmus elhottii). The under story is predominately scrub oak (Quercus spp.),
Chapmann's oak (Quercus chapmanii), sand live oak (Quercus geminata), saw
palmetto (Serona repens), palafoxia (palafoxia feayi), paw paw (Asimina reticulate),
staggerbush (Lyonia ferrugmea), huckleberry (Vaccinium mysinites) and Florida privet
(Forestiera segregata). Because of the dense pine canopy, the wooded area is
depauperate of ground cover. Rosary pea (Ceropegia woodii) covers a large portion of
the area and scattered clumps of wire grass (Arstida stricta) and gopher apple (Licania
michamcii) were observed. Wild pine (Tillandsia spp.) occurred sporadically on a few of
the trees.
SOILS
The US Department of Agriculture, Natural Resources Conservation Service Soil
Survey of Palm Beach County indicates that the substrate of the property is PaoIa sand
(pcB) along the east one half and St. Lucie sand (ScB) on the western one half. Both of
these soils are nearly level to sloping, excessively drained, deep, sandy soil on long
narrow, dWle-like coastal ridges and on isolated knolls. The water table is generally
below a depth of six teet.

WILDLIFE
Based on previous studies of animal populations within the Sand Pine Scrub and Pine
Flatwoods communities, a gopher tortoise (Gopherus polyphemus) and listed animal
species survey was conducted in November 2002 for the project. During the field
survey of the vegetation, all gopher tortoise (Gopherus polyphemus) burrows were
located and mapped within the scrub, fIatwoods, and disturbed portions of the site. A
total of 19 burrows were distributed as follows: 6 active, 1 inactive and 12 abandoned.
Active burrows were identified by the presence of tracks, cleared openings or recently
excavated soil. Inactive burrows usually showed no signs of soil excavation and were
frequently littered with fallen leaves and other debris. Abandoned burrows were often
caved-in or covered with leaves with no signs of activity.
Since gopher tortoise utilize more than one burrow, estimates of abundance were based
on a multiplier of 0.6 x active and inactive burrows (Auffenberg and Franz 1982). Ifwe
assume that the multiplier is an accurate estimate of tortoise populations throughout
Florida, 7 burrows represents an estimated population of 4 or 5 gopher tortoise. The
relocation of five or less gopher tortoise would require an onsite permit from the Florida
Fish and Wildlife Conservation Commission. The western twenty five percent of the site
will be utilized as a preservation area for both plants and animals.
Other burrow commensals such as the gopher frog (Rana areolata) and eastern indigo
snake (Drymarchon corais couper) as well as the Florida scrub lizard were also looked
for at the time of the gopher tortoise study, but no additional animals were observed.

Preconstruction:
The boundaries of the preserve area must be delineated by a surveyor with stakes placed
along the property lines and eastern delineation line on twenty five foot intervals. A four
foot high orange vinyl construction fence with six foot steel posts on ten foot centers
must be erected on the east, north and south boundary line of the preserve. In addition, a
three foot high silt barrier must be placed directly in front of the construction fence
along the east boundary of the preserve.
Gopher Tortoise Relocation:
The active gopher tortoise burrows will be excavated and the animals will be placed
behmd the preserve area fence in accordance with the Florida Fish and Wildlife
Conservation C ornmission relocatIon penmt.

Exotic and Invasive Vegetation Removal:
The northern three hWldred feet of the preserve is totally infested with Brazilian pepper
resulting in the near elimination of all underlying species of vegetation. These trees will
be removed by hand cutting at ground level and treating the stumps with an approved
herbicide. Use of a tractor equipped with a hydro-ax is an optional method for cutting
the trees to ground level. Large areas of the wooded portion of the preserve are covered
with rosary pea vines inhibiting the movement of gopher tortoises and other small
animals. The vines will be treated with an approved herbicide and allowed to
decompose in place. The entire preserve will be campaigned to eliminate any exotic
species of vegetation that appears on the Florida Exotic Pest Plant Council list. These
specimens will be treated with herbicide and left in place.
Construction:
The developer's contractor will clear and grub the developed portion of the site east of
the preserve. The integrity of the eastern preserve boundary line must be maintained at
all times. If the trunk of a tree or the majority of a tree's roots falls on the east boundary
line, then the tree and the roots must be removed by hand to the limits of the preserve. If
the roots of any tree protrude beyond the east line of the preserve, then the roots must
be removed by hand. The Environmental Consultant will detennine if the roots can be
safely removed without harming the tree. If they cannot, then the tree must be removed
by hand.
After the clearing and grubbing has been completed the developer's contractor will
install a concrete retaining wall eighteen inches east of the preserve eastern boundary.
Extreme care must be taken that no fill or debris be allowed to breech the silt barrier
and construction fence. Any voids that occur on the west side of the retaining wall will
be filled with sand by hand. Clearing and grubbmg and construction of the retaining wall
will be observed by the Environmental Consultant to assure that there are no adverse
unpacts on the preserve. During subsequent construction activities, extreme care must
be taken at all times that debris and other extraneous matenal does not enter the
preserve area at any time.

Habitat Restoration:
The northern three hundred feet of the preserve will require the installation of a certain
amount of vegetation. It is anticipated that a temporary inigation system can be placed
in this area after the water retention pond is excavated. Watering of newly installed
plants is essential until they become established. Unless there is a drought, the watering
is generally for a period of six months. The interval of time between the Brazilian
pepper removal and the irrigation installation, will provide any indigenous under stOty
vegetatlon that has been dormant time to regenerate. Any replanting required along the
east preserve boundary after construction of the retaining wall can be done at this time.
The irrigation line can be extended to accommodate the new plants. Vegetation species
proposed for habitat restoration include, but are not limited to, the following:
Cabbage palm (Sable palmetto)
Saw palmetto (Serenoa repens)
Scrub oak (Quercus spp.)
Sand pine (pinus c1ausa)
Pawpaw (Asimina reticulate)
Staggerbush (L yonia ferruginea)
Gopher apple (Licania michauxii)
Wiregrass (Arstida stricta)
Trees, shrubs and herbaceous material will be containerized. Trees and shrubs will be
planted on ten foot centers and ground cover will be on three foot centers. No plant
relocation will occur within the preserve area.
Monitoring and Maintenance:
MONITORING
1. Monitoring shall be conducted for a two year period to assure the City of
Boynton Beach that the management plan for the preserve is successful.
2, A time zero report shall be prepared and submitted to the City of Boynton Beach,
Planning and Zoning Department City Forester within 30 days of the completion
of the planting. A quarterly monitoring report shall be prepared and submitted to
the City Forester within 30 days from the end of each quarter for the first year
and annually for the second year. The City Forester will be appraised of each
development that occurs prior to the submittal of the tune zero report,

3. The monitoring report shall contain the following:

MAINTENANCE
The preserve area shall be maintained on a quarterly basis into perpetuity to control and
remove invasive and exotic vegetative species as defined by the Florida Exotic Pest
Plant Council. The undesirable species shall be removed by physically uprooting and
disposing of the individual specimens or by spraying with an approved herbicide. Every
attempt shall be made to attain zero percent coverage of exotic/nuisance plant species
during the quarterly maintenance event.
PROHIBITED ACTIVITIES
Prohibited activities in the preserve include, but are not limited to: construction or
placing of building materials on, above, or below the ground; dumping or placing soil or
other substances such as garbage, trash and landscape cuttings; removal or destruction
of native trees, shrubs or other native vegetation; removal or causing hann to resident
gopher tortoise or any other animals; excavating, dredging or removal of soil material;
diking or fencmg; recreational vehicle use; any actiVIties detrimental to drainage, flood
control, water conservation, erosion control and wildlife habitat conservation and
preservation. No alterations are penmtted Wlthin the preservation area easement without
prior approval of the City of Boynton Beach.

MANAGEMENT PLAN
FINANCIAL RESPONSIBILITY
The Owner of Record of the High Ridge Commerce No.2 development project will be
responsible for the financial responsibility of the preserve area. The financial
responsibility will be transferred with the ownership of the property.
ENTITY RESPONSmLE FOR MANAGEMENT
The Developer or Owner of Record of the High Ridge Commerce No.2 development
project will be responsible for the initial and long term management of the preserve. The
management responsibility will be transferred with the ownership of the property.
TIME SCHEDULE
The following is an approximation of the schedule of events concerning the
development of the preserve area:
February 2003 - Survey preserve boundary, install construction fence and silt barrier,
apply for gopher tortoise relocation permit. (permit has 30 day expiration and can be
obtained in 2 weeks)
March 2003 - Remove exotic vegetation from preserve, relocate gopher tortoises, clear
developed site.
September 2003 - Install temporary irrigation, plant vegetation to restore the northern
portion of preserve and the east boundary.
November 2003 - Submit time zero monitonng report.
November 2005 - Submit final monitoring report.

DEED OF CONSERVATION EASEMENT
THIS DEED OF CONSERVATION EASEMENT is given this _ day of

Limited Liability Company. with an address of 4150 S.W. 28th Way, Fort Lauderdale, Florida
33312 ("Grantor") to the CITY OF BOYNTON BEACH with an address of 100 E. Boynton
Beach Boulevard, Post Office Box 310, Boynton Beach, Florida 33435 ("Grantee"). As used
herein, the term GTantor shall include any and all heirs, successors or assigns of the Grantor, a.Tld
all subsequent owners of the "Property" (as hereinafter defined) and the term Grantee shall
include any successor or assignee of Grantee.
WITNESSETH
WHEREAS, the Grantor is the owner of certain lands situated in Palm Beach County,
Florida., and more specifically described in Exhibit "A" attached hereto and incorporated herein
("Property"); and
WHEREAS, the Grantor desires to construct (name of project) HIGH RIDGE
COMMERCE CENTER II ("'Project") at a site in Boynton Beach, Palm Beach County. which is
subject to the regulatory jurisdiction of the CITY OF BOYNTON BEACH ("City"); and
WHEREAS, City Permit No. ("pennit") authorizes certain activities
which affect land under the regulatory authority of the City in or of the State of Florida; aTId
WHEREAS, this Permit requires that the Grantor preserve, enhance, restore and/or
mitigate wetlands and/or uplands under the City's jurisdiction; and
WHEREAS, the Grantor, in consideration of the consent granted by the Permit, is
agreeable to granting and securing to the Grantee a perpetual conservation easement as defined
in Section 704.06, Florida Statutes, over the Property.
NOW~ THEREFORE, in consideration of the issuance of the Permit to construct and
operate the permitted activity, and as an inducement to Grantee in issuing the pennit, together
with other good and valuable consideration, the adequacy and receipt of which is hereby
acknowledged, Grantor hereby grants, creates, and establishes a perpetual conservation easement
for and in favor of the Grantee upon the Property which shall run with the land and be binding
upon the Grantor, and shall remain in full force and effect forever.
The scope, nature, and character of this Conversation Easement shall be as follows:
1. It is the purpose of this Conservation Easement to retain land or water areas in

Management Plan ("Plan") described in Exhibit "B" attached hereto and incorporated herein
shall be retained and maintained in the enhanced or created conditions required by the Plan,
To carry out this purpose, the following rights are conveyed to Grantee by this Easement:
a. To enter upon the Property at reasonable times with any necessary
equipment or vehicles to enforce the nghts herein granted in a manner that will not unreasonably
interfere with the use and quiet enjoyment of the Propeny by Grantor at the time of such entry;
and
b. To enjoin any activity on or use of the Property that is inconsistent with
this Conservation Easement and to enforce the restoration of such areas or features of the
Property that may be damaged by any inconsistent activity or use.
2. Except for restoration, creation, enhancement, maintenance and monitoring
activities, or Surface water management improvements, which are permitted or required by the
Plan, the following activities are prohibited in or on the Property:
a. Construction or placing of buildings, roads, signs, billboards or other
advertising. utilities, or other structures on or above the ground;
b. DllIIlping or placing of soil or other substance or material as landfill, or
dumping or placing of trash, waste, or unsightly or offensive materials;
c. Removal Or destruction of trees, shrubs, or other vegetatIon, except for the
removal of exotic or nuisance vegetation in accordance with the Plan;
d. Excavation, dredging, or removal of loam, peat, gravel, soil, rock, or other
material substance in such a manner as to affect the surface;
e. Surface use except for purposes that permit the land or wateI' area to
remain in its natural condition;
f. Activities detrimental to drainage, flood control, water conservation,
erosion control, soil conservation, or fish and wildlife habitat preservation including, but not
limited to, ditching, diking and fencing;
g. Acts or uses detrimental to such aforementioned retention of land Or water
areas;
h. Acts or uses which are detrimental to the preservation of any features or
aspects of the Property having historical or archaeological sigmficance.
3. Grantor reserves all rights as owner of the Property, including the right to engage
in uses ofthe Property that ate not prohibited herein and which are not inconsistent with any City
rule, criteria, pernut and the intent and purposes of this Conservation Easement.

4_ No right of access by the general public to any portion of the Property is
conveyed by this Conservation Easement.
5. Grantee shall not be responsible for any costs or liabilities related to the operation,
upkeep or maintenance of the Property_
6. Grantor shall pay any and all real property taxes and assessments levied by
competent authority on the Property.
7. Any costs incurred in enforcing, judicially or otherwise, the terms, provisions and
restrictions of this Conservation Easement shall be borne by and recoverable against the
nonprevailing party in such proceedings.
8. Enforcement of the terms, prOVISIons and restnctlOns of this Conservation
Easement shall be at the reasonable discretion of Grantee, and any forbearance on behalf of
Grantee to exercise its rights hereunder in the event of any breech hereof by Grantor, shall not be
deemed or construed to be a waiver of Grantee's rights hereunder.
9. Grantee will hold this Conservation Easement exclusively for conservation
purposes. Grantee will not assign its rights and obligations under this Conservation Easement
except to another organization qualified to hold such interests under the applicable state laws.
10. If any provision of this Conservation Easement or the application thereof to any
person or circumstances is found to be invalid, the remainder of the provisjons of this
Conservation Easement shall not be affected thereby, as long as the purpose of the Conservation
Easement is preserved.
11. Grantor shall insen the: terms and restrictions of this Conservation Easement in
any subsequent deed or other legal in8trument by which Grantor divests itself of any interest in
the Property.
12_ All notices, consents, approvals or other communications hereunder shall be in
writing and shall be deemed properly given if sent by United Stats certified mail. return receipt
requested, addressed to the appropriate party or successor-in-interest.
13. This Conservation Easement may be amended, altered, released or revoked only
by written agreement between the parties hereto or their heirs, assigns or successors-in-interest,
which shall be filed in the public records in Palm Beach County.
TO HAVE AND TO HOLD unto Grantee forever, The covenants, terms, conditions,
restrictions and purpose imposed with this Conservation Easement shall be binding upon
GTantor, and shall continue as a servitude running in perpetuity with the Property.
Grantor hereby covenants with said Grantee that Grantor is lawfully seized of SaId
Property in fee :simple; that the Property is free and clear of all encumbrances that are
inconsistent with the terms of this Conservation Easement and all mortgages have been joined or

Thank you for your letter of October 24,2002 In our meeting of October 28,2002, however, we
dId finalIze an alternatIve method of calculatIng the parkIng and I would appreciate confirmatIOn
of same At the meetIng, It was agreed that we could calculate the parkIng eIther at the 'blended'
rate of one (I) space per 500 sq ft., or by calculatmg each proposed use (Le 1 space per 300 square

ThIS letter IS in response to our prevIOus telephone conversatIOn regarding the above-
mentIOned matter As discussed, Chapter 2, Section 11 H. 16.f. (1) reqUIres:
1. Manufactunng and industrial uses not lIsted elsewhere' One ( 1 ) parkmg space
per two (2) employees, but not less than one (1) parking space per five hundred
(500) square feet of gross floor area, plus required parkmg spaces for any other
princIpal uses, including office or retail floor area.
Please be advIsed that the parking ratio for the entire project shall be calculated based on

Dear Mr. Kelley:
We are requesting your approval of an administrative waiver to allow for a twenty-five feet (25') back-up
distance for a parking aisle, in lieu of the code required twenty-seven feet (27')
This project is located within the M 1 zoning district and is located on a very constrained site The site is
rectangular in shape with a long frontage on High Ridge Road and a fairly narrow depth. The narrow depth
is further decreased by the required 25% set aside area which is located along the western property line.
The nature of the businesses Wht:h will be located in this facility is more of the service type than typically
found in industrial projects. The ;argest size of trucks utilized this site will be panel-type trucks, which will
more than likely park in front of the bay doors to deliver or pick up supplies. Therefore, a 25' parking lot drive
aisle will more than accommodate the type of vehicles utilizing the site. In addition, the site circulation will
function adequately with this waiver implemented and all emergency service vehicles and sanitation trucks
will still be able to service the site.
I am also aware that the City is Cll'Tently in the process of revising the land development regulations with the
assistance of a consultant recentlj retained. For your information, the following cities currently require a 25'
parking aisle width or less. -

Dear Ms. Galav:
I understand that the above referenced item is on the October 1,2002, City Comm.ission consent agenda,
and I would like to request that this letter be included as part of the site plan review file for this project.
Levitt Commercial, in a.joint venture with the Rinker family, is currently under contract to develop the
industrial property directly north of and adjacent to this Quantum Pill mixed use project. We
understand that the site plan currently under consideratlOn indicates the north portion of the Quantum
property for the use of fee-simple townhomes. Part oflhe aforementioned site plan approval request is a
waiver to reduce this northern PID buffer from the required 25' to five feet (51). We have no objection
to this waiver request.
However, we do want staff and the Commission to be aware that we expect that any waiver reduction
approved as part of this petition will have no cffect on the site planning options available to Levitt
Commercial. Therefore, no future increase above and beyond code buffers for our site should be
considered or anticipated as a result of the decrease in the required. buffer for Quantum. PJD.

consIdered "resIdential", and the subject project WIll be revIewed accordmgly. I understand your
condItIOnal posItIOn toward the adjacent approval, however, I mterpret the mtent of the CIty regulatIOns
to protect resIdential "envIronments" from more mtense uses, regardless of the underlymg zonmg
