Dear Ed:
As per our previous discussions, enclosed are the revised building drawings for your re-
view and approval. We have removed the front tower element, as requested by BJ's
Wholesale Club. And we have changed all of the canvas awnings to wood framed
canopies with concrete tile roofs, as you requested. Actually you requested we
change only four of the awnings, but we decided it looked better to change all of
them. The concrete tile is the same style and color that was previously shown on the
tower roof.
Please feel free to call if I can answer any questions or provide additional materials to
assist in your review of our plans for Chick-fil-A. Thanks.

Gentlemen,
Your statements are correct. The City reviewed and approved the original plans because they were in
keeping with the other outparcels to the BJ's site. Whenever we review outparcels or numerous buildings on the
same site, we look to incorporate design elements and colors from one building to another, not so they all are
mirror images of each other, but in order that we do not have stark contrasts between buildings on the same site.
In this particular case we were looking to incorporate the smallish entry tower feature with spanish tile roofs and
buildings with some soft earthtone shade (as designed and constructed for the South Trust Bank and Applebee's
buildings), all different, yet tied together to meet our code on community design through unity of character and
design concepts. In each case, including the Chick-fil-A, these spanish tiled roof towers are only a very small
portion of the roof surface, more of a decoration as opposed to a true roof and something that would not be
detrimental to the visibility of the BJ's building. Additionally, BJ's has a sizeable monument sign along the Boynton
Beach Boulevard right-of-way that is seen before anything else on the site. Please consider leaving the plans
approved by the City as is. I believe it is in everyone's best interest. Thank you for your time and consideration.

Kevin, after BJ's rejected our request, Chick-fil-A was in the process of changing the
building to keep it within the 22 foot height restriction, but the City of Boynton Beach (Mr.
Breese) does not like the change and wants to keep it the way it was (as we previously
submitted to you and approved by the City). We were hoping that since it is the City
requesting to let it stay as previously submitted, to keep the outparcels looking
consistent, BJ's would reconsider. By copy of this email to Chick-fil-A's attorney and Mr.
Breese, please confirm if I am correct in my statements and provide any other details you
deem appropriate. Please reply to all so we can all see your comments. Thanks.

encroachment exception to Chick-fil-A. We can live without the access agreement we
had previously discussed, but if there is any way to obtain an amendment to the
Shopping Center Operating Agreement to allow Chick-fil-A to build the building per the
elevations I previously furnished to you, we would greatly appreciate it.
After you advised me that BJ's would not sign the agreement we had negotiated, Chick-
fil-A set out to redesign its building to fit within the 22 foot height limitation. I received a
call today from Ed Breese, principal planner for the City of Boynton Beach, stating that
the proposed redesigned building does not match the rest of the shopping center, and
really ought to have the same arched entrance as the other outparcels. I explained to
him all of our efforts to get the height encroachment exception approved by BJ's, and I
agreed to send this email to try to get you (BJ's) to reconsider this issue. I have copied
Ed on this email, and you may communicate with him if you so desire by email or by
telephone at 561-742-6260. Now that the City is requesting the height encroachment,
please inquire again if BJ's is willing to sign an amendment to the Shopping Center
Operating Agreement authorizing Chick-fil-A to build the building we previously
submitted to you. To expedite this matter, I have attached a proposed Agreement

AGREEMENT
THIS AGREEMENT is entered into as of the _ day of ,2005, by and
between BJ'S WHOLESALE CLUB, INC., a Delaware corporation, having an address of One
Mercer Road, Natick, Massachusetts 01760 ("BJ's"); and BIRCHWOOD/BOYNTON, LLC, a
Florida limited liability company, having an address of 1001 NW 62nd Street, Suite 320, Ft.
Lauderdale, Florida 33309 ("Grantee").
WITNESSETH
WHEREAS, BJ's is the owner of that certain tract or parcel ofland (the "BJ's Tract")
situated in Boynton Beach, Palm Beach County, Florida, as more fully legally described on
Exhibit "A" attached hereto; and
WHEREAS, Grantee is the owner of that certain tract or parcel ofland (the "TRACT
'C' Outparcel") situated in Boynton Beach, Palm Beach County, Florida, as more fully legally
described on Exhibit "B" attached hereto; and
WHEREAS, Grantee, as the landlord, has entered into that certain unrecorded
Ground Lease dated as of December 17, 2003 (the "Ground Lease") with Chick-fil-A, Inc.
("Chick-fil-A"), a Georgia corporation, having an address of 5200 Buffington Road, Atlanta,
Georgia 30349-2998, as the tenant, for the TRACT "C" Outparcel; and
WHEREAS, pursuant to the Ground Lease, Grantee desires to construct a restaurant
building upon the TRACT "C" Outparcel which exceeds the twenty-two (22) foot height
limitation contained in Section 4.3 (B) of that certain Operating Agreement by and between BJ's,
Grantee and SouthTrust Bank dated April 11, 2001 and recorded in Official Records Book
12454, Page 1717 of the public records of Palm Beach County, Florida, as amended in that
certain First Amendment to Operating Agreement dated September 21, 2001 and recorded in
O.RE. 14977, Page 0772, aforesaid records, as assumed by Florida Apple 1, LLC in that certain
Assumption of Operating Agreement dated January 15, 2003 and recorded in O.RB. 14680,
Page 721, aforesaid records, as assumed by AF & KG in that certain Assumption of Operating
Agreement dated October 15,2003 and recorded in O.RE. 16213, Page 1669, aforesaid records,
as affected by that certain Agreement Regarding Operating Agreement dated November 18, 2003
and recorded in O.RE. 16213, Page 1659, aforesaid records, and as affected by that certain
Access Agreement dated November 18, 2003 and recorded in O.RE. 16213, Page 1675,
aforesaid records (collectively the "Operating Agreement"); and

WHEREAS, BJ's has agreed to permit Chick-fil-A to construct a restaurant building
upon the TRACT "C" Outparcel which exceeds the twenty-two (22) foot height limitation
contained in Section 4.3(B) of the Operating Agreement, on the terms set forth herein.
NOW THEREFORE, in consideration of ten dollars ($10.00) and other good and
valuable consideration, it is agreed as follows:
1. Building Height. Notwithstanding the twenty-two (22) foot height limitation
contained in Section 4.3(B) of the Operating Agreement, BJ's expressly consents to the
construction by Chick-fil-A of a one story building on the TRACT "C" Outparcel which includes
a "Tower Structure" which exceeds the twenty-two (22) foot height limitation, all as shown on
the elevation plan attached hereto as Exhibit "C"; provided however, that no portion of the
proposed building except the "Tower Structure" shall exceed said height limitation.
2. Counterparts. This Agreement, and any modifications, may be executed in one or
more counterparts, including by facsimile, all parties need not be signatories to the same
documents, and all counterpart signed documents shall be deemed to be an original and one (1)
instrument.
3. Modifications. Except as expressly modified herein, the Operating Agreement
remains unmodified and in full force and effect.

Dear Mr. Litvak::
At the request of Rob Levy, I understand to be one of the principals ofBirchwoodIBoynton, LLC
("Birchwood"), I am writing this letter in regards to the issue of whether BJ's could unilaterally eliminate or
modify the access to/from the site currently leased by Birchwood to CF A, at the BJ's shopping center on
Boynton Beach Boulevard. As I advised Mr. Levy, the entire project was approved as part of a master
plan/rezoning process. The modification ofthe master plan to alter access and/or circulation characteristics
within the project would require the request for same be submitted to this office and ultimately approved by
the City Commission. Staff would review such a proposed modification, to ensure continued adequate
circulation throughout the project as originally approved. A change that would lower the standards by which
the original project was approved would represent a substantial change to the master plan, thereby requiring
the complete rezoning process to be followed. This process would entail, in part, public notification
measures including newspaper advertisements and site signage. Modifications to the master plan would be
required to satisfy similar standards of access and circulation, which were originally followed, and on which
affected parties would have an opportunity to comment.

(D) Each Party agrees that the design of the parking areas on its Tract shall
comply with a!l applicable governmental laws, ordinances, rules, regulations and orders, without
variance or special permit. In the event of a condemnation, or sale or transfer in lieu thereof, that
reduces the number of usable parking spaces below that which is required herein, the Party
whose Tract is so affected shall use its best efforts (including using proceeds from the
condemnation award proceeds or settlement) to comply with the parking requirements set forth
above. If such compliance is not possible, such Party shall not be deemed in default hereunder,
but shall not thereafter be permitted to expand the amount of Floor Area located upon its Tract;
and if such Floor Area is thereafter reduced, then it may not be subsequently increased unless the
parking requirement is satisfied.
(E) No Party shall alter the grade elevations on any portion of its Tract from
those established by the plans and specifications initially approved by BJ's if such alteration
would increase the flow of surface water onto another Party's Tract, affect ingress and egress or
otherwise adversely affect another Party's Tract.
4.3 Building Improvements.

(A) If a portion of any Building Area is at one point in time paved and used as
a parking area or other non-building areat such portion may be subsequently used as Building
Area provided that such construction complies with all parking requirements and other
provisions of this Agreement.

(B) Except as expressly otherwise provided in Section 4.3 (C) below, no. 9;;;..1
building on an Outparcel shall exceed twenty-two (22) feet Clbove grade, and no other building in --~
the Shopping Center shall exceed thirty-five (35) feet above grade. No mechanical equipment,
penthouse or similar appurtenant structure located on any such building shall extend upward
above the top of any building more than seven (7) feet.

(C) Notwithstanding the twenty-two (22) foot height limitation contained in
Section 4.3 (B) above, SouthTrust is expressly granted the right to construct a building on the
Bank Parcel which contains a tower of approximately twenty-seven (27') feet six (6") inches in
height, so long as such building conforms to the elevation plan attached hereto as Exhibit D.

4.4 Lighting.
Each Party shall keep the Outdoor Areas on each improved Tract fully illuminated each
day from dusk to at least one (1) hour after the last business operation thereon has closed, except
that BI's shall keep both the Developer Access Way and the BJ'~ Access Way illuminated. BJ's
shall keep the Access Ways illuminated for longer hours than stated in the preceding sentence at
the request of any Party, provided that such Party agrees to pay for the cost thereof within ten
(10) days of receipt of any invoice from BI's for such costs.
