WHEREAS, the City Council of the CITY OF BOYNTON BEACH,
FLORIDA, has heretofore determined the public necessity of enter-
ing into a certain joint construction project with the Florida
State Road Department pertaining to the construction and installa-
tion of storm drainage facilities in and under a portion of North
Second Avenue (State Road $804) within the municipal limits of
said City wherein and whereby said storm drainage facilities will
be oversized to accommodate not only the existing drainage for
said North Second Avenue, but also additional drainage for areas
of the City adjacent to and in the vicinity of said North Second
Avenue, all at a substantial savings to the taxpaye~ of the City
of Boynton Beach, Florida; and
WHEREAS, the estimated cost of the City's share of said joint
project has been established at $147,348.00; and
WHEREAS, it is deemed essential that the terms and conditions
of the above arrangement be incorporated into a written agreement
and executed by the parties; and
WHEREAS, a proposed form of agreement has been prepared and
a copy thereof attached hereto and hereby made a part hereof;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CI~
OF BOYNTON BEACH, FLORIDA:
1. THAT the terms and conditions of the attached form of
contract between the Florida State Road Department and the CITY OF
BOYNTON BEACH, FLORiDA, pertaining to the proposed joint constructi¢
by the said parties relative installation of certain storm drainag~
facilities on North Second Avenue (State Road ~904) within the C2
OF BOYNTON BEACH, FLORIDA, are hereby approved and the Mayor and
City Clerk of the City are hereby authorized to execute said agree-
ment on behalf of the City.

WITA~ESSETH:
~,~IEREAS, the Department has prepared plans and specifications on S~tate
Road Department Job No. 93640-3601 , hereinafter called the "Joint Project",
and it is necessary to enter into this Joint Pz-oject agreement to insure 'completion
of this Job in the best interest of the parties hereto; and
WHEREAS, the Body Politic has requested the Department to include in said
Job certain facilities to m~et the needs of the Body .oiztzc; and ~
W~HEREAS, the Department and the Body Politic have determined that it would
b~ to the mutual benefit of .both parties to eh:er into the Joint Project providing
for the needs of each party,
NOW, ~IEREFORE, THIS iND~N~jR~% i~Th%SSE~E: That in consideration of :he
premises and covenants hereinafter set out to be kept. and performed by each of the
parties hereto, it is hereby mutually covenanted and agreed, as follows:
1. The Department and Body POlitic shall participate in a Joint Project,
the scope of which shall'be as set forth on Attachment "A", attached hereto and made
'a part hereof.
2. All of the work on the Joint Project is to be dona according to the
plans and specifications of the Department, ~]ich plans and specifications, in-
cluding properly authorized changes made by c.~noe order or supplemental agre~uan~,
are, by reference hereto made'a part hereof. Such changes or alterations in th~
plans and/or specification~ as are made subsequent to execution of this agreement
and which affect such portions of the Joint Project as are wholly or partially paid
for' by the Body Politic shall be subject to the approval of the Body Politic.
3. ~"~e Departmen~ will provide the necessary engineering, design and super-
visi6n to insure construction in compliance wi~h the plans and "=' ·

.above referred to, and shall receive all bids for and let all contracts for said work,
and the Department shall be reimbursed for said cost at ~ 0 percent of the amoun~ to
be paid by the Body Politic, as calculated under paragraph 7 below.

4. Upon completion and acccptance of the work, the Department shall
control and maintain the Joint Project unless otherx¢ise indicated on Attachment
"A" t° this agreement.
5. Use of the Joint Project by the ~ody ?olitic shall be in actor-dance

7. The est~ated cos: of said original faciligies is $ 234~724.00

above is $ 147,348.00 . Final pa~eng of the Body Politic's share of the cos~
of the joint 'Project will be based on final plans and quantities and contrac~ bid
prices, or from those estimated prices and quantities sh~n on Attachment "k" when
said bid prices are no~ so available, and shall be made by the Body Politic ~o the
Department ~thin sixty (60) days after completion and acceptance of :he Joint
Project by the Depar~en~, less any advance deposit.
8. All services and work hereunder shall be parfo~ed go nhe satisfac-
tion of the Depar~ent's Sta~e I{ighway Engineer, and he shall decide all quasnions,
' difficul~ies and disputes of whatever nature ~hich may arise under or by raagon of
~his agreement; the prosecution and fulfillment of the services hareundar~ and
character, quality, ~oun~ and value thereof; and his decision upon all
qhestions, and disputes shall be final and conclusive upon the par~ies hereto.
9. The Body Politic shall defend, save and hold hapless the Departmen~
fr~ any and all legal actions, claims or d~n%ands by any person or .legal en~i~y
against the Depar~ent arising out of the participation in or use by the Body
Politic of the Joint Project.
