HORTON, INC. FOR THE CONSTQUCTION OF 10 NAUTICA PARK IN EXCHANGE FOR A CREDIT OF 11 IMPACT FEES AMOUNTING TO $136,300lO0 FOR THE 12 KNOLLWOOD SUBDIVISION; AUTHOJUZING THE 13 CITY MANAGER TO EXECUTE ANY AND ALL 14 NECESSARY DOCUMENTS IN CONJUNCTION WITH 15 THE AGREEMENT; AND PROVIDING AN EFFECTIVE 16 DATE. 17 18 WHEREAS, the Agreement provides for the funding and construction of the Nautica 19 Park by D.R. Horton in exchange for a refund of the City assessed park impact fee valued at 20 $136,300.00; and 21 WHEREAS, the City Commission of the City of Boynton Beach, upon 22 recommendation of staff, deems it to be in the best interests of the residents and citizens of 23 the City of Boynton Beach to approve the Agreement between the City of Boynton Beach and 24 D.R. Horton, Inc., for the construction of Nautica Park in exchange for a credit of park 25 impact fees of $136,300.00. 26 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF 27 THE CITY OF BOYNTON BEACH, FLORIDA, THAT: 28 Section 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 29 being true and correct and are hereby made a specific part of this Resolution upon adoption 30 hereof. Section 2. The City Commission of the City of Bbynton Beach, Florida does 31 32 hereby approve the Agreement between the City of Boynton BeaCh and D.R. Horton, Inc., for 33 the construction of Nautica Park in exchange for a credit ofpar~ impact fees of $136,300.00, S:\CA\RESO\Agreements\Nautica Park DR Horton Agmt.doc II 1 a copy of which is attached hereto and incorporated herein by reference as Exhibit "A". 2 Section 3. R. Horton, Inc., a Delaware corporation ("Horton"). RECITALS: A. Horton is acquiring the property described in Exhibit "A" and will develop same and which will be referred to "Knollwood PUD". B. In connection with said development, there will be a park site located adjacent to Knollwood PUD owned by the City and described in Exhibit "B" ("Park Site"). C. The City and Horton have agreed to certain mutually beneficial terms and provisions regarding the Park Site and the responsibilities of the parties regarding development of the Knollwood PUD and the Park Site. NOW, THEREFORE, for and in consideration of the sum of Ten and No/100 Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, it is hereby agreed as follows: 1. Recitals. herein by this reference. The foregoing recitals are true and correct and are incorporated 2. Horton's Obligations Regarding Park Site. Horton agrees that it shall: (i) grant and record a public vehicular and pedestrian easement within Knollwood PUD that provides access across Horton's entrance road to the parking lot within the Park Site; (ii) be responsible for all labor, material, and equipment costs necessary to construct the Park Site to the specification set forth on Exhibits "C" (Engineering Plan for Park Site) and "D" (Landscape for Park Site) ; (iii)comp1ete construction of the Park Site improvements and obtain written approval by the City Engineer within two hundred ten (210) days of issuance of land development permits, as same may be extended by agreement of the parties hereto and subject to matters beyond Horton's reasonable control; (iv) maintain the littoral plantings required by the landscape plan for two (2) years after completion of improvements on the Park Site; and (iv) maintain liability insurance in the amounts and under the terms approved by the City's Risk Manager, to insure the City against loss from claims arising from Horton's construction activities. 3. City's Obligation Regarding Park Site. City agrees that it shall: (i) provide all necessary easements for the construction and maintenance of the shared entry feature/sign panels for Knollwood PUD and the Park Site at the N.E. corner of the Park Site as designated by Exhibits "E"; (ii) shall give park impact fee credits for all improvements (including all hard and soft costs) made to the Park Site by Horton, provided that impact fee credits shall not be deemed earned until completion and turnover of the Park Site to the City.; (iii) allow Horton to plant littoral areas within the proposed lake on the Park Site, which will count towards the required littoral areas within the Knollwood PUD lakes; (iv) provide an access and use easement over the S:\CA\AGMTSIJAC Civic Site Agreement (CLEAN) 02-23-06.doc - 1 - Park Site necessary to allow Horton to excavate and grade the lake within the Park Site and maintain littoral planting after Horton's two year maintenance obligation expires ; and (iv) process an Administrative Amendment to the site plan reflecting changes to the Knollwood entry drive, walls and sign panels as described herein. 4. Lawrence Road Retention. Horton shall have the right hereunder to offer Palm Beach County use of the lake on the Park Site as a retention basin for Lawrence Road storm water runoff. Any renumeration paid by Palm Beach County for use of the lake as a retention area will be shared equally by Horton and City. 5. Removal of Fill. Horton shall have the right to remove fill from the Park Site which is to be disposed of by Horton off the Park Site as determined by Horton in its sole and absolute discretion. 6. Notices. Every notice, demand, request or other communication which may be required or given under this Agreement shall be in writing and deemed given when sent by United States certified or registered mail, postage prepaid, return receipt requested, and shall be addressed to the City and Horton at the addresses set forth below, or at such other address as shall be designated in writing by the parties. This Agreement shall be governed by the internal laws of the State of Florida, and venue shall lie in Palm Beach County, Florida. In the event of any litigation, the prevailing party shall be entitled to recover its reasonable fees and costs incurred, at all tribunal levels. This Agreement cannot be waived, modified, amended or supplemented in any way except by written agreement executed and delivered by and to both parties, except in the case of waiver, which must be signed only by the party against whom such waiver is sought to be enforced. Any such waiver shall be limited to the specific instance only, and shall not be construed as a continuing waiver or waiver or any other instance. 9. Successors and Assigns. All covenants, conditions, proVISIOns, representations and warranties contained in this Agreement shall (i) inure to the benefit of Prime and its heirs, personal representatives, successors and assigns, and (ii) be binding upon Horton and its heirs, personal representatives, successors and assigns. 10. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. 11. Enforcement. Both parties have the right to enforcement of the obligations of the parties by action for specific performance. Additionally, the City has the right to cover a default by Horton by completing the improvements in the event the City gives Horton sixty (60) days notice and opportunity to cure a default. In the event the City elects to cover a default, the City shall be entitled to recover the City's cost of completing the project from Horton. In the event of any action to enforce the terms of this agreement, including an action arising from the City's election to cover, the prevailing party shall be entitle to recover attorney fees and court cost from the other party. Horton, Inc., a Delaware corporation ("Horton") and The City of Boynton Beach ("City"). RECIT ALS A. Horton is the owner of the real property described in Exhibit "A" attached, such property situate, lying and being in Palm Beach County, Florida. All references contained in this Declaration to the "Knollwood Parcel" mean the real property described in Exhibit "A" attached. B. The City is the owner of the real property described in Exhibit "B" attached, such property situate, lying and being in Palm Beach County, Florida. All references contained in this Declaration to the "Park Site" mean the real property described in Exhibit "B" attached. C. The City and Horton have this date executed an agreement relating to certain rights and obligations regarding the Knollwood Parcel and the Park Site. This Declaration is executed by the parties pursuant to the terms of such agreement. All references contained in this Declaration to the "City Agreement" mean the agreement by and between the City and Horton just described. D. Pursuant to the City Agreement, Horton and City desire to establish and create certain easements and benefits to burden and benefit the Knollwood Parcel and the Park Site. 1 NOW THEREFORE, for and in consideration of the sum of One Hundred ($100.00) Dollars and other good and valuable consideration, and for the easements and benefits required by the City Agreement, the receipt and sufficiency of which is hereby acknowledged, Horton and the City covenant and agree each with the other, and their successors and assigns as follows: GRANT OF EASEMENT BY HORTON TO CITY FOR INGRESS AND EGRESS TO THE KNOLLWOOD PARCEL Horton does hereby grant and convey to City, subject to the terms and conditions stated, for the benefit of the Park Site, an irrevocable and perpetual non-exclusive right and easement for vehicular and pedestrian ingress to and egress from the Park Site from the Knollwood Parcel over and across that portion of the Knollwood Parcel more particularly described and depicted in Exhibit "c" attached. All references to "access easement" contained in this Declaration mean the easement for vehicular and pedestrian ingress and egress granted by this Declaration. This grant of easement is subject to the following conditions: A. The access easement shall be used only for vehicular and pedestrian ingress to and egress from the Knollwood Parcel to the Park Site over and across the property described in Exhibit "C" attached hereto and for no other use or purpose. No other portion ofthe Knollwood Parcel shall be subject to this grant of easement. B. This grant of easement is a non-exclusive easement and Horton reserves the right to grant others use of the property described in Exhibit "C" and to utilize such property for the installation and maintenance of utilities and drainage purposes, to grant others uses of the property for such purposes and for such other uses and purposes as determined by Horton provided such uses and purposes do not interfere with the vehicular and pedestrian access to the Park Site from the property described in Exhibit "C". 2 C. The City shall not interfere with the rights of others in the use of the property described in Exhibit "C". D. Vehicular use of the easement shall be limited to such vehicles as are in common use by the public on public streets excepting heavy construction equipment. E. Horton shall have the right from time to time to relocate the access easement granted hereby at its expense to such other area within the Knollwood Parcel as may be determined by Horton provided such relocation does not interfere with the access to the Park Site from the Knollwood Parcel. GRANT OF EASEMENT BY CITY TO HORTON FOR THE CONSTRUCTION AND MAINTENANCE OF SHARED ENTRY FEATURE/SIGN PANELS City does hereby grant and convey to Horton, subject to the terms and conditions herein stated, for the benefit of the Knollwood Parcel, all necessary easements for the construction and maintenance of the shared entry feature/sign panels located at the Northeast corner of the Park Site, the location of the shared entry feature/sign panel and the location of the easements granted hereby being more particularly described and depicted in Exhibit "D" attached. This grant of easement is subject to the following: A. The grant of easement is irrevocable, perpetual and non-exclusive easement to enable Horton to enter upon the Park Site over the most direct route available to Horton for ingress to and egress from the shared entry feature/sign panels as denoted on Exhibit "D" attached. B. The City shall not interfere with Horton in its exercise of its right to enter the Park Site for the purposes above stated. 3 " C. Horton shall use the easements only for the purpose of the construction and maintenance of the shared entry feature/sign panels in the manner as required by the City Agreement and for no other purpose. GRANT OF EASEMENT BY CITY TO HORTON FOR THE CONSTRUCTION OF PARK SITE The City does hereby grant and convey to Horton, subject to the terms and conditions herein stated, for the benefit of the Park Site all necessary easements and rights of access for the construction of the Park Site in accordance with the conditions and requirements of the City Agreement. This easement shall terminate and be of no further force and effect upon the acceptance by the City of the improvement required of Horton to construct the Park Site. GRANT OF EASEMENT BY CITY TO HORTON TO MAINTAIN PLANTING The City does hereby grant and convey to Horton, subject to the terms and conditions stated, for the benefit of the Park Site egress to and ingress from the Park Site to Horton for the purpose of littoral planting in the area as depicted in Exhibit "E" attached and to maintain the planting in the manner as required by the City Agreement and for no other use. This grant of easement is subject to the following conditions: A. This easement shall terminate and be of no force and effect two (2) years after the completion of improvements of the Park Site, as determined by the City Agreement, but in no event (4) years after the date of this Declaration. 4 B. Ingress to and egress from the Knollwood Parcel to and across the Park Site for the purposes of this easement shall be over the most direct route available to Horton for ingress to and egress from the area as depicted in Exhibit "E". C. The City shall not interfere with Horton in the exercise of its rights of ingress and egress, provided such ingress and egress is for the uses and purposes of this grant of easement. GRANT OF EASEMENT BY CITY TO HORTON FOR EXCAVATION AND GRADING OF LAKE, MAINTENANCE OF LITTORAL PLATING AND FOR REMOVAL OF FILL City does hereby grant and convey to Horton for the benefit of the Park Site and the Knollwood Parcel an easement for ingress to and egress over the Park Site to the lake within the Park Site as depicted in Exhibit "F" attached, for purposes of ingress to and egress from the Park Site to permit Horton to excavate and grade the lake within the Park Site as reflected on Exhibit "F", such excavation and grading to be as provided by the City Agreement, to maintain the littoral planting as provided by the City Agreement and for the purpose of removing fill from the Park Site, This grant of easement is subject to the following conditions: A. The easement is irrevocable and non-exclusive. Horton shall have the right to enter the Park Site over and across the most direct route available to Horton for ingress to and egress from the lake located on the Park Site to be constructed by Horton in accordance with the provisions of the City Agreement, and for the purpose of access to the Park Site for the maintenance of the littoral planting and for the purpose of access to the Park Site to remove fill from the Park Site as permitted by the City Agreement. 5 B. This Easement shall terminate and be of no further force and upon the acceptance by the City of the improvement required of Horton to construct the Park Site. MISCELLANEOUS 1. The grants of easements as contained in this Declaration shall be deemed independent covenants and the default in the performance of anyone (1) easement shall not be deemed a default in the performance of all easements provided by this Declaration. 2. The grants of easements as contained in this Declaration shall be used solely for the purposes as provided by this Declaration and for no other purpose whatsoever. 3. References in this Declaration to the City Agreement is for purposes of identification only and shall not be construed as incorporating the City Agreement into this Declaration. 4. In the event there are any inconsistent prOVIsIons contained in this Declaration with the City Agreement, the provisions of this Declaration shall govern and control. 5. This Declaration is biding upon the parties hereto and inures to the benefit of Horton and the City and their respective successors and assigns, and shall be deemed a covenant running with the land. 6.
