A RESOLUTION OF THE CITY COMMISSION OF
THE CITY OF BOYNTON BEACH, FLORIDA,
GRANTING A UTILITY EASEMENT TO
BELLSOUTH TELECOMMUNICATIONS, INC., DBA
AT &T FLORIDA ON THE PROPERTY KNOWN AS
"POLICE STATION #2 "; AND PROVIDING AN
EFFECTIVE DATE.
WHEREAS, the former Fire Station #2 is currently utilized by the Police
Department as a storage facility for mobile equipment and back -up generators; and
WHEREAS, in order to properly provide utility services, a new utility easement
has been established along the north property line from the east right -of -way line of South
Congress Avenue to the existing building to allow AT &T Florida to properly service
16 same.
17 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
18 OF THE CITY OF BOYNTON BEACH, FLORIDA, THAT:
19 Section 1. The foregoing "Whereas" clauses are hereby ratified and confirmed
20 as being true and correct and are hereby made a specific part of this Resolution upon adoption
21 hereof.
22 Section 2. The City Commission of the City of Boynton Beach, Florida does
23 hereby approve the granting of a utility easement from the City of Boynton Beach to the
24 BellSouth Telecommunications, Inc., d/b /a AT &T Florida for the relocation of a utility
25 easement along the north property line from the east right -of -way line of South Congress
26 .Avenue to the existing building to allow AT &T Florida to properly service same, a copy of
27 which is attached hereto as Exhibit "A ".
28 Section 3. This Resolution will become effective immediately upon passage.

through said property. The said easement is more particularly described as follows:

'Me following rights are also granted: the non - exclusive right to allow any other person, firm, or corporation to attach wires or
lay cable or conduit or other appurtenances upon, over, and under said easement for communications or electric power
transmission or distribution; ingress to and egress from said easement at all times; the right, but not the obligation, to clear the
easement and keep it cleared of all trees, undergrowth, or other obstructions; the right, but not the obligation, to trim and cut and
keep trimmed and cut all dead, weak, leaning, or dangerous trees or limbs outside the easement which might interfere with or fall
upon the lines or systems of communication or power transmission or distribution; the right to relocate said facilities, systems of
communications, or related services on said lands to conform to any future highway relocation, widening, or improvements; the
right to test and maintain generators and associated equipment; and the right to allow any other person, firm, or corporation to
provide for fuel /energy distribution to equipment placed on the site.
To have and to hold the above granted easement unto BellSouth Telecommunications, Inc., d/b /a AT &T Florida and its parem
and its and its parent's direct and indirect affiliates, subsidiaries, agents, attorneys, employees, officers, directors, servants,
insurance carriers, licensees, successors, and assigns forever and in perpetuity.
Grantor warrants that Grantor is the true owner ofrecord ofthe above described land on which the aforesaid easement is granted.

This Agreement is made by and between BellSouth Communication Systems, Inc ('BellSouth ") and City of Boynton Be
('Customer ") for the purchase of Equipment and Services, as defined below.
1. Term Of Agreement - This Agreement shall become effective on the date stated below and shall. except as otherwise provided herein, continue in effect for a
period of one (1) year and be automatically renewed for successive terms of one (1 ) year at BellSouth's then current rates in the subject locality Either party may
termmato this Agreement at anytime upon at least thirty (30) days prior written notice to the other party However. all obligations of the parties• including maintenance
commitments. shall continue with respect to Orders accepted by BellSouth prior to termination
2. Definitions -
(a) 'C utover is defined as the date on which the Equipment has been installed, incl operating substantially in accordance with the manufacturers specifications
(b) 'Equipment" is defined as all telecommunications and information systems produc is purchased by Customer pursuant to this Agreement. Equipment shall
also include Software, as defined below.
(c) "Girder" is defined as any request for Equipment or Services placed by C,.storner under this Agreement and accepted by BellSoutf as more fully described
in Section 3.
(d) "Services" is defined as the following additional services offered by BellSouth . ^der th!s. An, rec-ment.which are 'urthedescnt)ed below anrinclude (i) Maintenance
Services, (ii) Installation Services. and/or (iii) Electrical Damage Repair Service
(e) 'Software" is defined as programs and routines, embodied in hardware to the extent that it is accessible for loading or modification exclusively by the
manufacturer of the Equipment, by BellSouth, or by Customer only with the ma ufacturr express authorization
(f, "Major Failure" is defined as the failure of a voice Equipment console or of mcorning or outgoing telephone service or 25 of Aartion -to- station service
within Customer's system.
(g) °Minor Failure" is defined as any failure of voice Equipmert otner than a Major Failure
(h) "Maintenance Service' is defined as the work done by BellSouth to keep ire Equipment in. or to restore the Equipment to good working order
3. Orders - Customer may place Orders for Equipment or Services against this Agreement by either of the following methods (;i BellSouth order form, (ii) telephone
order to BellSouth, or (iii) Customer purchase order or letter of purchase request Each Order if accepted by BellSouth. is subject to the terms and conditions of
this Agreement, and any preprinted terms and conditions on the Customer form shall be doemec deleted Any Order placed by telephone, customer purchase order
or letter of purchase request shall be confirmed in writing by BellSouth on a BellSouth order confirmation form Such confirmation shall bP deemed correct unless
BellSouth receives written notice to the contrary within seven (7) days of Custome • rece!pr of confirmation. The total Equipment price for Customer telephone orders
shall not exceed five thousand dollars ($5.000).
4. Prices And Payment - Prices for the Equipment and Services shah be stated n the appl,cable Orde( Prices for Equipment include all inE ;allation. wiring, shipping
and rigging charges, as applicable However, expedited service requested by r :- er may involve additional charges Customer s payment is due as stated on
the applicable Order.
5. Taxer:. - All charges are exclusive of applicable federal, state or local taxes +. •.i ten,er agrees m pay to BellSouth amourC, equal to any taxes resulting from this
Agreement or any activities hereunder, exclusive of taxes on BeIISOUfh's net into 'i e BeCSoutr may add such taxes to invoices submittec to Customer Customer

(b) Information relating to Software shall be kept in confidence by Customer ono Ueaied as the exclusive property and trade secret of s ;ch suppliers Customer
will not have an obligation to protect information which is made publicly availablf by the supplier or lawfully by a nonparty to this Agreement: is lawfully obtained by
the Customer from a source other than BellSouth or the supplier, is previously k-owl to Customer without an obligation to keep it confidential. or is released by the
supplier or BellSouth in writing.
(c) Notwithstanding the above, Software may be disclosed to other persons suie.y to the puraose of installing operating or maintaining he particular Equipment
for which the Software was furnished. provided such other persons agree in writing to th - same conditions respecting use and confidentiality contained in this Section
and BellSouth is furnished with a copy of such writing.
10. Minor Changes In Customer Orders - If Customer and BellSouth agree to .:hinges in the Equipment or Services prior to Cutover then Customer shall be
charged or credited for the changed items. Appropriate documentation will be required so that additions or deletions may be recorded and c narges or credits issued.
Reasonable restocking charges will be assessed with respect to any Stock listed item- d -! after the date of shipment to the nstallation site, and for all deleted
nonstock items.
11. Limited Warranties - (a) BellSouth warrants that on Cutover, and for the duration of the warranty penoo referred to below each them of Equipment will be
free front defects in material and workmanship and will function substantially i accordance with the manufacturer's published specifications, provided it is not
damaged by external causes and is used according to standard operating instructions issued by the manufactureror BellSouth Unless otherwise stated in the Order,
the warranty period for voice switching equipment is twelve (12) months. For other Equipment the warranty period shall be as stated in the ; In addition, (i) the
warranty period for voice equipment additions shall be the greater of ninety (90) days or the remainder of the service period of the system to which the voice addition
is being ,lidded, and (ii) CERTAIN MISCELLANEOUS EQUIPMENT IS SOLD "AS IS AND WILL CARRY NO WARRANTY WHATSOEVI=R FROM BELLSOUTH
OTHER THAN THE WARRANTY OF TITLE. Any warranty service for such Equipment will be provided directly by the manufacturer of such Fquipment in accordance
with the manufacturers applicable warranty procedures Such Equipment shall be clearly indicated on the applicable Order as Manufacturer's Direct Warranty
Service 1 °MDWS "). BELLSOUTH OFFERS NO MAINTENANCE SERVICE FOP THESE PRODUCTS The warranty period for an item of Equipment will not be
extended by BellSouth s repair or replacement thereof.

Customer has read and understands this Agreement and agrees to be bound by its terms and conditions. This Agreement, and any Orders placed
hereunder, constitute the complete and exclusive statement of the Agreement between the parties, superseding all proposals, representations, and /or
prior Agreements, oral or written, between the parties relating to the subject matter of the Agreement. Acceptance of any Order by BellSouth is subject
to BellSouth credit and other approvals. This Agreement is not binding upon BellSouth until executed by an authorized employee, partner or agent of
Customer and by BellSouth. If signing as a general partner of a partnership, the individual signing for Customer represents and warrants that there are
no provisions in the partnership agreement that restrict or limit the general partner(s)' obligations and that the general partner(s) are fully bound by this
Agreement. This Agreement may not be modified or amended other than by a written instrument executed by both parties.
NOTICE: The information contained herein should not be disclosed to unauthorized persons. It is meant for use of the contracting parties in
connection with performance under this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement by their duly authorized representatives in duplicate counterparts, each of which
is deemed an original.

RE: Southern Bell Master Equipment Purchase /Maintenance
Service Agreement
DATE: March 10, 1992
RECOMMENDATION: I am recommending to the City Commission that a
Resolution be approved authorizing the Mayor to sign the attached
Southern Bell "Master Equipment Purchase and /or Maintenance
Service Agreement ".
EXPLANATION: The City is purchasing a compact NORSTAR Telephone
System from Ezell Hester Park from Southern Bell. The agreement
is a purchase contract and warranty agreement for the system.
Purchase order #1255 for $2,904.34 has been issued.
JUSTIFICATION: Ezell Hester park is scheduled to open within 90
days. Both Recreation and Parks and the Police Department will
use the facility and need telephone service. Due to the distance
from City Hall it is impractical (high cost, no features) to
provide PBX service. Southern Bell is recommend on the basis of
a bid.

THE CITY OF BOYNTON BEACH, FLORIDA,
1 AUTHORIZING AND DIRECTING THE MAYOR AND
CITY CLERK TO EXECUTE AN AGREEMENT WITH
BELLSOUTH COMMUNICATIONS SYSTEMS, INC.,
(BELLSOUTH); A COPY OF SAID AGREEMENT
BEING ATTACHED HERETO AS EXHIBIT "A ";
AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the City Commission of the City of Boynton
Beach, Florida, upon the recommendation of staff, deems it
to be in the best interests of the citizens and residents of
the City of Boynton Beach to execute the attached Master
Equipment Purchase /Maintenance Service Agreement, to provide
1for the purchase of a compact NORSTAR Telephone System for
Ezell Hester Park.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF BOYNTON BEACH, FLORIDA THAT:
Section 1. The Mayor and City Clerk are hereby directed
to execute an Agreement between the City of Boynton Beach and
BellSouth Communications Systems, Inc., (BellSouth), a copy
Rof said Agreement being attached hereto as Exhibit "A ".
Section 2. This Resolution shall take effect immediately
upon passage.
