R96-/,~'~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH, FLORIDA, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT BETWEEN THE CITY OF BOYNTON BEACH, FLORIDA AND FLORIDA POWER & LIGHT COMPANY (FPL), WHEREIN FPL IS DONATING A PORTION OF ITS GOLF SUBSTATION PROPERTY TO THE CITY FOR PUBLIC USE PURPOSES; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City is the owner of Bridge #935306 and agrees to maintain perpetual ownership and maintenance of said Bridge; and WHEREAS, FPL currently uses and desires to continue to use Bridge #935306 for access to its Golf Substation property; and WHEREAS, the City desires to acquire from FPL and FPL desires to donate, give and convey a portion of its Golf Substation property to the City for public use purposes; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH, FLORIDA, THAT: Section 1. The City Commission of the City of Boynton Beach, does hereby authorize and direct the Mayor and City Clerk to execute an Agreement between the City of Boynton Beach and Florida Power & Light, contingent upon the results of the borings and title search, a copy of said Agreement being attached hereto as Exhibit "A", Section 2. Box 14000, Juno Beach, Florida 33408-0420, Attn: Property Tax Department, ("FPL") and THE CITY OF BOYNTON BEACH, a Florida municipal corporation, whose mailing address is 1 00 E. Boynton Beach Boulevard, P.O. Box 310, Boynton Beach, Florida 33425-0310, ("The City"). WHEREAS, The City is the owner of Bridge #935306 and agrees to maintain perpetual ownership and maintenance of Bridge #935306; WHEREAS, FPL currently uses and desires to continue to use Bridge #935306 for access to its Golf Substation property; and WHEREAS, The City desires to acquire from FPL and FPL desires to donate, give, and convey a portion of its Golf Substation property to The City for a public use; NOW, THEREFORE, for and in consideration of the mutual covenants, representations, warranties, and agreements contained herein, and for other good and valuable consideration, FPL agrees to donate, give, and convey to The City and The City agrees to accept from FPL the following described property upon the terms and conditions hereinafter set forth: 1. Recitals. The above recitals are true and correct and incorporated herein by this reference. 2. Description of Property. FPL has fee simple title to that certain real property located in Palm Beach County, Florida, which is commonly known as a portion of the Golf Substation property and more particularly described in Exhibit "A" attached hereto and by this reference made a part hereof (the "Property"). 3. Time for Acceptance. If this Agreement is not executed by The City and FPL in one or more counterparts on or before November 20, 1996, this .~_greement shall not take effect and shall be Golf Substation Sale Page 1 of 10 null and void. The Effective Date of this Agreement shall be the date when the last one of FPL and The City has signed this Agreement, which date shall be indicated in the signature page hereof (the "Effective Date"). 4. Closing. This transaction shall be closed and the deed, other closing instruments and possession shall be delivered to The City on or before December 31, 1996, (the "Closing" or "Closing Date"), unless extended by other provisions of this Agreement; provided, however, that all contingencies to The City's obligations and all other terms and conditions to be performed by FPL have been satisfied. Closing shall then take place fifteen (15) days after all such conditions, terms, and contingencies have been satisfied or waived. The precise time and place of Closing shall be determined by FPL, except that Closing shall take place in Palm Beach County, Florida. 5. Reserved Easement. The City hereby expressly agrees that title to the Property shall be conveyed from FPL to The City subj ect to a perpetual easement reserved by FPL as set forth in the form Special Warranty Deed attached hereto as Exhibit "B," the legal description of the easement will be set forth in Exhibit "B" to be attached to the Special Warranty Deed. The provisions of this Section 5 shall survive the Closing. 6. Executive Mana~ement/Board of Directors' Approval. The City understands and agrees that, while this Agreement bears the execution of FPL, final approval of the transaction contemplated herein rests with FPL's Executive Management and/or Board of Directors, and such final approval cannot be obtained until, on/or about November 15, 1996. The City further understands and agrees that upon notification by FPL that this Agreement has not been approved by FPL's Executive Management and/or Board of Directors (which notification, if required, FPL agrees to forward via regular United States mail to The City not later than December 1, 1996), this Agreement shall be deemed immediately cancelled and of no further force and effect and without FPL's being obligated for any loss or damage to The City whatsoever. Without limiting the generality of the foregoing, The City expressly understands and agrees that this Agreement may be disapproved by Executive Management and cancelled as provided above without this Agreement being submitted to FPL's Board of Directors. For purposes of this clause, the term "Executive Management" shall mean Golf Substation Sale Page 2 of 10 the Vice President or other officer of FPL who is directly responsible to the President of FPL for the management of FPL's real estate assets. 7. Documents for Closing. The City hereby expressly agrees that title to the Property shall be conveyed from FPL to The City by Special Warranty Deed in the form of Exhibit "B" attached hereto and by this reference made a part hereof. FPL shall deliver at Closing the Affidavit in the form attached hereto as Exhibit "C" and by this reference made a part hereof. 8. Expenses. Documentary stamps which are required to be affixed to the deed, the cost of recording the deed, and the cost of an owner's title insurance policy, if desired, shall be paid by The City. 9. Prorations. The real estate taxes for the year in which the transaction is closed shall be prorated as of the date of Closing and the pro rata amount thereof shall be paid at Closing. The proration shall be based upon the previous year's taxes, if the current year's assessment is not available. FPL shall pay all assessments and liens for public improvements against the Property, if any, which are as of the date of this Agreement certified liens. The City shall assume and pay all assessments and liens, if any, for public improvements which become certified subsequent to the date of this Agreement. Either party may request and shall be entitled to a reproration of taxes when the actual amount for the year of Closing is levied. In the event the Property is transferred to a governmental unit exempt from taxation, pursuant to Florida Statute ~ 196, as a result of its ownership, FPL shall place into escrow with the County Tax Collector, an amount equal to the current taxes prorated to the date of transfer of title based upon the current assessment as required by Florida Statute ~ 196.295. 10. Title Evidence. The City shall be responsible for obtaining at its expense an abstract of title or title insurance commitment to satisfy itself that FPL owns the Property subject only to those title exceptions expressly provided for in this Agreement or otherwise standard exceptions permitted. The City shall have forty-five (45) days from the Effective Date of this Agreement during which to notify FPL of any title defects The City may have, whereupon FPL shall have the option to Golf Substation Sale Page 3 of 10 elect to cure such title defects within forty-five (45) days after delivery of the title defects. If The City fails to so notify FPL within said forty-five (45) days, The City shall be deemed to have accepted title to the Property in its existing condition. 11. No Representations as to Quantity. Quality. or Condition of Property. No Warranty other than Title. By its execution hereof, The City understands and agrees that FPL has made no representations or warranties as to the quantity, quality or condition of the Property described herein, the suitability of the zoning thereof, or the availability of permits relating thereto, and The City acknowledges that The City has fully examined said Property prior to the date hereof, and that The City is not relying upon any representation or inducement that may have been made by FPL or FPL's representatives, agents or employees with respect to the quantity, quality or with respect to the present or future condition, environmental or otherwise, zoning or permitting of said Property. The City understands and agrees the conveyance of the Property described herein from FPL to The City shall be "AS IS" with a special warranty as to title only and without any warranty for any other purpose, express or implied. 12. Remedies on Default of The City. If The City fails to close, and FPL is not in default hereunder, and title is as required under this Agreement, this Agreement and all rights and obligations of the parties hereunder shall terminate and FPL shall be entitled to reimbursement from The City of all out-of- pocket expenses and thereafter, the parties hereto shall be released from all obligations hereunder. 13. Remedies on Default of FPL. If for any reason, FPL fails, neglects or refuses to perform this Agreement, The City's right to reimbursement from FPL of all out-of-pocket expenses will be the sole exclusive remedy of The City in full satisfaction of any claim which The City may have against FPL. 14. Condemnation. In the event of the institution of any proceedings, or if subject to a bona fide threat of such proceedings, judicial, administrative or otherwise, which shall relate to the proposed taking of any portion of the Property by Eminent Domain, FPL may cancel this Agreement, and this Agreement be of no further force and effect. Notwithstanding any provIsion contained in this Agreement to the contrary, expressed or implied, FPL shall have no obligation whatsoever to correct any title defect of any kind (except such title defects as may be created by FPL subsequent to the date of this Agreement), unless FPL elects to do so. If any title defect is disclosed by The City to FPL, and if FPL elects not to correct, or fails to correct within the time period set forth in said Section 10, such title defect, then The City shall have the option of (i) accepting the title as it then is, or (ii) terminating this Agreement and thereupon The City and FPL shall be released, as to one another, of all further obligations under this Agreement. 16. Access. The City, its agents or employees, shall have the right to enter upon the Property to perform surveys and inspections; provided, however, prior to such entry The City shall have provided to FPL evidence of public liability insurance satisfactory in all respects to FPL covering accidents or injuries which may occur on said Property. The City agrees to leave said Property in the state approximating its present condition, to indemnify and hold FPL harmless from any and all damage to said Property, and to indemnify and hold FPL harmless from and against any and all claims, losses, damages, injuries (including death), liabilities and causes of action, and all costs and expenses attributable thereto, including attorneys' fees (including such fees for pretrial, trial and appellate matters), whether or not due to or caused by the negligence of FPL, resulting from or arising out of or in connection with The City's exercise of its rights under this Section 16. 17. FPL's Mortgage and Deed of Trust. The City understands that the Property is encumbered by the lien of FPL's 1944 Trust Indenture, as supplemented, and that FPL will obtain a release of the Property from such encumbrance on or before the Closing Date or as soon thereafter as practicable if The City should desire to close prior to said release being obtained. If FPL does not obtain such a release within the one hundred twenty (120) day period for closing this transaction, then The City shall be deemed to have elected option (ii) of Section 15 of this Agreement. FPL, within sixty (60) days of the Effective Date of this Agreement, at its sole cost and expense, may provide The City with a copy of a final survey of the Property (the "Survey"), setting forth the legal description of the Property and indicating the gross acreage thereof. If the legal description differs from the legal description set forth in Exhibit "A" hereto and the title company is willing to issue policies on the basis thereof, the Survey legal description shall be substituted for the one contained in Exhibit" A." 19. Provisions to be Included on Special Warranty Deed. The City understands and agrees that the following provision will be included and made a part of FPL's conveyance by Special Warranty Deed of the Property: BY ACCEPTANCE THEREOF, THE GRANTEE(S) ACKNOWLEDGE(S) THAT THE ABOVE-DESCRIBED REAL PROPERTY CONVEYED HEREBY IS ADJACENT TO REAL AND PERSONAL PROPERTY OWNED BY GRANTOR AND USED BY IT AS A PUBLIC UTILITY CORPORATION OF THE STATE OF FLORIDA, AND GRANTEE(S) ACCEPT(S) THE CONVEYANCE OF THE ABOVE-DESCRIBED PROPERTY WITH THIS FULL KNOWLEDGE AND SUBJECT TO THE USE OF THE GRANTOR'S ADJACENT LAND AND PERSONAL PROPERTY FOR SUCH PURPOSES OR ANY OTHER LEGALLY AUTHORIZED USE. 20. Easement Grants. 20.1 Access Easement. FPL hereby agrees to grant to The City a twenty (20') foot wide access easement for ingress or egress to the Property as set forth in the Access Easement Agreement attached hereto as Exhibit "D," and by this reference made a part hereof. The legal description of the Access Easement will be set forth in Exhibit "A" to be attached to the Access Easement Agreement. The provisions of this Section 20.1 shall survive the Closing. 20.2 Utility and Fencing Easement. FPL hereby agrees to grant to The City a ten (10') foot wide Utility and Fencing Easement for the installation of underground utility facilities and a fence six (6') feet in height as set forth in the Utility and Fencing Easement Agreement attached hereto as Exhibit "E," and by this reference made a part hereof. The legal description of the Utility and Fencing Golf Substation Sale Page 6 of 10 Easement will be set forth in Exhibit "A" to be attached to the Utility and Fencing Easement Agreement. The provisions of this Section 20.2 shall survive the Closing. 21. Judgments Against FPL. The City has been advised and understands that, in the ordinary course of FPL's business operations, non-material judgments are from time to time entered against FPL and academically create clouds upon the title to FPL's assets. In connection with the transaction contemplated herein, The City expressly agrees that (i) any non-material judgment appearing of record among the Public Records of the County in which the Property is located, during the pendency of this Agreement or on the date of Closing shall not be deemed to be a title defect provided the title insurer is willing to insure title without exception for such judgment based upon FPL's agreement to indemnify the title insurer for any loss incurred as a result of any present or future enforcement or attempted enforcement of such judgment as a lien upon the Property, and (ii) FPL shall not be required to take any action whatsoever with respect to any judgment whether non-material or material. For the purposes of this section, the term "non-material judgment" shall mean recorded judgments in a face amount of Five Thousand Dollars and No Cents ($5,000.00) or less. 22. Brokerage. Each party hereto represents to the other that there are no real estate brokers involved in this transaction. Each party does hereby agree to indemnify and hold harmless the other from and against any and all costs, debts, damages, and claims, including, costs and reasonable attorneys' fees for pre-trial, trial or appellate matters in defending against any claims for brokerage commission arising through it relative to this transaction. The representations, warranties and agreements contained in this Section 22 shall survive the Closing of this transaction. 23. Landscape Buffers. The City agrees to construct a landscape buffer consisting of natural vegetation, together with a fence not to exceed six (6') feet in height along the adjoining property line between the Property and FPL's Golf Substation property and the Easement set forth in Exhibit "E" hereto. The buffers shall be subject to FPL's approval and shall be sufficient in landscaping to provide a natural buffer between the Property and FPL's Golf Substation property. The City Golf Substation Sale Page 7 of 10 agrees that it shall maintain the landscape buffer in perpetuity. FPL and The City acknowledge and agree that the City's obligations as set forth in this Section 23 shall not begin until The City begins development or use of the Property. The provisions of this Section 23 shall survive the Closing. 24. Bridge #935306 Upgrading and Maintenance. The City, at its sole cost and expense, shall maintain perpetual ownership and maintenance of Bridge #935306 and shall cause Bridge #935306 to be upgraded and improved to support continued use of the same as access to the Property and FPL's Golf Substation. Said upgrade and improvement shall be in compliance with the recommended corrective action set forth in the Bridge Inspection Report prepared by Kisinger Campo and Associates, Corp. dated November 15, 1995, and attached hereto as Exhibit "F" and incorporated herein by this reference and with all applicable local, state and federal regulations. The representations, warranties and agreements contained in this Section 24 shall survive the Closing. 25. Attorneys' Fees and Costs. In the event either party hereto shall default in the performance of any of the terms and conditions of this Agreement, the prevailing party shall be entitled to recover all costs, charges and expenses of enforcement, including reasonable attorneys' fees incurred in a trial or appellate proceeding. 26. Parties in Interest. All the terms and provisions of this Agreement shall be binding upon, shall inure to the benefit of and shall be enforceable by the respective successors and assigns of The City and FPL. 27. Entire Agreement. This Agreement constitutes the entire agreement between the parties relative to the transaction contemplated herein and neither this Agreement nor any term or provision hereof may be changed or waived except by an instrument in writing and executed by both FPL and The City. 28. Governing Law. This Agreement shall be interpreted and enforced in accordance with the laws of the State of Florida. Golf Substation Sale Page 8 of 10 29. Notices. Time is of the essence in this Agreement. 32. Counterparts. This Agreement may be executed simultaneously or in counterparts, each of which together shall constitute one and the same Agreement. 33. The thorough- ness with which bridges are to be inspected shall de- pend on such factors as age, traffic characteristics, state of maintenance, and known deficiencies. The governmental entity having maintenance responsibil- ity for any such bridge shall be responsible for having inspections performed and reports prepared in ac- cordance with the provisions contained herein. (3)(a) Each bridge inspection required by subsec- tion (2) shall be performed by an inspector who is qualified, as prescribed in subsection (4), who shall determine the load-carrying capacity and safety con- dition of the bridge. (b) Each inspection shall be reported on a format designated by the department and forwarded to the department. A copy of such report shall also be pro- vided to the local governmental entities in Ithe juris- dictions of which the bridge is located. Data on a newly completed structure, or on any modification of an existing structure, which would alter previously submitted data on any inspection report shall be sub- mitted to the department and the appropriate local governmental entities within 90 days of completion of the new construction or modification by the gov- ernmental entity having maintenance responsibility. (c) The department shall maintain an inventory of bridges and appropriate records on the inspections of such bridges reported pursuant to this section. ELEMENT NUMBERS G1.01 Deck (Top) - Rated 5 The continuous deck top has Class 1 to Class 4 transverse cracks which are spaced from 800mm to 1200mm apart. The cracks in Span 2 are more predominant than in Span 1 and Span 3. These cracks extend for almost the entire width of the deck and are present throughout all three spans. A Class 5 longitudinal crack is present along the centerline for the majority of the length of the structure. Shallow spalls are present adjacent to the centerline in each span. Part of the spalling in Span 2 has been patched with asphalt. In addition, the deck top has moderate abrasive wear with the worst case being located in the eastbound lane of Span 3. Refer to Photo 22 on page 9 for a view of the deck top. Gl.02 Deck (Underside) - Rated NV The deck underside is not visible due to precast concrete stay in place forms. The forms are aligned transversely and are 150mmi wide. The forms have random Class 1 edge spalls and cracking. Overall they appear to be in fairly good condition. Water is dripping from the underside and appears to be coming from the longitudinal crack in the deck top. G1.03 Expansion Joints - Rated 6 Class 1 edge spalls are present along the edges of the joints over End Bent 1 and End Bent 4. It appears the sealant material within these joints has completely deteriorated, which is allowing debris to collect inside the joints. The south curb over Bent 3 has a Class 5 transverse crack for the full width. 81.07 Bridgerail - Rated 6 The concrete post and beam bridgerails do not conform with current AASHTO guidelines. Post 3-1 left has a 300mm long Class 5 vertical crack on the south, north, and top faces. The rail adjacent to Post 3-1 right has a Class 5 crack where it meets the post. Other Class 1 spalls and minor cracks were found throughout. 82.02 Beams - Rated 6 The precast beams typically have Class 1 vertical cracks near midspan. Beam 1-4 over End Bent 1 has a 400mm long Class 4 diagonal crack on each face extending down to the cap. Beam 1-5 has a spall 600mm X 200mm X 70mm with exposed and corroded reinforcing steel on the bottom north edge near midspan. Beam 2-3 has a Class 1 spall with exposed and corroded steel on the south face, 1.7m from Bent 3. Beam 3-5 over End Bent 4 has a 130mm long Class 3 diagonal crack on the lower north face. 83.01 Piling - Rated 6 The precast piles do not appear to be embedded into the caps very far and typically have Class 1 horizontal cracks and Class 1 edge spalls. The lower portions have Class 1 scale damage. Pile 2-3 has Class 2 to Class 3 horizontal cracking at the cap. 83.04 Intermediate Caps (Bentl - Rated 5 Bent 2 and Bent 3 caps typically have full height Class 1 to Class 3 vertical cracks under the beams. Bent 2 cap has a spalled and delaminated area 300mm X 300mm on the east face over pile 2-1. Bent 2 cap has a spall 270mm X 220mm X 30mm on the east face under Beam 2-3. The top southeast corner of Bent 2 cap has a spall 300mm X 120mm X 70mm deep. Bent 3 cap has a delaminated area 270mm X 120mm on the west face under Beam 2-4 with a 2BOmm long Class 3 diagonal crack extending downward from this area. End Bent 1 cap has a delaminated area 200mm in diameter under Beam 1-4. End Bent 1 cap also has a 300mm long Class 3 horizontal crack on the east face at the south end which extends around the south face. The end bent piles have Class 1 horizontal cracks and have Class 1 scale damage in the lower portions. The precast concrete back wall panels at each end bent have random Class 1 to Class 2 cracks. End Bent 1 back wall between Pile 1-3 and Pile 1-4 has a 1.5m long Class 5 horizontal crack, 600mm below the cap. The back wall at End Bent 4 has a 3m long Class 3 horizontal crack from Pile 4-3 to Pile 4-5, .Bm below the cap. . 84.01 Approach Slabs - Rated 6 Both approach slabs appear to have been mud jacked in the past. Each slab has three 250mm diameter core holes, 450mm from the bridge. The core holes in the west slab have not been completely sealed. In addition to these core holes, a 700mm long X 900mm wide square cut out is present in the eastbound lane of the east slab. This area has been patched. It is unknown if these repairs have filled in all of the voids under the slabs. The construction joint down the centerline of the east and west slabs is not sealed. There is a 3.1m long Class 1 diagonal crack in the eastbound lane of the east slab. The edge of the east approach slab at the bridge deck has a delaminated area in the eastbound lane 1.4m long X 200mm wide. Refer to Photo 25 on page 14 for a view of the east slab. 84.02 Retaining WallS/Shoulders - Rated 5 The precast sheet pile retaining walls at all four corners of the structure have random Class 1 to Class 3 cracks. All four retaining walls have separated where they meet the eastbound back walls apparently due to outward rotation. The following are measurements of the gaps at the caps: Southwest - 60mm Northwest - SOmm Southeast - 50mm Northeast - 70mm Refer to Photo 23 and Photo 24 on pages 10 and 11 for a view of the joints at the southwest and northeast corners. The northwest retaining wall is undermined 1.5m long X IS0mm high.
