A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF BOYNTON BEACH, FLORIDA, AUTHORIZING
THE TRANSFER OF LICENSE AND FRANCHISE FROM
TELE-MEDIA COMPANY OF SOUTHEAST FLORIDA, INC.,
TO TELE-MEDIA COMPANY OF SOUTHEAST FLORIDA, A
FLORIDA- GENERAL PARTNERSHIP; PROVIDING FOR
CONFLICTS; PROVIDING FOR SEVERABILITY; AND
PROVIDING ANEFFECTIVE DATE.
WHEREAS Boynton Beach City Code Section 7-26(d) provides
no cable tv franchise shall be transferred or disposed of with(
the prior City Commission approval; and
WHEREAS Tele-Media Company of Southeast Florida,
("Franchisee"), has requested the City to' approve the transfer
its cable television from franchise to Tele-~edia of Southe
Florida, A Florida General Partnership (,,Transferee,,); and
WHEREAS transferee has demonstrated financial responsibil
as required by 7-26(d) by providing I.R.S. Form 10-K Annual
for the fiscal year ended March 31, 1994, available in the
Beach City Clerk ' s office, and the summary of Trans
character, legal, financial, technical and other qualifications
attached hereto as Exhibit "A"; and
WHEREAS, transferee has agreed in writing to assume
responsibilities of franchisee and to comply with all provisions
Chapter 7 of the City Code as well as the 1992 Cable Act, sa
written agreement being attached hereto as Exhibit "B" ;'
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
CITY OF BOYNTON BEACH, FLORIDA, THAT:
Section 1. The foregoing WHEREAS clauses are true al
correct and hereby ratified and confirmed by the City Commissio~
Section 2. The City Commission of the City of Boynt~
Beach, after having received and fully reviewed the financia~
legal and technical character of the Transferee, attached
Exhibit "A", and the written assumption of responsibility set fo
in Exhibit "B", hereby approves the Transfer of License
Franchise from Tele-Media Company of Southeast Florida, Inc.,

Section 3. All resolutions or parts of resolutions
conflict herewith are hereby repealed to the extent of
conflict.
Section 4. If any clause, section, other part or applicat~
of this Resolution is held by any court of competent jurisdict
to be unconstitutional or invalid, in part or application, it
not affect the validity of the remaining portions or applicati¢
of this Resolution.
Section 5. This Resolution shall become effective immediate
upon its passage and adoption.
