4 A RESOLUTION OF THE CITY COMMISSION OF
5 THE CITY OF BOYNTON BEACH, FLORIDA,
6 APPROVING AND AUTHORIZING THE CITY
7 MANAGER TO EXECUTE AN AGENCY
8 P ARTICIP A TION AGREEMENT FOR AMERICAN
9 EXPRESS CARD ACCEPTANCE BY THE CITY OF
10 BOYNTON BEACH; AND PROVIDING AN
11 EFFECTIVE DATE.

14 WHEREAS, Visa and Mastercard credit cards have been accepted by the City in the
15 past, however American Express cards have not; and
16 WHEREAS, the State of Florida negotiated a Master Agreement to include
17 participating state entities which includes the City of Boynton Beach whereby the discount
1 rates are in line with Visa and Mastercard; and
1 WHEREAS, the City Commission of the City of Boynton Beach, Florida, upon the
recommendation of staff, deems it to be in the best interests of the City residents to enter
21 into an Agency Participation Agreement for American Express Card Acceptance by the City
of Boynton Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF BOYNTON BEACH, FLORIDA, THAT:
Section 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
being true and correct and are hereby made a specific part of this Resolution upon adoption
hereof.
Section 2. The City Commission of the City of Boynton Beach, Florida does
hereby approve and authorize the City Manager to execute an Agency Participation

1 Agreement for American Express Card Acceptance by the City of Boynton Beach, a copy of
aid Agreement is attached hereto as Exhibit "A."
3 Section 3. This Resolution shall become effective immediately upon passage.

BOYNTON BEACH (you and your).
l;'or good and valuable consideration, receipt of which is hereby acknowledged. both parties agree as
follows:
1. Thc tenns and conditions of the Agreement for American Express@ Card Acceptance between
American Express and the STATE OF FLORIDA (Master Agreement) shall be incorporated
herein by this reference as if fully set forth herein. AJJ terms used herein shall have the same
meaning as in the Master Agreement. unless specified to tbe contrary.
2. For the purposes of this Agency Participation Agreement, the terms you are your under the Ma~ter
Agreement shall mean the Cjty of Bo}llton Beach. Yeu agree to accept the Card under the terms
of the Master Agreement, at a minirnwu. at all your Establishm<:nts where you accept Other
Payment Products (except as noted in the Master Agreement). Yon represent lhal you have
received all the necessary approvals from the State Treasurer's Otlice to allow you to enter into
this Agency Participation Agreement.
3, Notwithstanding anything to the contrary contained herei[], an terms and conditions of the Master
Agreement shall remain unchanged and in full force and effect, and this Agency Participation
Agreement shaH continue in effect for so long as the Master Agreement is in full force and effect.
If the Master Agreement terminates fOT any ~n. this Agency Participation Agreement shall also
irrnnediateJy terminate without further notice.
IN WITNESS WHEREOF, the parties have caused this Agency Participation Agreement to he executed
