Inc., works as a sole source vendor 18 e ; with SirsiDynix (the Library's computer automation system vendor) to provide automated 19 ! I transfer of library patron records that have materials outstanding more than 45 days; and 19 20 WHEREAS, City staff is recommending the use of Unique Management Systems, 21 Inc., as it will save staff time and postage costs since Unique takes over the collection y 22 ; ,� process at 45 days overdue by automatically uploading overdue information via the 23 !1 SirsiDynix interface module. 24 25 26 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH, FLORIDA, THAT: Section 1. UNIOUE MANAGEMENT'S OBLIGATIONS L1. UNIQUE MANAGEMENT SERVICES, INC. ( "UNIQUE MANAGEMENT ") shall be responsible for preparing and maintaining any and all paperwork which may be necessary related to its provision of services to the City under the Agreement. 1.2. UNIQUE MANAGEMENT will ensure that it provides the appropriate personnel suitable to perform the terms of this Agreement and all services provided herein. 13. UNIQUE MANAGEMENT shall have all documentation available upon request by the CITY relating to any required license or certification for all of its personnel as required by all local, state, and federal laws. 1.4. UNIQUE MANAGEMENT understands and agrees that the written and electronic records created pursuant to this Agreement are subject to the public records laws of the State of Florida, including but not limited to Chapter 119, Florida Statutes. 2. INDEPENDENT CONTRACTOR 2.1. The parties agree that UNIQUE MANAGEMENT is an independent contractor with respect to the services provided pursuant to this Agreement. Nothing herein shall be considered to create the relationship of employer and employee between the parties hereto. All personnel providing services pursuant to this Agreement shall remain employees of UNIQUE MANAGEMENT. Neither UNIQUE MANAGEMENT nor any employee of UNIQUE MANAGEMENT shall be entitled to any benefits accorded CITY employees by virtue of the services provided under this Agreement. UNIQUE MANAGEMENT shall assume sole and exclusive responsibility for the payment of wages to its employees for services performed under this Agreement. UNIQUE MANAGEMENT shall, with respect to such employees, be responsible for withholding Federal and State income taxes, paying Federal Social Security taxes, unemployment insurance and maintaining worker's compensation coverage in the amount under such terms as required by law. The CITY shall not otherwise assume the duties of an employer with respect to UNIQUE MANAGEMENT, or any employee of UNIQUE. MANAGEMENT. 11 This Agreement creates a contract relationship and does not create a partnership, joint venture, or profit sharing agreement between the parties. 3. CERTIFICATE OF INSURANCE AND LICENSE 3.1. It shall be the responsibility of UNIQUE MANAGEMENT to maintain liability insurance during the duration of this contract, as specified in Composite Exhibit "A ". 3.2. UNIQUE, MANAGEMENT shall furnish the City with a certificate of insurance prior to the start of any work for the City. Said insurance companies must be authorized to do business in the State of Florida and the City will not accept any company that has a rating less than B+ in accordance with A.M. Best's Key Rating Guide, latest edition. 64 of 375 3.3. The City reserves the right to require additional types of insurance, or to raise or lower the stated limits, based upon identified risk. 4. NON- DISCRIMINATION When carrying out this Agreement, each party agrees not to discriminate on the basis of religion, race, creed, nation origin, sex, age, handicap or sexual orientation. 5. NOTICES Any notices required or authorized under this Agreement shall be in writing and shall be deemed given when sent by United States mail, Certified and Return Receipt Requested or sent by facsimile with a confirmed delivery to the recipient. HOLD HARMLESS UNIQUE MANAGEMENT shall indemnify, defend and hold harmless, the CITY, its trustees, agents, officers and personnel from and against all claims, actions, damages, liability, loss and Page 2 of 4 65 of 375 expenses including attorney's fees and costs caused by or sustained in connection with or arising from the performance of this contract by UNIQUE MANAGEMENT, its employees and agents, including but not limited to loss of life, bodily or personal injury, property damage or loss of income. S. AUTHORIZATION Each person signing this Agreement, including any amendments thereto, warrants and represents that he /she is fully authorized to execute this agreement for the respective parties. 9. RECORDS MAINTENANCE Until the expiration of five (5) years after the furnishing of services pursuant to this Agreement, UNIQUE MANAGEMENT shall make available, documents and records that are necessary to certify the nature and extent of the costs of services furnished pursuant to the terms and conditions of this Agreement. 10. SEVERABILITY OF PROVISIONS 10.1 If any provision of this Agreement or the application of any provision to any party or circumstance shall be prohibited by or invalid under applicable law, the provision shall be ineffective to the extent of such prohibition or invalidity without invalidating the remaining provisions of this Agreement or their application to other parties or circumstances. 11. GOVERNING LAW AND VENUE 10.1 This Agreement and the terms, conditions, and covenants contained in it shall be governed by and construed in accordance with the laws of the State of Florida. Venue for any legal proceeding arising out of or to enforce any provision of this Agreement shall be filed in state court in Palm Beach County, Florida. 12. INTEGRATION OF ALL AGREEMENTS AND UNDERSTANDINGS 12.1 This Agreement contains the entire agreement between the CITY and CONTRACTOR. All prior agreements and understandings, whether written or oral, pertaining to the CITY's agreement with CONTRACTOR are frilly abrogated and of no further force and effect from and after the date of this Agreement. 12.2 Regardless of which party or party's counsel prepared the original draft and subsequent revisions and exhibits to this Agreement, UNIQUE MANAGEMENT and the CITY and their respective counsel have had equal opportunity to contribute to and have contributed to its contents and this Agreement shall not be deemed to be the product of and, therefore, construed against either of them. Page 3 of 4 66 of 375 12.3 The omission from this Agreement of a term or provision contained in an earlier draft of the Agreement shall have no evidentiary significance regarding the contractual intent of the parties. 13. MISCELLANEOUS 13.1 Neither party may assign this Agreement or its obligations hereunder without consent of the other party. 14. ATTORNEY'S FEES AND COSTS 14.1 In connection with any litigation arising out of or in connection with the Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and costs. 15. The process is not strictly "budget neutral" in terms of cash, but it does recover materials that otherwise would not be returned. we have used the service since Apr. 25, 2005. overall, we have referred a total of 7196 accounts, at a cost to us of $64,404.20. We have recovered a total of $51,743.81 in cash and a value of 5259,961.84 in returned materials. You are licensed for up to 400,000 annually circulated items; an increase in circulation beyond the number noted requires additional license fees. 'Go Live Date" means. with respect to the SiraiDynix Software license orders, the date on which the SirslDynix Software is available for operational use for normal daily' business, including searching the public access catalog and circulating materials. Maintenance must be ordered for all copies of the Software end for all elements of the Software which are used conjunctively by Custamer.
