Upon execution and subject to the terms and conditions of this Agreement, Service Provider will provide Subscriber with access to and use of AEI's Software set forth in Exhibit A attached hereto 2 Authorized Users. In accordance with Exhibit A, authorized users of Subscriber will be provided with password controlled Internet access to the Software Only authorized users with assigned passwords are permitted to access and use the Software. Only individuals currently employed by Subscriber may be an authorized user Service Provider may require passwords be changed from time to time with reasonable notice to Subscriber, so as to maintain system security. Authorized users shall not share passwords with others or allow unauthorized users to access or use the Software. If unauthorized users gain access to or use the Software, Service Provider may require Subscriber to pay additional user fees and reserves the right to immediately terminate this Agreement with no prorated refund of fees paid 3 Subscription Term. The term of this Agreement shall commence on the Effective Date and remain in full force and effect for a period of one (1) year unless terminated earlier in accordance with the terms herein 4 License. During the Term of this Agreement, Service Provider grants Subscriber a non - exclusive, limited, nontransferable license for authorized users to use Service Provider's Software only for Subscribers own internal business purpose Use of Service Provider's Software includes the right to download, store and print outputs created from Subscribers use of the Software 5 Subscription Fees and Taxes. The Subscription Term fee for the Subscription, License granted and any other services being provided by Service Provider under this Agreement are as specified in Exhibit A After the initial Subscription Term, Service Provider reserves the right and may, in its sole discretion change the fees for subsequent Subscription terms Service Provider will notify Subscriber of any fee increases a minimum of 30 days prior to the expiration the agreement term as outlined in Exhibit A All fees are due thirty (30) days from date of invoicing All fees paid by Subscriber are exclusive of all taxes, levies, or duties imposed by any taxing authority and Subscriber shall be responsible for payment of the same except when otherwise required by applicable, law If Subscriber fails to pay any fee when due, in addition to other rights as articulated in this Agreement, Service Provider may assess late charges in the form of interest equal to one and a half percent (1 5 %) per month or the maximum amount permitted by law, whichever is less 6 Software as a Service. Access and use of the Software is provided in the form of Software as a Service ( "SaaS ") whereby the Software is provided through the Internet and accessed remotely via web browser The Software does not reside on Subscriber's computers or network systems In order to run and access the Software, third party vendors are utilized to provide one or more of the following hardware, software, applications, hosting networking, storage, data redundancy and backup 7 Ownership. Subscriber expressly acknowledges the Software, including its structure, organization, and source code, is valuable intellectual property of Service Provider Service Provider retains exclusive ownership of all intellectual property and proprietary rights including copyright, trademarks, service marks, trade secrets, patent rights, trade names, and other proprietary rights in the Software including any derivative works, modifications, updates, error corrections, and enhancements Service Provider shall be the sole owner and retains all rights, title and interest of any suggestions, ideas, comments, enhancement requests, feedback, recommendations, or other information from Subscriber relating to the Software Subscriber has no rights, title, ownership or any other interest in Service Provider's intellectual property or proprietary rights including any derivative works, modifications, updates, error corrections, and enhancements whether or not based upon or include suggestions, ideas, comments, enhancement requests, feedback, recommendations, or other information from Subscriber 8 Confidential Information of Service Provider. Service Provider's Confidential information Includes all information of which unauthorized disclosure could be detrimental to the interests of Service Provider Such Confidential Information includes technical data or know -how, including that which relates to Service Provider's Software, research, products, hardware, designs, inventions, ideas, processes, drawings, business plans, product implementations, financial information, marketing techniques, business operation and systems, pricing policies, contract terms, information concerning employees, customers, and /or vendors disclosed in writing, orally, by inspection, or otherwise Confidential information does not include information that Subscriber can demonstrate (i) was in Subscriber's possession prior to its being fur nished to Subscriber under the terms of this Agreement, provided the source of that information was not known by Subscriber to be bound by a confidentiality agreement with, or other continual, legal or fiduciary obligation of confidentiality, to Service Provider, (ii) is now, or hereafter becomes, through no act or failure to act on the part Service Provider, generally known to the public, (iii) is rightfully obtained by Subscriber from a third party, or (iv) is independently developed by Subscriber without use of or reference to the Confidential Information Subscriber shall not disclose any Confidential Information to third parties, in any manner whatsoever, except as provided herein and shall protect the Confidential Information for five (5) years following termination of this Agreement Subscriber shall take all reasonable measures to protect the Confidential Information Subscriber may disclose Confidential Information I Internally to Subscriber's respective staff with a bona fide need to know who are bound to protect the confidentiality of such Confidential Information II With prior written approval from Service Provider III In accordance with a judicial or other governmental order, or as may be required by law, provided that Subscriber gives Service Provider reasonable notice prior to disclosure and reasonable opportunity to obtain a protective order or the equivalent 9 Subscriber Information and Data. Service Provider does not own any data or information that Subscriber submits, uses, accesses, produces or generates, in conjunction with the Software and Subscriber shall have sole responsibility for the acc uracy, quality, integrity, legality, reliability, appropriateness, and completeness of the same Service Provider reserves the rights to withhold, remove, and discard Subscriber data and information without notice for any breach, including non - payment Upon written request by Subscriber received by Service Provider within seven (7) days after the Subscription Agreement is terminated by either party pursuant to Section 3 or Section 14, Service Provider will, at Service Provider's discretion, 1) make available to Subscriber for thirty (30) business days limited access to the Software solely for the purpose of downloading Subscriber's data, information and files, or 2) shall export and deliver copies of all Subscriber data and documentation to Subscriber Except as stated herein, upon termination of this Subscription, Subscriber's right to access the Software, including Subscriber information and data, immediately ceases and Service Provider shall have no obligation to maintain the same 10 Confidential Information of Subscriber. Service Provider acknowledges that Subscriber's Confidential Information includes Subscriber's data and business information of which unauthorized disclosure could be detrimental to the interests of Subscriber Service Provider shall not disclose any Confidential Information to third parties, in any manner whatsoever, except as provided herein and shall protect the Confidential Information for five (5) years following termination of this Agreement Service Provider shall take reasonable measures to protect the Confidential Information Service Provider may provide or disclose Confidential Information I To Service Provider's third party business partners and vendors as it relates to running the Software, storing Service Provider's information and data, and the operational processes involved in accessing and utilizing the Software provided as SaaS II Internally to Service Provider's respective staff with a bona fide need to know who are bound to protect the confidentiality of such Confidential Information III With prior written approval from Subscriber IV In accordance with a judicial or other governmental order, provided that Service Provider gives Subscriber reasonable notice prior to disclosure and reasonable opportunity to obtain a protective order or the equivalent 11 Subscriber Responsibilities, Obligations, and Restrictions. Subscriber will not, nor permit any third party to (i) copy, sublicense, distribute, rent, lease, loan, resell, modify or translate the Software or create derivative works based thereon, (ii) disassemble, decompile, or reverse engineer the object code or source code or otherwise attempt to learn the structure, algorithms or ideas underlying the Software, (iii) remove, obscure or modify any markings, labels or any notice of Service Provider's or any third party's proprietary rights, including copyright, patent, trademark and service mark notices Subscriber shall not utilize the Software as its primary repository and sole source of Subscriber's data and information Subscriber shall only utilize the Software as secondary or redundant source of Subscriber's data, information and files Subscriber is responsible for ensuring it employs reasonable measures to limit exposure to potential losses and damages that may arise from use, nonuse, lack of access, interruption, delays, errors or omissions in Subscriber's information or data and the Software arid related data Subscriber understands that the technical processing and transmission of the Software, including Subscriber information and data, may be transferred unencrypted and involves transmission over one or more networks Subscriber is responsible for establishing and maintaining adequate security, virus protection, backup and disaster recovery plans for any local systems accessing Service Provider's Software and related facility or electronic networks The responsibility includes maintaining secure network and network security components, firewalls, and security- related hardware and software, preventing unauthorized access to Subscriber information and data and preventing interception of communications between Subscriber's site and Service Provider's web site or Software Subscriber is responsible for all activity occurring under or through their user accounts and shall comply with all local, state, national and foreign laws, treaties and regulation in relation with Subscriber's use of the Software, including those related to data privacy, and the transmission of technical or personal data 12 Subscriber System Requirements. In order to utilize Service Provider's Software, Subscriber must have access to a personal computer that has an Internet connection and the following third party software or its newer or most current versions Microsoft Internet Explore 7 x or Mozilla Firefox 2 x, Adobe Acrobat Reader 6 0, Adobe Shockwave Flash plug -in 8 0 Subscribers must enable JavaScript and, at the least, enable session cookies Up -to -date technical requirements and recommendations will be provided by Service Provider at initiation of contract and may be updated from time to time Any cost, fee, licensing, ownership, maintenance and support relative to Subscriber's system and required third party software are the sole responsibility of Subscriber 13 Implementation and Technical Support Permitted users will be provided instruction on how to access and utilize the Software and will have on -going access to web -based product training as available and scheduled by Service Provider On -site training may be available for an additional fee Service Provider will use reasonable efforts to assist Subscriber with Software specific technical issues Technical support via email and telephone will generally be available Monday — Friday, 8 am — 5 pm Pacific Time Subscriber shall provide sufficient information so as to allow Service Provider to readily reproduce reported technical issues Service Provider does not support technical issues involving systems outside Service Providers control including the Internet and Subscribers computers, systems, and network System maintenance and upgrades will typically be scheduled during non - standard business hours Service Provider will employ reasonable efforts to post 48 -hour prior notice within the Software for any planned maintenance or potential service disruptions In the event of an unplanned service outage or disruption, Service Provider shall employ reasonable efforts to restore access 14 Termination, a Subscriber or Service Provider may terminate this Agreement as set forth in Section 3 Subscription Term b Subscriber may terminate this Agreement if Service Provider breaches a material obligation and such breach is not remedied within twenty (20) days after written notice to Service Provider c Service Provider may terminate this Agreement (i) immediately if Subscriber fails to pay an outstanding invoice when due or if Service Provider reasonably suspects Subscriber allowed or allows unauthorized users to gain access to or use or the Software, or (n) if Subscriber breaches any other aspect of this Agreement and such breach is not remedied within twenty (20) days after written notice to Subscriber d Upon Termination of this Agreement, all rights of Subscriber to access and use the Software automatically and immediately terminate and Subscriber will discontinue its use of the Software 1S Survival. The following sections, Ownership, Confidential Information of Service Provider, Confidential Information of Subscriber, Subscription Restrictions, Disclaimer of Warranty, Limitation of Liability, and Termination shall survive any Termination of this Agreement Termination will not affect liability for any breach that took place before Termination 16 Limited Disclaimer of Warranty. a Service Provider warrants the Software substantially performs in accordance with Service Providers published current user guide(s) Except as provided herein, Software and all related services, information, and data are provided and made available to Subscriber "AS IS" WITHOUT ANY OTHER WARRANTIES OF ANY KIND WHATSOEVER AFI DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON - INFRINGEMENT, AVAILABILITY, PERFORMANCE, QUALITY, ACCURACY, FUNCTIONALITY, AND WARRANTIES TO BE FREE FROM VIRUSES, WORMS, SPY -WARE OR THE LIKE b AFI makes no representations and does not warrant that the Software and all related services, information, and data will meet your specific requirements, needs, and expectations including but not limited to accessibility, availability, accuracy, adequacy, correctness, completeness, quality, reliability, applicability or suitability or that all errors will be corrected c Information relative to funding opportunities is obtained from third party sources and Service Provider makes no representations or warranties that the Software contains all funding opportunities that may be available, nor does Service Provider make any representations or warranties as to the accuracy, correctness, completeness, quality or timeliness of the information provided d Subscriber understands that web based access to the Software utilizes third party vendors and is based upon many factors which are beyond Service Provider's control Access to Software and all related services, information and data may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications and services AFI makes no representations or warranties as to access of the Software and all related services, information, and data via the Internet or otherwise are or will be uninterrupted, timely, secure, or be error free nor does AFI make any representations or warranties relative to ensuring there is no damage, destruction, deletion, loss or failure to store Subscriber's information and data or damage to Subscriber's computers, facility, or electronic networks e Subscriber recognizes the entire Disclaimer of Warranty clause is an important part of this Agreement, and without such clause, AF1 would not have agreed to enter into this Agreement 17 Limitation of Liability. a IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF REVENUE, PROFITS, SALES, OR LOST FUNDING OPPORTUNITIES, WHETHER BASED IN CONTRACT OR TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF A PARTY KNEW, REASONABLY SHOULD HAVE KNOWN, OR IS ADVISED OF THE POSSIBILITY OF DAMAGES b SUBSCRIBER EXPRESSLY UNDERSTANDS AND AGREES THAT AFI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, ATTORNEYS, SOFTWARE DEVELOPERS, AND ENGINEERS, SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY CLAIM, LOSS OR DAMAGES IN ANY WAY CAUSED BY, ASSOCIATED WITH, OR RESULTING FROM THE SOFTWARE OR THIRD PARTIES INCLUDING BUT NOT LIMITED TO (I) ACCESS, AVAILABILITY, USE, INABILITY TO USE, ACCURACY, CORRECTNESS, COMPLETENESS, QUALITY AND TIMELINESS OF THE SOFTWARE OR ANY INFORMATION PROVIDED BY AND THROUGH THE SOFTWARE INCLUDING BUT NOT LIMITED TO THIRD PARTY SITES, FUNDING INFORMATION AND SUBSCRIBER INFORMATION AND DATA, (II) DAMAGE, DESTRUCTION, DELETION, LOSS OR FAILURE TO STORE SUBSCRIBER'S INFORMATION AND DATA OR DAMAGE TO SUBSCRIBER'S COMPUTERS, FACILITY, OR ELECTRONIC NETWORKS, (III) ANY THIRD PARTY SITES WHERE A LINK IS PROVIDED, (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSIONS OF DATA, (V) DAMAGES OF ANY KIND CAUSED BY THIRD PARTY SUPPLIERS OR VENDORS OF FUNDING INFORMATION, HARDWARE, SOFTWARE, INTERNET ACCESS, NETWORKING, STORAGE, AND TECHNOLOGY c AFI'S TOTAL OR AGGREGATE POTENTIAL LIABILITY AND SUBSCRIBERS SOLE AND EXCLUSIVE REMEDY SHALL BE LIMITED TO FEES SUBSCRIBER ACTUALLY PAID TO AFI FOR THE MOST CURRENT OR LAST ANNUAL SUBSCRIPTION TERM D THE LIMITATION OF LIABILITY DOES NOT APPLY TO INFRINGEMENT OF AFI TRADE SECRETS OR ANY BREACH ASSOCIATED WITH DISCLOSURE OR USE OF AFI CONFIDENTIAL AND PROPRIETARY INFORMATION BY SUBSCRIBER e SUBSCRIBER RECOGNIZES THE ENTIRE LIMITATION OF LIABILITY CLAUSE IS AN IMPORTANT PART OF THIS AGREEMENT, AND WITHOUT SUCH CLAUSE, AFI WOULD NOT HAVE AGREED TO ENTER INTO THIS AGREEMENT 18 Force Majeure. Neither party shall be in breach of this Agreement for delay or failure in performance if such delay or failure is due to causes reasonably beyond the control of either party including but not limited to U S governmental acts, regulation, ordinance, acts of God, fire, flood, earthquake, storm, Internet outages, power failures and war 19 Waiver and Severability If any part of this Agreement, for any reason, is declared invalid or void, such declaration shall not affect the remaining portions of the Agreement which shall remain in full force and effect as if this Agreement had been executed with the invalid portion eliminated However, if any provision which has been declared invalid or unenforceable shall be a provision that would prevent the continued and complete performance of this Agreement by AF1 and the Subscriber, then the AFI and the Subscriber hereby agree that they will renegotiate that term or provision in order to otherwise render the Agreement valid arid enforceable If either of the AFI or the Subscriber decides not to enforce a provision of this Agreement, such decision in favor of non - enforcement shall not constitute a complete and full waiver of the right of that person or entity In the future to enforce that provision of the Agreement in the event of any subsequent breach or failure to comply in full with that provision of the Agreement 20 Notice. This Agreement may not be assigned, in whole or in part, voluntary or otherwise, absent the prior written consent of the other party Either party may assign this Agreement to a third party in connection with any sale, merger, or consolidation of all or substantially all of it's assets, or any other transaction whereby more than fifty percent (50 %) of it's voting rights are transferred to a third party provided that that successor expressly assumes all obligations of the assigning party 22 Relationship of the Parties. AFI's relationship to Subscriber is that of independent contractor Nothing contained in this Agreement creates a point venture, partnership, agency, employment, or similar relationship between the parties 23 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida The parties hereby submit to the jurisdiction of, and waive any venue objections to the United States District Florida, Palm Beach, in any litigation arising out of this Agreement 24 Entire Agreement. This Agreement, Agreements incorporated by reference, and any Exhibits attached hereto is the entire Agreement between the parties and supersedes all prior proposals, understandings, negotiations, representations, commitments, writings and other communications agreements, oral or written, between the parties 25 Execute in Counterparts. This Agreement may be executed in counterparts, all of which taken together shall constitute one single executed agreement between the parties 26 Equal Opportunity Employer; Compliance with Federal, State and Local Law AFI agrees to make itself aware of and comply with all local, state and federal ordinances, statutes, laws, rules and regulations applicable to the Web Services The AFI further agrees that it will at all times during the term of this Agreement be in compliance with all applicable federal, state and /or local laws regarding employment practices.
