R15 -163 2 3 A RESOLUTION OF THE CITY OF BOYNTON BEACH, 4 FLORIDA, APPROVING AND AUTHORIZING THE CITY 5 MANAGER TO SIGN AN AGREEMENT BETWEEN THE CITY 6 OF BOYNTON BEACH AND WEBQA, INC., FOR THE 7 PURCHASE OF SOFTWARE LICENSING AND CONSULTING 8 SERVICES TO IMPLEMENT A NEW PUBLIC RECORDS 9 REQUEST TRACKING SYSTEM FOR AN INITIAL EXPENSE OF 10 $10,000 AND AN ANNUAL RENEWAL EXPENSE OF $9,000 THAT 11 WILL NOT INCREASE MORE THAN 8% PER YEAR; AND 12 PROVIDING AN EFFECTIVE DATE 13 14 WHEREAS, The GovQA Public Records Management Platform will improve 15 ' efficiencies and reduce costs in servicing public records requests; and 16 WHEREAS, two other public records tracking systems were reviewed and 17 demonstrated to staff from all departments, both of which lacked the capabilities and 18 advanced technology that has been established and successfully implemented in the 19 GovQA system and being used by other municipalities in the State of Florida; and 20 WHEREAS, the City Commission, upon recommendation of staff, deems it to be 21 in the best interests of the citizens and residents of the City of Boynton Beach to approve 22 and authorize the City Manager to sign an agreement with WebQA, Inc., for the purchase 23 of software licensing and consulting services to implement a new public records request 24 tracking system for an initial expense of $10,000 and an annual renewal expense of $9,000 25 that will not increase more than 8% per year. 26 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION 27 OF THE CITY OF BOYNTON BEACH, FLORIDA, THAT: 28 ' Section 1. The GovQA Public Records Management Platform requires only internet access with no hardware to buy or complicated software to learn. It helps government service citizens over multiple channels including web, email, phone, and voicemail, mobile or in person to completely manage all: • Incoming requests for information and service • Processing of Public Records: activity distribution, information collection, time tracking and reporting • Outgoing citizen interaction, notifications and payments. In addition, the GovQA Opens Records Management Platform provides controlled and customized (by user or posting) proactive servicing technologies to reduce public records requests by: • Displaying request information that has been fulfilled — Request Archive (internal & external) • Reporting, proactively, information that the public may wish to see — before requests are made • Merging similar Public Records requests for management and processing - Duplication Identification • Integrating Optional Social Media Archive and Retrieval Solution • Providing electronic payment options Finally, the GovQA Public Records Management Platform also flags and tracks frequent requestors allowing for special rules or processing. ("WEBQA ") with its principal place of business at 900 S. Frontage Road, Suite I10 Woodridge, IL, 60517 and the City of Boynton Beach, a city with its principal place of business at 100 E. Boynton Beach Blvd., Boynton Beach, FL 33435 ( "Customer ") is made effective as of December 15, 2015 ( "Effective Date ",) 1. WEBQA DELIVERY OF SERVICE(S): WEBQA grants Customer a non - exclusive, non - transferable, limited license to access and use the WebQA Service(s) on the Authorized Website(s) identified in the attached Schedule A in consideration of the fees and terms described in Schedule A. This Agreement will also govern a!I additional Schedules for Service(s). 2, CUSTOMER RESPONSIBILITIES: Customer acknowledges it is receiving only a limited license to use the Service(s) and related documentation, if any, and shall obtain no title, ownership nor any other rights in or to the Service(s) and related documentation, all of which title and rights shall remain with WebQA. However, Customer wi ll retain ownership of all its data in the system. Customer agrees that (1) this license is limited to applications for its own use and may not lease or rent the Service(s) nor offer its use for others; (2) WebQA is not responsible for content placed into the Service(s); (3) that the Service(s) will not be used to capture confidential information of any kind such as social security numbers or individual financial data or other sensitive data; and, (4) that it will maintain the Authorized Website(s) identified in Schedule A, provide WEBQA with all information reasonably necessary to setup or establish the Service(s) on Customer's behalf, and allow a "Powered by GovQA" logo with a hyperlink to WebQA's website home page on the Authorized Website. 3. SERVICE(S) LEVELS: WEBQA will use commercially reasonable efforts to backup and keep the Service(s) and Authorized Website(s) in operation consistent with applicable industry standards and will respond to customers' requests for support during normal business hours. THE SERVICE(S) ARE PROVIDED ON AN "AS IS" BASIS, AND CUSTOMER'S USE OF THE SERVICE(S) IS AT ITS OWN RISK. WEBQA DOES NOT WARRANT THAT THE SERVICE(S) WILL BE UNINTERRUPTED OR ERROR -FREE OR UNAFFECTED BY FORCE MAJEURE EVENTS. 4. WARRANTY AND LIABILITY: WEBQA MAKES NO REPRESENTATION OR WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE EXCEPT AS OTHERWISE STATED HEREIN OF THE SERVICE(S) AND SHALL HAVE NO LIABILITY FOR ANY CONSEQUENTIAL DAMAGES OF ANY KIND INCLUDING, BUT NOT LIMITED TO, DATA LOSS AND BUSINESS INTERRUPTION, AND THE PARTIES AGREE THAT THE ONLY REMEDIES THAT SHALL BE AVAILABLE TO CUSTOMER UNDER THIS AGREEMENT SHALL BE THOSE EXPRESSLY SET FORTH IN THIS AGREEMENT. WEBQA'S LIABILITY UNDER ALL CIRCUMSTANCES INVOLVED HEREIN IS EXPRESSLY LIMITED TO THE AMOUNT RECEIVED BY WEBQA FOR SERVICE(S) UNDER THIS AGREEMENT. 5. TERMINATION: Either party may terminate this agreement without cause if the terminating party gives the other parry sixty (60) days written notice prior to termination, Should Customer terminate without cause after the first date of the then current term as defined in the attached schedule, Customer must pay the balance of the current contracted term and this payment obligation will immediately become due. WebQA may terminate service(s) if payments are not received by WebQA as specified in Schedule A. All monies associated to the current term will be due immediately. Upon any termination, WebQA will discontinue Service(s) under this agreement; WebQA will provide Customer with an electronic copy of all of Customer's data, if requested and for a cost of no more than $2,500; and, provisions of this Agreement regarding Ownership, Liability, Confidentiality and Miscellaneous will continue to survive. 6. INDEMNIFICATION To the extent allowed by law, each Parry agrees to fully indemnify and hold harmless the other for any and all costs, liabilities, losses, and expenses resulting from any claim, suit, action, or proceeding brought by any third parry. 7. ACCEPTABLE USE: Customer represents and warrants that the Service(s) will only be used for lawful purposes, in a manner allowed by law, and in accordance with reasonable operating rules, policies, terms and procedures. WEBQA may, upon misuse of the Service(s), request Customer to terminate access to any individual and Customer agrees to promptly comply with such request unless such misuse is corrected. 8. CONFIDENTIALITY: Each party hereby agrees to maintain the confidentiality of the other party's confidential and proprietary materials and information, including but not limited to, all information, knowledge or data not generally available to the public which is acquired in connection with this Agreement, unless disclosure is required by law. Each party hereby agrees not to copy, duplicate, or transcribe any confidential documents of the other party except as required in connection with their performance under this Agreement. Customer acknowledges that the Services) contain valuable trade secrets, which are the sole property of WebQA, and Customer agrees to use reasonable care to prevent other parties from learning of these trade secrets or have unauthorized access to the Service(s). WebQA will use reasonable efforts to insure that any WebQA contractors maintain the confidentiality of proprietary materials and information. 9. MISCELLANEOUS PROVISIONS: This Agreement will be governed by and construed in accordance with the laws of the State of Florida. WEBQA may not assign its rights and obligations under this Agreement, in whole or part, without prior written consent of Customer, which consent will not be unreasonably withheld. In addition to all other contract requirements as provided by law, the contractor executing this agreement agrees to comply with public records law specifically to: (a) Keep and maintain public records that ordinarily and necessarily would be required by the public agency in order to perform the service being provided by the contractor hereunder. (b) Provide the public with access to public records on the same terms and conditions that the public agency would provide the records and at a cost that does not exceed the cost provided for in Chapter 119, Florida Statutes, as may be amended from time to time, or as otherwise provided by law. (c) Ensure that the public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. (d) Meet all requirements for retaining public records and transfer, at no cost, to the public agency all public records in possession of the contractor upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the public agency in a format that is compatible with the information technology systems of the public agency. Customer Agrees To: (a) Hold an implementation joint kickoff meeting with WebQA within 15 days from contract signing. Order#:Q-209855 Prepared: 09/01/2022 Page 5 of 5 G GRAN ICUS 408 Saint Peter Street, Suite 600 Amendment Saint Paul, MN 55102 Prepared for United States Boynton Beach, FL First Amendment to the Granicus Service Agreement between Granicus, LLC and Boynton Beach, FL This First Amendment to the Granicus, LLC Service Agreement is effective on the date this document is signed and entered into by and between Granicus, LLC, a Minnesota Limited Liability Company d/b/a Granicus (hereinafter referred to as"Granicus"), and Boynton Beach, FL(hereinafter referred to as"Client"),with reference to the following: WHEREAS, the Client and WebQA, Inc. entered into an Agreement effective 12/15/2015 (the"Agreement");and WHEREAS, Granicus desires to accept and assume all of WebQA, Inc.'s rights, duties, benefits, and obligations under the Agreement; and WHEREAS, in addition to Client's existing solution, Client wishes to add certain products and services as detailed in Q- 209855,which is attached as Exhibit A and incorporated herein by reference; and NOW,THEREFORE, in consideration of the premises, the parties intend that the Agreement be amended as follows: 1. The parties acknowledge and agree that Granicus will assume all the rights and obligations of WebQA, Inc. under the Agreement, and all references to WebQA, Inc. in the Agreement are hereafter"Granicus". 2. Compensation shall be amended to include the fees detailed in Exhibit A. Exhibit A is exclusive of applicable state, local, and federal taxes,which,if any,will be included in the invoice. It is the responsibility of the Client to provide applicable exemption certificate(s). 3. Except as amended by this First Amendment, all other terms and conditions of the Agreement shall remain in full force and effect. 4. In the event of any inconsistency between the provisions of this First Amendment and the documents comprising the Agreement, the provisions of this First Amendment shall prevail.
